("Stamper" or the "Company") (TSXV: STMP) is pleased to announce it has entered into an acquisition agreement dated May 12, 2025 (the " Definitive Agreement") among the Company, a wholly owned subsidiary of the Company (" Subco"), and BISP Exploration Inc. (" BISP") pursuant to which the Company will acquire all of the issued and outstanding common shares of BISP (the " Transaction"). BISP is a British Columbia corporation which has an agreement to acquire certain offshore oil and gas blocks in the Republic of Namibia (as further described below). The Transaction constitutes a Reviewable (Fundamental) acquisition as defined by Policy 5.4 of the TSX Venture Exchange (the " Exchange"). In accordance with the terms and conditions of the Definitive Agreement, the Transaction will be completed by way of a three-cornered amalgamation, whereby, among other things: (i) Subco will amalgamate with BISP to form an amalgamated company (" Amalco"); (ii) holders of common shares in the capital of BISP (each, an " BISP Share"), including BISP Shares issued on conversion of Subscription Receipts will receive one Post-Split (as defined herein) common share in the capital of the Company (each a " Company Share") for each BISP Share held and the BISP Shares will be cancelled; (iii); holders of share purchase warrants to acquire BISP Shares (" BISP Warrants") and BISP Finders Warrants will be issued warrants to purchase Company Shares in exchange and replacement for, and on an equivalent basis, such BISP Warrants and BISP Finders Warrants, which will thereby be cancelled; and (iv) Amalco will become a wholly-owned subsidiary of the Company. In connection with the Transaction, the Company will subdivide the Company Shares on the basis of 3.8 post-split Company Shares for each one pre-split Company Share (the " Split"). All Company Shares issued in connection with the Transaction will be on a post-Split basis. In consideration for the Transaction, and on closing thereof, the Company shall assume all outstanding debt and contractual obligations of BISP. Specifically, the Company will assume approximately US $520,000 and CAD $907,000 in outstanding debt and payable obligations of BISP. As described above, BISP is party to a share purchase agreement, as amended, whereby it shall acquire an indirect interest in certain Namibian oil and gas assets (the " BISP Share Purchase Agreement"). In connection with the Transaction, Stamper shall assume and perform BISP's contractual obligations under the BISP Share Purchase Agreement. Pursuant to the BISP Share Purchase Agreement, BISP shall acquire an indirect interest in five Namibian oil and gas blocks (the " Namibian Blocks") in consideration for aggregate cash payments of US $8,300,000 and the issuance of 5,000,000 Company Shares on a post-Split basis. The five Namibian Blocks are located in three of the four major basins offshore Namibia including the prolific Orange basin, the emerging Walvis basin and in the Luderitz basin. Block 2712A in the Orange basin is located northwest of prolific oil and gas discoveries made by Rhino Resources, Galp Energia and TotalEnergies. Blocks 2213, 2011B, and 2111A are located in the emerging Walvis basin where Chevron is planning to drill a well in 2026 or 2027. Additionally, the Company has Block 2614B located in the southern portion of the Luderitz basin, north of the Kudu Gas Field, where drilling is expected to commence later in 2025. The below map outlines the approximate locations of the Namibian Blocks: In connection with the Transaction, the Company has commissioned a report on the Namibian Blocks in accordance with National Instrument 51-101 Standards of Disclosure for Oil and Gas Activities. BISP and the counterparties to the BISP Share Purchase Agreement are all arm's length parties to Stamper. A finder's fee is anticipated to be paid by Stamper in connection with the Transaction to Commodity Partners Inc. in the maximum allowable amount under Exchange policies. Trading in the Company Shares has been halted, and will remain halted, pending review and approval of the Transaction by the Exchange. Completion of the Transaction is subject to a number of conditions, including but not limited to, diligence investigations by the respective parties, approval of the respective boards of directors, completion of the Offering (as defined herein) and regulatory approvals, including approval by the Exchange. There can be no assurance that the Transaction will be completed as proposed or at all. The Company intends to complete a private placement offering in connection with the Transaction (the " Offering"). 'Extremely paranoid' Kentucky sheriff questioned by police moments after judge's fatal shooting: video

FIRST ON FOX: Bodycam footage of former Letcher County, Kentucky Sheriff Shawn "Mickey" Stines obtained by Fox News Digital shows the Kentucky State Police (KSP) questioning Stines just minutes after he allegedly shot and killed District Judge Kevin Mullins in his chambers. In the police interview, taken in the hallway of the Letcher County Courthouse, where the shooting occurred, a "paranoid" Stines continually insisted that police or someone else was about to kill him, a belief which his defense attorney told Fox News Digital was a contributing factor in the shooting on Sept. 19, 2024. The former sheriff, wearing jeans and polo shirt emblazoned with his title on it, was handcuffed and seated on a chair while being questioned. Throughout the interview, his legs shook and he appeared to scan his environment for potential threats. Kentucky Sheriff Seen In Footage Shooting At Judge In Shocking Preliminary Hearing He answered few questions about what happened that day, as most of the interview was spent trying to quell his fears. During the police questioning, Stines asked to be jailed in Letcher County, mere steps away from the courthouse, rather than risk being transported to another facility. Read On The Fox News App "I leave this building, I won't draw another breath," he told KSP Investigator Clayton Stamper, who led the investigation. Follow The Fox True Crime Team On X When informed that jailing him in Letcher County would violate protocol, a fact that officers noted he should understand given his position as sheriff of the county, Stines was told that he would be taken to the Leslie County Jail, about an hour away. "I'll never make it to the Leslie County Jail," he told police. "Put me in the Leslie County Jail, I'll get killed there. I'll get killed in any jail." Police continually reassured Stines that nobody was going to hurt him, but those reassurances fell on deaf ears. "Mickey, why do you think we're going to do something to you?" Stamper asked. "Why would we wanna hurt you?" "Well, somebody on the way [to the Leslie County Jail], if y'all stop and let somebody on the way," Stines said. "Look, I know that this is obviously a very crappy situation, but I assure you we have no intentions of harming you whatsoever," Stamper said. To assuage his fears, police agreed to allow KSP Trooper Jason Bates, a former Letcher County deputy whom Stines has known for years, drive him to Leslie County. Bates also joined in the interview in an attempt to calm Stines. Stines, however, still couldn't shake his fears. Sign Up To Get The True Crime Newsletter "Come on, be fair to me now," he said to Stamper. "I seen the look… Y'all come on now, don't kill me. Don't punish me, you know. Let's be fair. Don't shoot me, nothing like that." When police were finally able to settle Stines down enough to ask him what led to the shooting, Stines refused to answer. "Y'all are gonna kill me, aren't you?" he replied before again asking about the transportation to Leslie County. "Y'all are gonna kill me, I know you are," he said. "Let's just get it over with. Let's just go." The questioning culminated in a dramatic exit of the courthouse into the jail's sally port, during which Stines peered through windows and down stairwells, apparently looking for potential threats. "Come on guys, be fair with me now," he said on multiple occasions. A quiet hour-long drive to the Leslie County Jail followed, with the officers asking intermittently if Stines wanted to discuss what happened. According to Stines' attorney Jeremy Bartley, fear of blowback against his family stemming from his testimony in a civil lawsuit against a former Letcher County Sheriff's deputy drove him to the brink. "Specifically, in the approximate two-week period prior to the incident in the judge's chambers, pretty much all the witnesses the investigators talked to support what those close to Mickey had said as well," Bartley told Fox News Digital last week. "And that's simply this: Mickey had become extremely paranoid. He'd become sleepless, basically wasn't sleeping. [He] slept little, if at all. He had sort of become withdrawn. And you know, it was of such a concern that his co-workers urged him to go to the doctor, and he ultimately did the day prior to the shooting." "On the day that this [shooting] happened, my client had attempted multiple times to contact his wife and daughter, and he firmly believed that they were in danger," Bartley said. "He believed that they were in danger because of what he knew to have happened within the courthouse. And there was pressure, and there were threats made to him to sort of keep him in line, to keep them from saying more than these folks wanted him to say." Bartley is planning an insanity defense. Stines had been deposed just days prior in the explosive lawsuit, which was fraught with accusations of sexual abuse in the Letcher County Courthouse, specifically in Mullins' chambers, just three days prior to allegedly killing the judge. Stines was named as a defendant in the civil case, but only insofar as he allegedly failed to properly supervise the deputy who is the primary target of the suit. The attorney for the plaintiff in that case, Ned Pillersdorf, lobbed accusations about the culture of the courthouse in an interview with Fox News Digital last week. "Just my general concern as a criminal defense lawyer … they were running a brothel out of that courthouse," Pillersdorf said. "I mean, the pimping – at least three women we know of, though I think it's higher." Pillersdorf conducted the deposition with Stines three days before the shooting, and also noted that Stines was acting oddly. Bartley did not return a request for comment Friday. Prosecuting attorney Jackie Steele has not returned multiple comment requests. "The sheriff is obviously suffering mental impairment, though it is unclear exactly what his diagnosis or combination of diagnoses is," Dr. Carole Lieberman told Fox News Digital, adding that sleep deprivation could be an aggravating factor to a mental illness. Lieberman, a psychiatrist and mental health practioner who has been an expert witness in cases ranging from attempted homicide and domestic violence to celebrity divorce proceedings, said that Stines' most obvious symptom of mental illness is his paranoia. "Regardless of how many times they tried to reassure him that they were going to keep him safe, he would not let go of this delusion that their intentions were to kill him," she said. She described Stines as "panicky" during his interaction with law enforcement, and noted that the shuffling in his chair was an attempt to comfort himself. "The sheriff is in obvious discomfort, with his protruding abdomen taking over his presence, and rocking back and forth in the chair – which is self-soothing behavior," she said. "He is constantly grimacing, reflecting his physical and emotional pain." Another condition that could have contributed to Stines' behavior is called Brief Reactive Psychosis, and could have resulted from his deposition in the civil lawsuit three days earlier, according to Lieberman. She said that such a condition could have occurred "as a reaction to his having given a stressful deposition in a 'sextortion' case and being sued civilly himself, then suddenly realizing that his coworkers in law enforcement and the courthouse could turn against him if his testimony implicates them in criminal behavior." LANSING Mich. (WLNS) — A controversial method of population control has those who oppose it demanding, 'Don't Gas the Geese'. said the number of geese in some areas of the state is out of control. So to help, it will euthanize flocks by gassing them. People urged officials to rethink this on Thursday at a DNR Natural Resource Commission meeting. A leader for the group In Defense of Animals said they designed a billboard reading 'Tell Governor Whitmer Don't Gas Geese'. The leader said that the sign was strategically put up on I-96 ahead of the meeting to spread awareness. The DNR said killing the birds is always the last option but sometimes has to be done. During public comment, Karen Stamper shared her concerns. 'Which is it? public health or just convenient justification.' Stamper continued, 'I mean there are so many things that are wrong with this.' The program has always offered multiple methods of population control like hunting, scare devices, dogs, fences, and egg and nest destruction. In the past, there was also an option to round up geese and relocate them. Barbara Avers with the DNR explained why they are taking that option away. 'We've found that relocating is really unsustainable and we were quite frankly just running out of suitable places to put them,' said Avers. Then came the , which officials said only made matters more serious. So the decision was made to euthanize geese rather than relocate. 'We didn't want to have this increased risk of moving Canada geese around the state and potentially increasing that transmission of the virus,' said Avers. The method will be used between June and July and involves carbon dioxide. Officials stress that getting a permit to gas geese is a last resort after they've exhausted all other options unless there is a health or safety situation. 'This isn't a program that's just open to anybody,' said Avers. Karen Stamper worries that putting these geese down will happen without officials checking to confirm that permit applications are truthful and that criteria are actually met. 'They better check and see if there are deterrents. cause if there's no deterrents, they shouldn't do it.' Stamper continued, 'And if they're going to deter the geese they need to do two or three methods they can't just do one, do it for a day and say I tried. That's what a lot of them do.' Stamper said she saw geese get gassed last summer and that it's not as humane as one may think. 'Geese can hold their breath for quite a long time. and they'll panic and will stay alive for up to 45 minutes in those chambers,' Stamper said. The DNR said that this method is approved by the . it added that federal hunting regulations don't allow for a bigger goose hunting season. TERRE HAUTE, Ind. (WTWO/WAWV)— Saturday morning, Rose-Hulman was the host to an Aerial Drone Competition. There were 14 teams that competed with 12 of them being middle and high school teams and two of the being elementary school teams. Rose-Hulman's Vice President of Strategic Initiatives Rick Stamper said that having these students learn such an advanced skill at this age really helps them grow as a student. C2C set to host annual Prom Dress Giveaway 'We always want to promote designed thinking and problem solving, which is an important skill for any engineer, mathematician, or scientist,' said Stamper. 'These drones provide a great mechanism for them to do that. Programming the drones for autonomous flight is a challenging activity, but the students are drawn to it. It is a really nice way for them to have the experience and develop that skill set.' These teams competed in four main events including a teamwork challenge, autonomous and flight skills, and communication skills. South Vermillion's Robotics and Aerial Drone Coach Heather Scott said that along with learning programming and technology skills, they are also learning life skills. 'I see kids struggling with keeping track of everything that they need to do, and I think stuff like this encourages them to do that,' said Scott. 'Whether they want to continue programming, building or anything like that, there are a lot of real-world skills that get put into this.'
