Oakland-based cosmetics company buys Hailey Bieber's Rhode brand for $1 billion

Oakland-based E.l.f. Beauty has purchased Hailey Bieber's skin care and makeup brand Rhode for $1 billion. Bieber, a model, entrepreneur and the wife of pop singer Justin Bieber, started the casual beauty brand in 2022. 'I always had big dreams for the company, and the most important thing to me is to keep bringing (Rhode) to more spaces, places, and faces globally,' the social media mogul wrote in an Instagram post Wednesday, May 28, while announcing the deal. 'I found a like-minded disruptor with a vision to be a different kind of company that believes in big ideas and innovation in the same way that I do and will help us continue to grow the brand.' Bieber will now step into a larger role at the company, serving as its chief creative officer and head of innovation, in addition to acting as a strategic adviser to the combined companies. The acquisition is made up of $800 million in cash and stock and an additional $200 million payout dependent on Rhode's growth and performance over the next three years. E.l.f., created in 2004, is headquartered on 10th Street in Downtown Oakland, and its purchase of Rhode marks the company's largest to date. The East Bay company previously acquired skin care brand Naturium in 2023 for $355 million. E.l.f. reportedly praised Rhode's 'powerful engagement model' during its earnings call following the announcement on Wednesday, according to CNN, with CEO Tarang Amin noting that 'One of the things we really like about Rhode is just how tight the product assortment is.' Bieber launched Rhode, which is her middle name, as a skin care line but has since expanded to include an array of makeup products including blushes, lip balms and lip liners. There are currently 10 products available. Rhode made $212 million in net sales in its last fiscal year, which ended in March, gaining popularity among younger consumers in particular. Previously only available online and during rare in-person pop-ups, the brand announced earlier this year that products would be hitting the shelves of Sephora in North America and the United Kingdom soon. News of the acquisition comes as her husband is rumored to be on the verge of 'financial collapse' after having to sell his music catalog in December 2022, according to a TMZ documentary, 'TMZ Investigates: What Happened to Justin Bieber?' Available on Hulu, the film alleges that Bieber's financial troubles began when he was plunged into debt for pulling out of his 'Justice' world tour in 2022.

'Scooter's camp has told us that he just thinks Justin wanted to go home,' TMZ executive producer Don Nash claimed in the network's TMZ Investigates: What Happened to Justin Bieber? documentary that aired on Fox and is currently streaming on Hulu. 'He was tired, he wanted to spend more time with [his wife], Hailey [Bieber], he wanted to go on vacation, and he wanted to live his life without going on tour.' Sources close to Justin, however, told the outlet that the singer was 'set up for failure' from the start of the production. The TMZ team also alleged that tour promoter AEG paid Justin a $40 million advance to perform his biggest hits. (Neither Justin nor Braun, 43, has addressed the documentary's claims or spoken publicly about why they parted ways. Us Weekly has reached out for comment.) 'Justin's like, 'I don't have the money.' And so, Scooter's company, HYBE, they say, 'Look, we'll assume this debt and pay it off for you, Justin.'' Levin further claimed that Justin 'signed a note,' agreeing to repay Braun $24 million over a 10-year period. 'He makes one payment, and this is where the conflict starts,' Levin said. 'We're told from Scooter's side that Justin's people called and said, 'He doesn't have the money anymore,' and he's never paid another payment.' Levin also alleged that Justin's business manager 'did some digging' and found that Braun was 'way overpaying commissions.' Braun then ordered an internal audit of HYBE, which reportedly discovered that the 'Peaches' singer actually owes Braun $1 million. When Justin rebuffed the claims, Braun hired external firm Price Waterhouse to complete its own audit that revealed Justin owed $8 million. Justin Bieber's Team Calls Out 'Unnecessary' Report Alleging He's Millions of Dollars in Debt TMZ claimed that Justin wasn't pleased with the external audit and subsequently conducted his own investigation. The findings have not been publicly shared. 'By the way, if Justin had finished that tour, he would have made $90 million,' Nash added in the doc. Braun was the manager credited with discovering Justin on YouTube back in the early 2000s. Us Weekly confirmed in August 2023 that Justin 'officially let [Braun] go.' According to the insider, Hailey, 28, "led the charge that led Justin to leave him for another manager.' A second source, meanwhile, told Us that same month that Justin and Braun didn't have any 'bad blood.' 'Scooter created Justin for who he is. It's just a time and place to move on,' the second insider said at the time. 'Scooter used to be hands-on. He was doing [everything] behind the scenes for all his clients.
