Petro-Victory Energy Corp. Announces Corporate Update

DALLAS, July 21, 2025 /CNW/ - Petro-Victory Energy Corp. (TSXV: VRY) (" Petro-Victory" or " Company") announces that it has borrowed an aggregate of US$475,000 (the " Loans") and issued unsecured promissory notes to Thomas Cooper, a director of the Company, and to an arm's length third party (collectively, the " Lenders"). The Loans have a term of one year and bear interest at an annual rate of 14% per annum. The Lenders will be issued an aggregate of 1,062,123 bonus warrants (the " Warrants") in connection with the Loans, with 502,451 Warrants being exercisable at CAD$0.61 per common share on or before July 1, 2026 and with 559,672 Warrants being exercisable at CAD$0.61 per common share on or before July 7, 2026. The Company also announces that it has entered into an unsecured promissory note with a private company lender formed by Thomas Cooper and other arm's length third parties for a loan of up to US$3,000,000 to be drawn from time to time in multiple advances (the " Line of Credit"). The Line of Credit has a term of one year and bears interest at an annual rate of 14% per annum. The lender will be issued up to 6,747,541 Warrants in connection with the Line of Credit, with 2.25 Warrants to be granted for each US$1 of the principal amount advanced under the Line Credit. The Warrants will be exercisable at CAD$0.61 per common share on or before July 21, 2026. The Loans, the Line of Credit and the issuance of Warrants remain subject to TSX Venture Exchange (" TSXV") final acceptance. The Loan from Thomas Cooper in the aggregate amount of US$225,000 and the issuance of 502,451 Warrants in connection therewith and the Line of Credit and the issuance of the Warrants in connection therewith each constituted a "related party transaction" ‎under Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special ‎Transactions ("MI 61-101") as Mr. Cooper is a related party (as defined in MI 61-101) of the ‎Company. The Company relied on the exemptions from the formal valuation and minority ‎shareholder approval requirements of MI 61-101 contained in Sections 5.5(a) and 5.7(1)(a) of MI ‎‎61-101 in respect of related party matters, as the Company is listed on the TSXV and neither the fair ‎market value (as determined under MI 61-101) of the subject matter of, nor the fair market value of ‎the consideration for the transaction, insofar as it involves the related parties, exceeded 25% of the ‎Company's market capitalization (as determined under MI 61-101).‎ About Petro-Victory Energy Corp. Oxford Center owner charged in Michigan boy's hyperbaric chamber death to sell Brighton location

The CEO and founder of a Michigan-based medical center where a 5-year-old boy died in a hyperbaric chamber explosion is selling a Brighton location. Tamela Peterson, 58, was the CEO of the Oxford Center in Troy, where 5-year-old Thomas Cooper was killed in the explosion on Jan. 31. Thomas' mother, who was in the room at the time of the explosion, was injured. Peterson, along with three other employees, was charged in March in connection with the boy's death. Peterson is charged with second-degree murder. Two others were charged with second-degree murder, and a fourth person was charged with involuntary manslaughter. All four defendants pleaded not guilty. The Oxford Center began in 2008 in South Lyon, according to the company's website, and then moved to Brighton. A second location in Troy, where the explosion occurred, was closed The broker listing for the property at 7030 Whitmore Lake Road describes a 70,000-square-foot building on over 13 acres that could be used for "diverse office or medical needs with its spacious and adaptable layout." Ozark man faces DWI felonies following crash that left two injured

SPRINGFIELD, Mo. — A man from Ozark faces felony charges after a crash left two injured last year at S. Glenstone and James River Freeway in Springfield. According to court documents, Thomas Cooper, born 2000, faces charges of driving while intoxicated causing serious physical injury, a class D felony, and driving while intoxicated causing physical injury, a class E felony. The probable cause statement said the crash occurred at 1:37 a.m. March 2, 2024, as Cooper was driving on U.S. 60 in a black Ford Bronco when he struck another eastbound vehicle, a black Nissan Rogue, from behind. The Nissan struck a concrete median barrier after being hit by Cooper's vehicle. He was allegedly driving at a high rate of speed. Both vehicles came to a stop in the middle of the highway, according to the probable cause. One occupant in the Nissan suffered serious injuries from the crash, including a large cut on her head that required stitches, as well as a concussion and sprained ligaments of the spine. The other occupant of the Nissan suffered injuries including hand, foot, and back pain, the statement said. On scene, Cooper admitted to a Springfield Police Department officer he had consumed alcohol. Officers observed he had a faint odor of intoxicants coming from his breath. Additionally, he had bloodshot eyes and was wearing a paper bracelet consistent with those used at bars and clubs, per the statement. A breath sample showed Cooper's blood alcohol content level was 0.183%, which was over the limit of 0.080%, according to the statement. Cooper's open court bond is set at $7,500.
