The primary market puzzle: Too much, yet too little?

Typically, when primary markets are buzzing with palpable action, it is often a reflection of surging business confidence and economic momentum. When companies raise large sums of money through IPOs and QIPs (Qualified Institutional Placements), that new capital often flows into productive uses—new projects, capacity expansion, technology upgrades, and other capital investments.
Given the well-known multiplier effect of such investments, this can set off a virtuous cycle of economic growth. That is how usually the rub-off effect plays out for the economy from the robust primary flows. Is that the case now too?
FY25 saw a remarkable surge in capital raising, with over ₹3.14 trillion mobilized through IPOs and QIPs—a level rarely seen before. In fact, it's hard to recall any prior instance when Indian markets saw such a deluge of primary fund inflows. It could very well be a historical first.
So, the natural question is: Are we about to witness a new wave of economic growth, this time powered by private
capex
turn?
Let's dive in to dig deeper to find the answers.

For this exercise, all that we need to do is to go back and assess how the funds raised in the previous year translated into actual capital investments. In terms of
fundraising
from primary markets, FY24 was not far behind the year gone by (FY25).
It was equally a blockbuster year in its own right - though the overall quantum was smaller compared to the surge seen in FY25, it still marked a significant uptick in the primary market led primarily by
QIP
.
Markets witnessed fundraising of over Rs 1.40tn from primary markets in the year FY24, predominantly driven by QIPs which constituted over 54% of the overall quantum. This much is well known. But what has not received the deserved attention is how these funds were utilized subsequently.
Surprisingly, only a little over a quarter of the capital raised was actually deployed in new projects or any capacity expansion. A significant share went towards debt repayment and general-purpose corporate expenditure, while a substantial portion found its way into the hands of institutional investors or promoters through Offer for Sale (
OFS
) route.
The story is no different for FY25 with new capital projects receiving a meagre share of the overall fundraising. While this is good for the promoters and institutional investors, not so good for the economy. One doesn't need to go too far to understand this than to look at the much-trumpeted Hyundai
IPO
that happens to be the largest ever IPO India has seen. It was entirely an Offer for Sale
(OFS) by the parent company, Hyundai Motor Company, involving the sale of a 17.5% stake in its Indian subsidiary. No new shares were issued, and the Indian entity did not receive any proceeds from the IPO.
It is not going to stop here. Looking at the pipeline of IPOs, the story is likely to follow a similar script even in the current year. Many more MNC promoters are lining up to tap into the premium valuation that India offers to cash out in a hurry, especially given their financial challenges back home. It is a question of time before the LGs and Whirlpools of the world swing into this seductive IPO/QIP syndrome.
Imagine, what kind of multiplier impact it would have had on the growth if a larger share of the fundraising had gone into new capital projects. That much for the IPO boom.
It's intriguing—and somewhat concerning—that India Inc. has yet to fully unleash its animal spirits to invest in new projects and capacity expansion, especially at a time when the sun is clearly shining on the primary markets. For context, the share of private sector investment as a percentage of GDP has been stagnating around 11% for several years.
There was a brief glimmer of improvement in FY23, when this figure inched up to 12.3% from 11.4% in FY22. However, this momentum failed to sustain. Despite a booming primary market in FY24, private investment slipped back to 11.2% and is estimated to have further dipped below the 11% mark in FY25—the lowest in over a decade, excluding the Covid-induced slump of FY21 when it fell to 10%.
Global surplus capacity in many commodities, persistent Chinese dumping and the ongoing tariff related uncertainties could be the factors that are keeping India Inc. hesitant when it comes to unleashing new projects. It is hard to blame India Inc for not doing its due.
Given the subdued global outlook, these challenges are unlikely to recede any time soon. This means that the wait for the ever-elusive turn in the private capex cycle may be longer than previously hoped by the markets. While the market may continue to pin its hopes for a quicker turn, one needs to keep a tab on where the money gets utilized from the ever-increasing fund raise in the primary markets for any hints on such a turn. On April 28, Hariman Sharma, a farmer from the hills of Himachal Pradesh, walked up barefoot to Rashtrapati Bhavan's Durbar Hall to receive the Padma Shri from the President of India. He had developed a new variety of apple that could be cultivated in tropical or sub-tropical climate regions, potentially enabling it to be grown almost anywhere in our country. Sharma is not a government scientist or a researcher in a multinational biotech company. He is a common man. What does it mean to be a common man in India? A battle to make ends meet? Stealing moments of happiness before harsh reality creeps up? The World Happiness Index 2025, an initiative of Gallup, the University of Oxford and the UN's Sustainable Development Solutions Network, ranked India 118th among 147 countries. The ranking is based on people's self-evaluation of their lives. So, we have ranked ourselves lower than most of the world. A large portion of our economy thrives on our perceived unhappiness. From Bollywood to the health-supplement industry, everyone wants us to believe that they can bring joy into our lives. This pursuit of happiness is fuelled not by an inner striving for emancipation but by a confluence of images which seem to suggest a lack of meaning in our lives. With the information revolution, a new and powerful driver of unhappiness has emerged: FOMO. Our addiction to social media keeps us always wanting to not just keep up with our peers, but do better than them. In One-Dimensional Man (1964), Herbert Marcuse prophesied a world in which consumerism and mass media stifle originality. They create a 'blissful slave' , who is kept preoccupied due to the creation and pursuit of 'false needs'. He wasn't completely correct. We are far from being blissful. The pursuit of false needs hasn't been an entirely fulfilling affair. What we need in our lives determines our happiness, and unfortunately, we haven't really been good at identifying these needs, let alone planning a path towards achieving satisfaction. Union Minister of Commerce and Industry Piyush Goyal ruffled a few sentiments when he chided Indian start-ups for concentrating on food delivery apps when their Chinese counterparts were developing deep tech. What exactly is the need10-minute delivery apps are fulfilling? The need for instant gratification? In contrast, people like Sharma are quietly working towards fulfilling real needs. Hailing from Paniala village in Bilaspur (HP), Sharma observed apple seeds discarded in his backyard take root and grow into a fruit-bearing tree despite the warm, unfriendly climate. This set him off on a journey of experimentation that led to the development of the HRMN-99 apple. Similarly, Arunachalam Muruganantham designed and produced machines that produce low-cost sanitary napkins — these have benefitted 13 million women. He has created over 25,000 jobs with his invention. The movie, Pad Man (2018), winner of a National Award in 2019, was based on his story. Muruganantham was conferred the Padma Shri in 2016. Yanung Jamoh Lego from Arunachal Pradesh has popularised nature's herbal remedies. Her methods offer affordable and culturally rooted healthcare. She has helped revive traditional healing, empowered local women, and promoted sustainable health practices. Over 300,000 patients have been reported cured using her medicines. Yanung was conferred the Padma Shri last year. These stories have another thing in common. The National Innovation Foundation, an autonomous organisation under the Department of Science and Technology, nurtured their innovations. It has funded and supported 13 such common men and women who have later won the Padma Shri. Our society needs more such organisations. The theme of the World Happiness Report for 2025 is caring and sharing. We need to find more ways as a society to start caring for others around us. Niti Aayog and a deepening federalism

In the past 11 years, India has witnessed an era of cooperative and fiscal federalism. The Centre and state governments have worked together on socioeconomic transformation for the achievement of shared goals. The ideal of Team India championed by Prime Minister Narendra Modi has been the driving force behind this approach. Institutional and process reforms of unprecedented scale have brought about exceptional impact at all levels, the most significant being the rise of 25 crore citizens from multidimensional poverty. The transformation of the Planning Commission into the NITI Aayog in 2015 was an important change – it replaced a Centre-to-state one-way flow of policy with a collaborative partnership between the two. For long, knowledge resided where power was wielded. A phygital world is increasing the gap. NITI Aayog plays a vital role in bridging it. Unlike the Planning Commission, it encourages states to take ownership of their development agendas and has become a bridge between the Centre and states. The Aayog's annual Governing Council Meeting acts as the apex platform for the political leadership of the Centre and states to deliberate on issues of national importance. The annual Chief Secretaries Conference is a platform for the senior-most bureaucrats of the country to discuss challenges and share best practices. Its indices have acted as a catalyst for a competitive federal system, inspiring laggard states to improve their performance. The Aspirational Districts and Blocks Programme has been transformative in improving the quality of life of citizens from nearly 350 districts and 500 blocks. It has brought the most backward regions at par with state averages across key socio-economic parameters. The key to development for states is the availability of sufficient resources. A significant step in this direction was the decision to increase the states' share in the divisible pool of taxes from 32 per cent to 42 per cent. Recommended by the 14th Finance Commission and implemented by the Centre, this was the largest-ever change in tax devolution at one go. This was implemented in a cooperative spirit to provide autonomy to states in designing and implementing schemes. The Finance Commission's formula has been constantly evolving to address the states' fiscal autonomy and reduce inequality. Transfers to poorer states such as UP, Rajasthan and Chhattisgarh between the 11th (2004-05) and 15th Finance Commissions (2023-24) have seen substantial increases. If one looks at aggregate numbers from 2014-15 to 2024-25, states' share in central taxes increased from Rs 3.37 lakh crore to Rs 12.23 lakh crore. The GST Council has acted as a platform for fiscal federalism with decision making through consensus between the Centre and states. In actual terms, states receive around 71 per cent of the revenue from GST, while the Centre's share remains at about 29 per cent. Since the rollout of GST, the Centre has foregone 0.5-1 per cent of GDP in revenue annually to fund the 14 per cent compensation guarantee to states. About Rs 6.52 lakh crore have been provided as GST compensation to states from 2017-18 to 2024-25. The Centre's commitment to fiscal federalism has empowered states with more resources in the last decade compared to the previous decade. The ratio of gross transfers (including states' share in central taxes, grants, and loans) to GDP was 5.2 per cent in the decade preceding 2015-16, and has now increased to 6.5 per cent. During this period, grants from the Centre have increased by 234 per cent, and gross loans from the Centre have increased by a massive 992 per cent. The Union budget 2025-26 further proposed an outlay of Rs1.5 lakh crore for 50-year interest-free loans to states for capital expenditure. Even in states like Tamil Nadu and West Bengal, average central taxes and grants from the Centre as a percentage of total revenue increased from 25 per cent to 31 per cent and 49 per cent to 56 per cent, respectively, from the decade of 2004-14 to 2014-24. In absolute terms, the annual total transfer by the Centre to all states/UTs increased by Rs 14.96 lakh crore in this period. The division of subjects into the Union, State and Concurrent Lists enables efficient distribution of responsibilities to each level of the government. However, the Centre continues to contribute to subjects in the State and Concurrent Lists through the Central Sector (CS) and Centrally Sponsored Schemes (CSS). Between 2015-16 and 2023-24, CS and CSS releases registered an increase of 197 per cent. Some of the CSS have had a transformative impact. The Jal Jeevan Mission witnessed a 570 per cent resource allocation increase between 2019-20 to 2025-26 and benefitted 15.44 crore rural households with tap water connections. Between its launch in 2018-19 and 2025-26, the budget estimate for PM Jan Aarogya Yojana surged by 292 per cent. Consequently, out-of-pocket health expenditure has declined from 62.6 per cent to 39.4 per cent, with recorded savings of Rs 1.25 lakh crore during the same period. From 2020 to 2025, the allocation for PM Awas Yojana-Gramin surged by approximately 181 per cent with 2.67 crore houses already constructed by 2024. The grassroots change that these impactful schemes have brought into the lives of common citizens is evident. The Centre's commitment to cooperative federalism is equally evident as water, health and housing are all in the State List of the Constitution. The word 'federalism' is not specifically mentioned in the Constitution. Yet, it has been our guiding mantra. B R Ambedkar had said, 'Our Constitution would be both unitary as well as federal according to the requirements of time and circumstances'. The last decade has been a testimony to the power of cooperative, competitive and fiscal federalism and the positive impact it has had on the lives of 140 crore citizens. Breakout stocks buy or sell: Indian stock markets closed in the red on Tuesday, as both the Sensex and Nifty 50 extended their losing streak to a third straight session. By the close of trading, the BSE Sensex had dropped 636.24 points, or 0.78%, settling at 80,737.51. Meanwhile, the NSE Nifty 50 slipped 174.10 points, or 0.70%, to end at 24,542.50. Sumeet Bagadia, Executive Director at Choice Broking, believes that Indian stock market sentiment is cautious to positive as the Nifty 50 index is sustaining above 24,500. Speaking on the outlook of Indian stock market, Bagadia said, ' On breaching this support the market bias may turn weak and the key benchmark index may try to test 24,150 to 24,200 levels. On the upper side, the 50-stock index is facing hurdle at 24,800. So, one should maintain stock-specific approach and look at those stocks that are looking strong on the technical chart. Looking at breakout stocks can be a good option."
