Ferrero close to acquiring cereal producer WK Kellogg for about $3 bn

Ferrero International SA, a closely held Italian candy maker, is close to acquiring cereal producer WK Kellogg Co. for about $3 billion, according to people with knowledge of the matter.
Talks are advanced and a deal could be announced this week, the people said, asking not to be identified discussing private information.
Shares of Kellogg surged as much as 54 per cent in post-market trading after the Wall Street Journal reported earlier on Wednesday that the two companies are nearing a deal. The stock had declined 2.7 per cent this year through Wednesday's close, valuing the company at $1.51 billion.
A takeover of Kellogg has been speculated for several months. Dealreporter wrote in February that Ferrero was weighing a bid and the Betaville blog said earlier this week that Kellogg may have received takeover interest.
Representatives for Ferrero and Kellogg didn't immediately respond to requests for comment.
Kellogg, owner of cereal brands Froot Loops and Frosted Flakes, has been struggling to revive growth as consumers move away from sugary foods. In May, the company cut its guidance for annual organic sales, which strips out items including currency changes, to a decline of 3 per cent. Chief Executive Officer Gary Pilnick called out a 'challenging operating environment.'
In 2023 Kellogg Company split into two separate entities with its snacking business under Kellanova and its cereal brands under WK Kellogg.
Last year Kellanova, the owner of Pringles and Cheez-It, announced that it had agreed to be sold to closely held snacking company Mars Inc. for nearly $36 billion including debt, the largest deal of the year, Bloomberg's data showed.
Ferrero's brands include Nutella, Kinder and Tic Tac, according to its website. The company, founded in 1946, sells products in more than 170 countries. In the fiscal year through August, sales rose 8.9 per cent to 18.4 billion euros ($21.6 billion).
Ferrero has selectively bought brands, including from Kellogg before the separation, to bulk up its lineup of products.
It bought a portfolio of cookies and fruit-flavored snacks including cookie brand Keebler from Kellogg in 2019 for $1.3 billion. The year before, the company bought the Butterfinger and Baby Ruth brands from Nestle SA.
A WK Kellogg transaction would further diversify Ferrero's business after cocoa prices have surged recently for chocolate makers.

The Italian government on Wednesday approved a long-awaited plan to construct the world's largest suspension bridge, a $15.5 billion megaproject designed to connect mainland Italy to the island of Sicily, Associated Press reported. Prime Minister Giorgia Meloni hailed the decision, describing the proposed Strait of Messina Bridge as 'an engineering symbol of global significance." In a press conference following the approval, Italian Transport Minister Matteo Salvini said the project would be 'the biggest infrastructure project in the West." The green light came after a careful review by an interministerial committee responsible for overseeing major public investments. While the idea of the bridge has been proposed multiple times over the past few decades, it was consistently delayed due to environmental concerns, seismic risks, and fears of mafia infiltration in large public works. According to Salvini, the new bridge is expected to generate employment for over 1,20,000 people and serve as a key driver of economic growth for Southern Italy, a region that has historically lagged behind the country's northern industrial hubs. The project will also be accompanied by the development of new roads, railways, and other supporting infrastructure. The suspension bridge will span approximately 3.3 kilometers (2.05 miles) across the Strait of Messina. Preliminary work is expected to begin between late September and early October 2025, with full-scale construction scheduled to start in 2026. If all goes according to plan, the bridge could be operational between 2032 and 2033, Salvini added. Rome has also positioned the bridge as a strategic investment aligned with its NATO commitments. As part of a broader goal to raise military spending to 5% of GDP, Italy is allocating 1.5% of GDP to strategic infrastructure, including transportation links critical for national and regional defence. Once completed, the bridge would surpass Turkey's Çanakkale Bridge as the longest suspension bridge in the world. It is designed to include three lanes of traffic in each direction along with a double-track railway. The structure will be capable of supporting at least 6,000 vehicles per hour and up to 200 trains per day, significantly enhancing mobility between Sicily and the Italian mainland. Synopsis India's branded residences market is gaining traction, attracting major players like Marriott, ITC, Wyndham, and Radisson. These companies are exploring opportunities across various locations, driven by demand from HNWIs and NRIs for luxury, service-oriented living. The sector is projected to grow significantly, with brands leveraging their hospitality expertise to offer premium residential experiences. Agencies Marriott International, ITC Hotels, Wyndham Hotels & Resorts and Radisson Hotel Group are among a growing suite of companies pursuing branded residence opportunities in India. Add to the list two big Italian names—a luxury fashion house with interests in apparel and home furnishings and a luxury lifestyle major that's into real estate and hospitality. ITC Hotels MD Anil Chadha told ET this week it's in talks to enter the segment in India. Nandivardhan Jain, founder and CEO of Noesis Capital Advisors, said his company has undertaken over 17 feasibility studies for branded residences over the past two quarters, with half of these projects in advanced discussions for locations such as Mumbai, Delhi NCR, Bengaluru, Chennai, Goa, Solan, Coorg and Chikmagalur. The global branded residences market is valued at $60 billion, with Asia accounting for 42% of this. India, where the market is still nascent, has an 8% share of Asia's branded residence market, ranking among the top six countries in the region by market value. Such residential projects are typically established by, or in association with, luxury hospitality and fashion brands. These homes offer prestige addresses and brand-linked standards to go with them, along with premium pricing. Some may have brand's hotels adjoining the property. Jain estimates India's branded residence sector is projected to grow by 60% over the next five years, reflecting the appetite for luxury and service-oriented living, particularly among highnet-worth individuals (HNWIs) and non-resident Indians (NRIs).ITC is considering leveraging its boutique brand Storii. 'We are exploring if we can build Storii villas around a Storii property. In the Welcomhotel space, we are exploring opportunities for residences,' Chadha added. Marriott International is 'actively' exploring opportunities to expand its branded residence portfolio across the country through 15 brands. These include JW Marriott, St Regis, Marriott, Westin, Sheraton and The Ritz-Carlton, said Penny Trinh, vice president for mixed use development at Marriott International, Asia Pacific (excluding China).'We are in discussions for several new locations that align with our strategic vision and brand standards, including both tier 1cities and established lifestyle destinations,' she first of these, under the Westin brand, is expected to be launched by Marriott International and is anticipated to be completed in 2031. Radisson is 'well-positioned' to introduce this model in India, given its global experience in managing branded residences in markets such as Dubai and Istanbul, he said. 'Our aim is to integrate hotelgrade services into premium residential living, providing homeowners with access to concierge, wellness, housekeeping, and curated dining experiences,' Sharma said. 'We are evaluating brands such as Radisson Blu and Radisson Collection to ensure consistency in quality and service delivery.'International lifestyle brands that have achieved success in West Asia are also pursuing opportunities, said Deepak Jain, founder of Mayfair Consultants. Currently, we are assessing projects ranging from 60-120 apartments for locations such as Goa, Gurugram, Greater Noida and Mumbai,' he said. Dimitris Manikis, president of the EMEA region at Wyndham Hotels & Resorts, told ET last month that he's keen to explore possibilities in the space in India, perhaps lower down the price range.
