AM Best Revises Issuer Credit Rating Outlooks to Negative for Oklahoma Farm Bureau Mutual Insurance Company and Its Subsidiary

OLDWICK, N.J., May 29, 2025--(BUSINESS WIRE)--AM Best has revised the outlook to negative from stable for the Long-Term Issuer Credit Rating (Long-Term ICR) and affirmed the Financial Strength Rating (FSR) of B++ (Good) and the Long-Term ICRs of "bbb+"(Good) for the members of the Oklahoma Farm Bureau Group: Oklahoma Farm Bureau Mutual Insurance Company and its wholly owned subsidiary, AgSecurity Insurance Company, collectively referred to as Oklahoma Farm Bureau. The outlook of the FSR is stable. All companies are domiciled in Oklahoma City, OK.
The Credit Ratings (ratings) reflect Oklahoma Farm Bureau's balance sheet strength, which AM Best assesses as very strong, as well as its adequate operating performance, limited business profile and appropriate enterprise risk management (ERM).
The revision of the Long-Term ICR outlooks to negative from stable reflects pressure on Oklahoma Farm Bureau's operating performance assessment given multiple years of underwriting losses, which have been impacted by frequent and severe weather, inflation and increased cost of reinsurance. Consequently, operating performance metrics are no longer closely aligned with other adequately assessed rated carriers. While management has and continues to address the deterioration in the group's operating performance by implementing various corrective actions, including rate increases, and reunderwriting initiatives, the overall effectiveness of these actions remains to be seen.
Oklahoma Farm Bureau's balance sheet strength, which AM Best assesses as very strong, continues to be supported by its strongest level of risk-adjusted capitalization, as measured by Best's Capital Adequacy Ratio (BCAR), a conservative investment portfolio, relatively low reserve leverage and historically favorable reserve development.
The group's limited business profile assessment is indicative of the concentration risk as a single-state writer in the state of Oklahoma, which leaves results susceptible to weather and regulatory risk. In addition, the limited business profile assessment reflects its high property lines exposure. However, the group is the largest domestic carrier in the state of Oklahoma and controls the largest share of the farm and ranch market in the state.
Oklahoma Farm Bureau's ERM remains appropriate, inclusive of a formal ERM program that is appropriate for the complexity of the group's overall risk profile, as well as a comprehensive reinsurance program, which provides top-level limit well into its tail exposure.

Warner Bros. Discovery has been sued by Dirty Jobs host Mike Rowe, who alleges that the network is refusing to pay him certain streaming royalties and is misinterpreting his deal to shortchange him on other payments. Rowe, in a lawsuit filed on Tuesday in New York federal court, claims he hasn't seen some payments when the show was licensed to multiprogram distributors, like DirectTV and YouTubeTV, in violation of his deal. In deals struck in 2008 and 2011, Lab Rat, Rowe's production banner, secured ratings bonuses for linear airings of the show on Discovery-owned networks, a say in certain areas of distribution and the right to share in profits from various third party deals, according to the complaint. Tuesday's lawsuit isn't the first time the two sides clashed over payments. In 2015, Rowe conducted an audit that led to a five-year mediation. The result was a settlement and new participation agreement that, among other things, compensated him for airings of the show on streaming platforms on top of the provisions he secured in prior deals. This dispute revolves around the licensing of Dirty Jobs as video-on-demand content to third parties that carry Discovery's linear feed, which include Hulu + LiveTV, DirectTv and YouTubeTV. Rowe says that he hasn't seen payments for such deals, of which he's entitled to half of adjusted gross revenues. Contrary to the network's position that 'video-on-demand airings of Dirty Jobs on a multiprogram distributor or virtual multiprogram distributor are part of a [Discovery] linear service, the unambiguous definition' of the terms 'does not include on-demand access,' writes Randall Rasey, a lawyer for Rowe, in the complaint. The lawsuit also takes issue with the network calculating royalties for licensures of the show to Max and Discovery+ based on minutes viewed. 'Not only is this recently concocted interpretation by Discovery inconsistent with the Agreement, but Discovery has never accounted for such video-on-demand viewings,' states the complaint. In a statement, a Discovery Network spokesperson said, 'We value our long-standing relationship with Rowe and have fulfilled our contractual obligations for royalty payments. We dispute the allegations and will defend ourselves against these claims.' OLDWICK, N.J., June 03, 2025--(BUSINESS WIRE)--AM Best has commented that the Credit Ratings (ratings) of Southern Vanguard Insurance Company (Southern Vanguard) (Austin, TX) and the members of Stonetrust Insurance Group (Stonetrust) (Baton Rouge, LA) remain unchanged following the May 27, 2025, announcement that Wintaai America Inc. (Wintaai), Stonetrust's holding company, will be acquiring Southern Vanguard, subject to regulatory approval. The members of Stonetrust have a Financial Strength Rating (FSR) of A- (Excellent) and Long-Term Issuer Credit Ratings (Long-Term ICR) of "a-" (Excellent) with positive outlooks. Southern Vanguard has an FSR of A- (Excellent) and a Long-Term ICR of "a-" (Excellent) with stable outlooks. Wintaai owns 99.94% of Stonetrust and the remaining is owned by various employees. Wintaai will own 100% of Southern Vanguard following conclusion of the transaction, which is pending regulatory approval and expected to close by July 2025. Aside from the transaction cost, Wintaai will also add capital to Southern Vanguard as a post-close contribution. AM Best does not expect the transaction to have any material change to either the rating unit's rating fundamentals or business operations. AM Best will continue to evaluate each of these organizations independently while monitoring the progress and the effects of this transaction over time. Mike Dileo will remain president and chief executive officer of Stonetrust and Cory Moulton will remain president and chief executive officer of Southern Vanguard. Prospectively, the companies will continue to operate independently under common ownership.
