('Orogen' or the 'Company') is pleased to report profitable financial results for the first quarter ended March 31, 2025, underlined by significant cash generated from operations. The Company is also pleased to report that recently completed drilling at the Navidad discovery, by First Majestic Silver Corp. ('First Majestic'), has substantially increased the size of the mineralized area beyond the previously declared Inferred Resource estimate. The Navidad discovery is located on the 167 square-kilometre Ermitaño concession over which Orogen holds a 2% net smelter return ('NSR') royalty.

Summary of Results
Q1-2025 Results and Key Assets
Ermitaño Royalty, Sonora, Mexico
For the three-month period ended March 31, 2025, the Company recorded $2.1 million (2024 - $1.5 million) in royalty revenue generated from the Ermitaño mine. This represents 497 GEOs (2024 - 508 GEOs), a reduction of 2% from 2024, based on an average price of US$2,860 (2024 - US$2,070) per ounce. During the quarter, First Majestic processed 270,203 tonnes of ore, representing a 20% increase compared to the same period in 2024. The average silver and gold head grades were lower during the current period with 58 grams per tonne ('g/t') and 2.59 g/t, respectively, compared to 72 g/t and 3.16 g/t in Q1 2024. Silver and gold recoveries were 68% and 95%, respectively, consistent with 69% and 95% in 2024 1.
A total of 2,307 metres of underground development was completed at Ermitaño, representing a 3% increase compared to 2,250 metres in Q1-2024. Seven drill rigs were deployed over the period with five surface rigs and two underground rigs, completing 16,809 metres of drilling. Total exploration cost increased by 42% compared to Q1-2024, totaling US$3.0 million 1.
Expansion of High-Grade Mineralization at the Navidad and Winter Veins, Ermitaño
Following the December 31, 2024 initial Inferred Mineral Resource estimate of 249,000 ounces gold and 5.9 million ounces silver 2, drilling at the Navidad and Winter vein systems has significantly expanded the footprint of precious metal mineralization and returned higher-grade gold and silver intercepts than previously reported 3. Step out drill holes including EWUG-25-050 (Table 1) have expanded the Winter Vein by 175 metres and the Navidad Vein 325 metres to the east since the resource cut-off date, with the identification of a robust high-grade zone on the eastern flank of the known deposit.

Ongoing resource conversion drilling continues to confirm the continuity of gold and silver mineralization in both veins with the mineralized structure now traced for a combined 1.3 kilometres of strike and 450 metres down dip with all the veins current strike and possible projections on Orogen's royalty ground. Mineralization at Navidad remains open in multiple directions including both up and down plunge with nine drill rigs currently active on the property 3.

The total consideration consists of approximately $171.5 million in cash, approximately $171.5 million in Triple Flag shares, and shares of a new company ('Orogen Spinco') with an implied value of approximately $78 million. Orogen and Triple Flag have also agreed to the formation of a generative exploration alliance in the western United States, whereby Triple Flag will provide funding to Orogen Spinco for generating gold and silver targets considered geologically similar to the Expanded Silicon project. The initial US$435,000 budget will focus on identifying prospective exploration opportunities for incoming exploration partners, in exchange for cash, equity and retained royalty.

Non-IFRS Measures

The sides could not come to a new agreement after eight months of contract negotiations. With replacement workers in tow, the logistics giant says it will be able to sustain its Canadian network operations. DHL Express does not anticipate significant service disruptions for its 50,000 customers, which include apparel sellers like Vancouver-based Lululemon Athletica, Shein and Temu. On June 20, a federal law will go into effect banning replacement workers from being used in labor disputes such as strikes or lockouts. 'We will not stand by while DHL locks out our members across the country and threatens to use scabs in an attempt to pressure our members to take concessions. Our members deserve respect and a fair contract,' said Unifor national president Lana Payne in a statement. 'We expect DHL to abide by the law on the books, passed unanimously by Parliament, which will come fully into force later this month.' In a letter to Canadian Parliament, Payne said DHL's decision was an attempt to undermine the imminent 'anti-scab legislation.' She also said the union expects Canada Industrial Relations Board to issue all appropriate orders, such as fines of up to $100,000 per day, if replacement workers are still used by June 20. The union also alleged the company bussed in hundreds of replacement workers to tour its Hamilton, Ont. facility to train them ahead of a potential work stoppage. 'All DHL's actions are fully compliant with current legislation,' said a DHL spokesperson in a statement. According to the spokesperson, DHL has proposed a 15 percent wage increase over five years, with a 5 percent increase in the first year of the contract. Additionally, the company has touted a hike in pension match and benefits, as well as increased union representation rights. However, 'there simply was not enough progress' in the negotiations to result in a new collective agreement, the spokesperson said. Within the negotiations, the union's sticking points include accommodations for injured workers, clearer employee seniority lists, access to cleaner bathrooms and concerns over electronic surveillance. Unifor criticized changes that are suggested for the driver pay classification system, claiming that some workers driving 100 kilometers to pick up freight would get no compensation. Additionally, the union panned DHL for rerouting pickups across the whole country while reducing pay for owner-operators. In its statement, DHL said the revised compensation model for owner-operators and the review of its routes were designed to 'address changes to the economic viability and operational structure of the Canadian market.' DHL also said it has offered increased reimbursement for vehicles, as well as increased minimum guarantees. The company gave its lockout notice to Unifor members on Thursday. Last month, 97 percent of the union's membership voted in favor of a strike if negotiations broke down. Negotiations have been ongoing between the parties since Oct. 1, with the current collective bargaining agreement having expired on Dec. 31. The work stoppage comes as 55,000 Canada Post workers are stuck in their own labor dispute for a new contract. Both the national courier and its union, the Canadian Union of Postal Workers (CUPW), are at odds over how to go about settling a new deal, with Canada Post denying the labor group's request to move the talks to arbitration. On Monday, both parties traded barbs, accusing each other of not looking to seriously negotiate a new deal. 'However, Canada Post's actions suggest it does not want to negotiate,' the union said. 'It wants to rewrite our agreements—and is seeking to use government interference to further its goals.' Canada Post criticized the union of not responding to the 'final offers' the Crown corporation made at the end of May, which included a new signing bonus of up to $1,000 on top of the prior proposal of a 14 percent wage increase over four years. The carrier also suggested that the report compiled by an industrial inquiry commission established by Labour Minister Steven MacKinnon should be part of the terms of reference for any arbitration. 'The union's refusal to recognize the IIC report and its recommendations in their proposed terms of reference for arbitration is unacceptable,' Canada Post said. Canada to hit NATO spending target this year as it shifts defense focus toward EU

Canada will reach NATO's defense spending target of 2% of GDP this year, five years ahead of schedule, Prime Minister Mark Carney announced on June 9. Speaking at the University of Toronto, Carney said the move is part of a strategic pivot away from reliance on the U.S. and toward deeper cooperation with the European Union, citing growing security threats from Russia, China, and other adversaries. Carney said Canada's current military capabilities are inadequate, noting that only one of four submarines is operational and much of the maritime and land fleet is outdated. To reverse this trend, his government is launching a $6.8 (9.3 billion Canadian dollars) boost to the defense budget for 2025-26. The investment will be tabled in Parliament through supplementary estimates and directed toward rebuilding the Canadian Armed Forces, upgrading equipment, and expanding domestic production capabilities. The new defense posture includes reassessing major procurement decisions, such as the planned purchase of U.S.-made F-35 jets, and prioritizing partnerships with European firms for equipment acquisitions.
