SMI courts more CG controversy with re-appt of director who was ‘rejected' a month ago

PROPERTY developer South Malaysia Industries Bhd (SMI) which is facing backlash over shareholder rights and corporate governance (CG) practices is now embroiled in a controversy surrounding its e re-appointment of Latifah Abdul Latiff as the company's independent non-executive director (INED).
This follows the company's 53rd annual general meeting (AGM) on June 25 whereby SMI had an unprecedented all four resolutions proposed by its current board of directors 'rejected and voted down', including that of Latifah's re-election, prompting her resignation on the same day.
According to a Bursa Malaysia filing dated July 15, the 64-year-old former Bank Pembangunan Malaysia Bhd senior vice president/business banking head was appointed to her old INED role which she failed to seek re-election effective that day.
However, it was understood that proxies representing three major shareholders – Target 1 Sdn Bhd, Honsin Apparel Sdn Bhd and HIQ Media (M) Sdn Bhd – who collectively hold 50.05% of SMI's shares were unhappy with Latifah's re-appointment.
After all, the trio had been instrumental in ensuring a decisive rejection of Latifah who had offered herself for re-election during last month's SMI AGM.
For the record, the other three rejected resolutions included:
The re-appointment of Messrs UHY Malaysia PLT as auditors of SMI until the conclusion of its next AGM;
Approving directors' fees and benefits of up to RM350,000 to non-executive directors of the company and subsidiaries; and
Authority to allot and issue shares in general pursuant to Sections 75 and 76 of the Companies Act 2016.
Similar trend last year
'This incident mirrors a similar situation earlier on March 27, 2024 during which shareholders had rejected the re-election of executive director Leow Thang Fong who also resigned on the same day as the AGM following this rejection,' a market observer told FocusM on condition of anonymity.
'Yet, in a highly questionable move, the board re-appointed Leow as CEO barely a month later on May 1, 2024.'
The market observer contended that Latifah's and Leow's re-appointments have raised serious questions about SMI's adherence to the fundamental CG principles and the board's respect for shareholder decisions.
'Such practices could significantly undermine shareholder confidence and damage the integrity of Malaysia's capital market,' he justified.
'Given the importance of maintaining strong CG standards and protecting shareholder interests, we believe that a scrutiny by the relevant market regulators – namely, Bursa Malaysia and the Securities Commission Malaysia (SC) – into these developments is warranted.'
At the close of today's (July 17) market trading, SMI was unchanged at 31 sen with no transaction done while its market capitalisation stood at RM65 mil. – July 17, 2025

KUALA LUMPUR: Bursa Malaysia ended almost flat yesterday, with the key index slipping 0.08%, reflecting cautious market tone amid mixed domestic developments and bucking the broader regional trend. At 5pm, the FBM KLCI erased 1.27 points to end at 1,524.59 from last Friday's close of 1,525.86. The benchmark index was 0.60 of a point better at 1,526.86 at the opening bell and moved between 1,520.02 and 1,526.46 throughout the trading session. The market breadth was negative, with 607 losers overtaking 342 gainers and 504 counters unchanged, while 1,014 were untraded and seven suspended. Turnover improved to 3.5 billion shares worth RM2.68bil from 3.18 billion shares worth RM2.81bil last Friday. Rakuten Trade Sdn Bhd equity research vice-president Thong Pak Leng said upbeat sentiment was seen across Asia, however, selling pressure continued to persist across emerging markets. 'We believe investor funds are rotating into Hong Kong and Chinese equities. Locally, ongoing foreign and retail selling reflects a cautious wait-and-see sentiment. Nonetheless, the FBM KLCI is well supported above the 1,520 level. 'We reckon the selldown offers an opportunity to bargain hunt stocks at lower levels, hence we expect the index to trend within the 1,510 to 1,540 level for the week,' he added. UOB Kay Hian Wealth Advisors Sdn Bhd head of investment research Mohd Sedek Jantan opined that investors are assessing news of the Malaysian Anti-Corruption Commission probe, launched last Thursday in connection with alleged corruption involving a data centre project tender. 'The impact of the investigation appears confined to selected counters, with no sign of broader market contagion. 'This was underscored by the market performance where stocks linked to data centres, telecommunications and industrials ranked among the leading gainers, indicating that investor sentiment towards these sectors remains fundamentally resilient,' he added. Mohd Sedek also said that investors are expected to adopt a selective stance, reassessing exposures within the data centre and technology sectors rather than engaging in broad-based selling. Of the heavyweight stocks, Malayan Banking Bhd and Tenaga Nasional Bhd were flat at RM9.52 and RM13.78, Public Bank Bhd was one sen lower at RM4.30, CIMB Group Holdings Bhd rose one sen to RM6.52 and IHH Healthcare Bhd advanced six sen to RM6.63. Among the most active stocks, Sunway Construction Group Bhd was 49 sen lower at RM5.49, NexG Bhd gained one sen to 50.5 sen, Pharmaniaga Bhd advanced 6.5 sen to 22 sen while Tanco Holdings Bhd lost half-a-sen to 90.5 sen. The ringgit extended its gains against the US dollar at yesterday's close, as the greenback struggled to appreciate amid political uncertainties in Japan, said an analyst.

PETALING JAYA: The automotive industry is approaching a structural inflection point with key policy shifts expected within the next six months, amid intensifying competition in the electric vehicle (EV) space, according to a research house. The government will need to decide by year-end whether to end the completely-built-up EV import tax exemptions and Approved Permit regime, said BIMB Securities Research. The decision will shape the competitive dynamics of the local EV market, either accelerating liberalisation and inviting more aggressive price competition or maintaining a controlled environment that protects local players. Those with strong exposure to electrification, efficient sourcing structures, and high local content will be best positioned to navigate the transition, said BIMB Research. While short-term demand risks persist, particularly from policy uncertainty and price volatility, credible reform execution could unlock medium-term growth and margin stability. It retained its 'neutral' stand on the sector with a positive bias, favouring original equipment manufacturers aligned with themes of affordability, EV adoption and localisation. It reiterated its 'hold' call on Sime Darby Bhd (with a target price of RM1.76 a share) and MBM Resources Bhd (RM4.30 a share). It kept its 'sell' on Bermaz Auto Bhd (65 sen a share). Despite all companies under its coverage having EV exposure, the research house liked Sime Darby for its robust EV portfolio (BYD, BMW) and resilient internal combustion engine (ICE) volumes via Perodua. This balanced mix would ensure defensive earnings amid market transition and positions Sime Darby as a structural winner in both the ICE and EV spaces. BYD slashed the price of its 2025 Atto 3 Ultra by RM44,000 to RM123,800, with a special launch offer of RM118,800 for early buyers, placing it in direct price parity with Proton's Emas 7 Premium (RM119,800). This move has reignited speculation of an impending EV price war. It favoured controlled growth, as it aligned with the government's clear policy direction. The extension of tax incentives for completely-knocked-down EV until end-2027 reinforced Malaysia's commitment to fostering local EV production, supply chain localisation and long-term industrial development, it said.
