The CMA: Compensation for Investors Affected by Violations Committed in the Shares of 'Watani Iron Steel Co.'

RIYADH, Saudi Arabia, July 24, 2025 (GLOBE NEWSWIRE) — The Capital Market Authority (CMA) announces the completion of compensation for investors affected by the violations committed in the shares of Watani Iron Steel Co., which occurred before and after the company's direct listing on the Parallel Market (Nomu). These violations were committed by five individuals convicted under the decision issued by the Appeal Committee for Resolution of Securities Disputes (ACRSD), published on the websites of the CMA and the GS-CRSD on April 4, 2024. The decision, resulting from the penal lawsuit filed by the Public Prosecution and referred by the Capital Market Authority, obligated them to pay SAR 41.4 million in illegal gains resulting from these violations.
The compensations were deposited into the accounts of the affected investors through the Compensation Fund, which was established pursuant to a resolution of the CMA's Board to compensate affected parties in accordance with the distribution plan approved by the CRSD. This facilitates the compensation process and ensures that entitlements are delivered to their rightful owners with minimal effort.
Since the publication of the ACRSD's decision, the CMA has worked on assessing the appropriateness of activating Article (59) of the Capital Market Law, which grants the CMA the power to organize compensation procedures for individuals affected by violations and to establish dedicated compensation funds sourced from illegally obtained gains. Compensation for affected individuals is carried out in accordance with a distribution plan approved by the Committee. This led to the establishment of this fund to compensate eligible parties under a distribution plan approved by a decision of the CRSD, in line with the rules, procedures, and legal provisions to enhance the efficiency of these funds.
The approved distribution plan was designed in proportion to the scale of the violations committed, the value of the illegal gains realized from those violations, and the extent of harm suffered by investors who traded the company's shares during the violation period. Compensation amounts for some investors reached more than one million Saudi Riyals, representing the highest compensation approved by the CRSD. In this context, the CMA affirms that the distribution plan approved by the CRSD included all individuals proven to have suffered harm, based on the technical records. This does not preclude the right of any individual who believes they have been harmed but was not included in the distribution plan to file an individual claim with the CRSD to seek compensation.
Compensation funds complement the mechanisms that facilitate compensating investors affected by violations committed in the capital market. They add to the available avenues for compensation, such as individual lawsuits and class actions. The CMA adopts a set of criteria to determine the appropriateness of establishing a compensation fund using illegal obtained gains from violators whenever the facts and circumstances of a case indicate the existence of actual harmed parties and when the CMA deems that creating such a fund would be more effective and practical than other available means of compensation for damages sustained by market participants as a result of violations of the Capital Market Law and its implementing regulations. The CMA clarified that it employs a range of analytical tools to reach a systematic assessment regarding the suitability of establishing a compensation fund based on final decisions issued by the CRSD. This assessment relies on several criteria that help determine the most suitable compensation mechanism, whether through direct compensation via these funds or through class actions to claim compensation. These criteria include aspects related to the execution and collection of illegally obtained gains, the nature and number of violations committed, their impact, and the extent to which the Committees can adopt and practically apply the principle of compensation to all affected parties in the case under review.
The CMA affirms that, in the context of enhancing compensation opportunities, it has carefully studied global best practices applied in capital markets and adopted what aligns with the nature of the Saudi capital market. This contributes to improving the efficiency of compensation mechanisms, strengthening investor confidence in the market, and protecting their rights. These efforts form part of a broader package of strategic initiatives launched by the CMA to advance the development of a more sophisticated and competitive financial ecosystem.

The finding by an independent panel of the Competition and Markets Authority said on Thursday that the U.K. cloud market 'is not working well' and recommended the agency impose conduct requirements on Microsoft and Amazon to boost competition. The CMA's panel found that the cloud market was highly concentrated, with Amazon Web Services and Microsoft's Azure each commanding up to 40% of UK customer spending, with Google (GOOGL) trailing in third place. 'The CMA has said that it will keep under review possible options for further SMS designation investigations, and it anticipates that options will be considered by the CMA Board in early 2026. We expect that our findings and recommendations will be taken into account as part of its decision.' The firm says nearly every line in Amazon's retail business accelerated in the quarter. While management's tone around the second half of 2025 'sounds upbeat,' the post-earnings share selloff isn't surprising after the underperformance versus Azure, the analyst told investors in a research note. Meta Platform's stock gained 11% after it surpassed street expectations in Q2. The company noted that 3.4B people are using at least one of its apps each day. The UK's cloud computing market is 'not working well' and conduct requirements should be considered for the sector's two main players, Microsoft and Amazon, according to the competition watchdog. The final report from an independent inquiry group of the Competition and Markets Authority (CMA) has found that Microsoft and Amazon Web Services (AWS) are hurting competition in the cloud computing sector. Microsoft came under particular fire, with the panel's report saying it has 'significant market power' with some of its software products. It raised concerns over the way Microsoft charges Amazon and Google to use its software, which it said is driving up costs. The report recommends that the CMA uses new powers to give Microsoft and AWS so-called strategic market status in order to 'remedy the harms to competition that we have found'. 'This would enable the CMA to impose targeted and bespoke interventions to address the concerns we have identified, including with respect to features where there are specification risks around the design of effective market interventions,' according to the report. The CMA will now consider launching a probe into whether to hand them 'strategic market status', but this would not start until 2026 as it focuses efforts on proposals announced last week to assign this status to Google and Apple over their mobile platforms. The panel found that a lack of competition in the £9 billion cloud sector could be leading to higher costs, less choice and innovation, and a lower quality of services for businesses across the UK. AWS and Microsoft's Azure each have up to around a 40% share of consumer spend in the market, with Google lagging behind in third place. On Microsoft, the report said: 'Microsoft's licensing practices are adversely impacting the competitiveness of AWS and Google in the supply of cloud services, particularly in competing for customers that purchase cloud services which use the relevant Microsoft software as an input. 'As a result, Microsoft faces weaker competitive constraints from AWS and Google, its most significant competitors, which is reducing competition in cloud services markets.' Annual results from Microsoft on Wednesday showed booming sales in its Azure cloud computing business, with revenues for the division surpassing 75 billion US dollars (£57 billion) on an annual basis. A Microsoft spokesperson said: 'The CMA panel's most recent publication misses the mark again, ignoring that the cloud market has never been so dynamic and competitive, with record investment and rapid, AI-driven changes. 'Its recommendations fail to cover Google, one of the fastest-growing cloud market participants. 'Microsoft looks forward to working with the digital markets unit toward an outcome that more accurately reflects the current competition in cloud that benefits UK customers.' A spokesperson for AWS said the report 'disregards clear evidence of robust competition in the UK's IT services industry'. They added: 'The action proposed by the inquiry group is unwarranted and undermines the substantial investment and innovation that have already benefited hundreds of thousands of UK businesses. 'It risks making the UK a global outlier at a time when businesses need regulatory predictability for the UK to maintain international competitiveness.' But Google welcomed the findings and called for 'swift action'. Chris Lindsay, Google Cloud's vice president of customer engineering in the EMEA (Europe, the Middle East and Africa) region, said: 'The conclusive finding that restrictive licensing harms cloud customers and competition is a watershed moment for the UK. 'Swift action from the (CMA's) Digital Markets Unit is essential to ensure British businesses pay a fair price and to unleash choice, innovation and economic growth in the UK.' The Computer and Communications Industry Association (CCIA) cautioned there was a risk that the 'overly broad and prescriptive intervention' recommended could hamper investment in the UK and access to new technology. Matthew Sinclair, CCIA UK senior director, said: 'If the CMA goes ahead with these changes it would undermine the UK's competitiveness as business users here no longer get access to the latest cloud services.'
