Anaergia Inc. ('Anaergia', the 'Company', 'us', or 'our') (TSX: ANRG) (OTCQX: ANRGF), a company that offers integrated waste-to-value solutions to reduce greenhouse gases by cost-effectively turning organic waste into renewable natural gas ('RNG'), fertilizer, and water, released its financial results for the three- and six-month periods ended June 30, 2025 ('Q2 2025'), and the related management's discussion and analysis ('MD&A') for the period. All financial results are reported in Canadian dollars unless otherwise stated.
Highlights and Management Commentary
Anaergia's financial results for the second quarter of 2025 reflect the ongoing strategic transition in its business model. The Company's shift to a capital-light strategy was the primary driver behind our strong quarterly results led by significantly higher revenue, higher gross profit margin, and an increase in Revenue Backlog.
Anaergia is uniquely positioned to benefit from the growing demand for sustainable waste solutions, underpinned by a robust market, and regulatory and environmental tailwinds. The Company provides complete, integrated resource recovery solutions globally. Anaergia's products and services respond to regulatory and customer demand for sustainable waste management services that are superior to landfills and composting while producing carbon negative fuel, thereby reducing greenhouse gas emissions. Anaergia is focused on providing cost effective and sustainable solutions that leverage our experience with project development, execution and our network of owned infrastructure.

"Additionally, our Revenue Backlog surged to $244 million at the end of the quarter, increasing from $200 million in the previous quarter and $104 million at the start of the year. This growing backlog, along with $43.8 million in new contracts announced since the end of the second quarter, enhances our visibility and optimism for the future. We are enthusiastic about the ongoing transition and remain confident that the most promising developments are yet to come," added Mr. Onn.
Financial Results for Q2 2025
Financial highlights:
Revenue increased by 36.8%, or $8.7 million, to $32.3 million in Q2 2025, as compared to Q2 2024. Revenue increased primarily due to higher revenue from Capital Sales, most significantly in Italy and North America.
Gross profit margin percentage increased to 32.5% in Q2 2025 from 17.6% in Q2 2024, or a 14.9 increase in percentage points. This is attributable to higher margins from all three segments, Capital Sales, Build-Own-Operate ('BOO'), and Operation Maintenance Services ('O&M').
Adjusted EBITDA 1 loss in Q2 2025 of $2.2 million improved by 72.1%, from an Adjusted EBITDA loss of $8.0 million reported in Q2 2024. This positive variance reflects a substantial improvement in our results from operations which was driven by the increases in revenue and in gross profit.

Non-IFRS® Measures
This press release makes reference to certain non-International Financial Reporting Standards ('IFRS') measures. ' Adjusted EBITDA ' is defined as net earnings before finance costs, taxes and depreciation and amortization adjusted for our normalized proportionate interest in our Build-Own-Operate assets and one-time or non-recurring items, stock-based compensation expense, asset impairment charges and write downs, gains and losses for equity-accounted investees, gain or loss on equity method adjustment, significant one-time provisions, foreign exchange gains or losses, restructuring costs, Enterprise Resource Planning ('ERP') customization and configuration costs, litigation and other claims settlements, gains and losses resulting from changes in certain balance sheet valuations (such as derivatives and warrants) and acquisition costs.
' EBITDA ' is defined as net income before finance costs, taxes and depreciation and amortization.
' Revenue Backlog ' is defined as the balance of unrecognized, undiscounted, consolidated revenues from signed contracts in our Capital Sales and O&M Services segments. For our Capital Sales contracts, we have modeled only projects that have been contracted. For our O&M Services segment, while most of our in-hand contracts are 5-15 years in tenure, we have conservatively modeled for only 3 years of contracted revenue. The union representing Air Canada AC-T flight attendants has rejected the airline's proposal for binding arbitration, leaving bargaining suspended as time winds down toward an impending strike deadline early Saturday. The airline and the Air Canada Component of CUPE have been in contract negotiations for months over an agreement for more than 10,000 Air Canada and Air Canada Rouge flight attendants. Both sides have blamed the other for stalled negotiations and misinformation about offers on the table. The main sticking points have been wages and time for hours worked. On Thursday, federal Jobs Minister Patty Hajdu said Air Canada had requested binding arbitration and that she had given the union until noon Friday to respond to the request. In a statement Friday afternoon, CUPE urged Ms. Hajdu to reject the proposal, accusing Air Canada of depending on government intervention to avoid an impending strike and grounding of a massive portion of its fleet. There were no talks ongoing as of Friday afternoon. 'Rather than continuing to negotiate in good faith, Air Canada appears to have anticipated government intervention and has opted to suspend meaningful discussions, contrary to its legal obligation to bargain in good faith,' the union said in the statement. On Wednesday, the union gave Air Canada notice of its intent to strike, which enables its flight attendants to walk off the job just before 1 a.m. Saturday morning. In response, Air Canada issued notice it will lock out those employees shortly after that deadline, and began winding down operations across the globe. About 1,000 flights are expected to be cancelled on Saturday, grounding about 130,000 customers, according to Air Canada. Flights had already begun to be cancelled on Thursday as Air Canada wound down operations. As of noon on Friday, just under 300 flights had been cancelled and about 56,000 customers affected, the airline said in a post on social media. Air Canada anticipated about 500 flight cancellations Friday, though it expects additional cancellations as about 300 flight attendants did not report for work, the airline also said in a social media post. The strike is not expected to impact flights operated by Air Canada Jazz or partner airlines. In a post late Thursday night, the airline said about 300 flight attendants did not report for work, which would lead to additional cancellations.

Blackstone last month said it is preparing more companies to go public than any other time since the record IPO year of 2021. Last week, Joly sided with the Canadian Radio-television and Telecommunications Commission (CRTC) after it decided to allow for greater competition on existing networks for high-speed Internet services across the country. 'By immediately increasing competition and consumer choice, the CRTC's decision aims to reduce the cost of high-speed Internet for Canadians and will contribute toward our broader mandate to bring down costs across the board,' Joly said in a statement. The decision means, for example, that Telus can use other providers' networks to attract thousands of customers in Ontario and Quebec instead of building its own infrastructure. It has angered major players in the sector, such as Bell, Rogers, Eastlink, and Cogeco, who said it would harm them, and the investments needed to improve their networks. They also questioned the potential for cost reduction. In an interview with the National Post, Benhadid cited Statistics Canada to claim that costs in some regions of the country had fallen by 13.5 per cent since the CRTC released the new framework a year ago. He also challenged his competitors to invest in Western Canada, where Telus has a strong presence. 'It's symmetrical. (All these companies) can come and compete in Calgary, Edmonton, Vancouver. Everywhere we serve, our fibre is available. So it's hard to understand this argument that it's not good. They don't want to come and compete in the west. It doesn't work for their strategy,' he said. Most of the sector's key players are based in Ontario and Quebec, with Montreal housing three headquarters. Telus is based in Vancouver, British Columbia. But Benhadid was quick to point out that when he joined Telus in 2000, fresh out of school, the company was a small amalgamation of regional players from Western Canada. This Montreal engineer, a graduate of the École Polytechnique at the Université de Montréal, recalls that the company he joined had only four employees in Quebec's largest city. Today, Telus has more than 6,000 employees in Montreal. 'So it's always been in our DNA to compete and be present across the country,' said Benhadid. During the interview, he often highlighted Cogeco's business model, which includes investments abroad, notably its failed attempt to conquer the Portuguese market two decades ago. The Telus executive's comments came a few days after the CEO for Cogeco told National Post he wanted to 'ring the alarm bell' because he never thought that 'such a damaging, dangerous decision' as the one Joly made on Aug. 6 'would or could be made.' 'We had high hopes that this new government would make better decisions for business and the Canadian economy,' Frédéric Perron said. 'And what we saw last week, by the minister's decision, is more reminiscent of old Trudeau era, superficial policies.' Many key industry players expected Minister Joly to announce her rejection of the CRTC's decision. But for Telus's CTO, these comments came as a surprise. 'I am surprised, because objectively they don't stand in front of the economic theories test,' Benhadid said. At a time when Prime Minister Mark Carney wants to see Canadian companies invest in Canada, several players in the telecommunications industry say that Joly's decision will not encourage them to do so. Financial analyses they're citing, including from Bank of America and National Bank, predict that such decision would lead to 'a decline in future investments in telecommunications infrastructure.' This file has also become a political melodrama in some corners of Parliament Hill. Since Joly announced her decision on a hot and dry summer evening last week, she has remained silent and did not offer any other comments than the statement she released. On Thursday afternoon, the Bloc Québécois asked the minister to review the decision. 'Maintaining this status quo makes no sense, especially since even two of the three major telecommunications players opposed it. By doing so, Minister Joly will prevent smaller telecommunications players from becoming competitive and growing, and it is the citizens who will pay the price,' said the Bloc's Industry critic Gabriel Ste-Marie. But for Telus, the regulatory issue is settled, and its leadership team is ready to move forward. The company recently announced it will expand broadband services in Ontario and Quebec with $2-billion investment in areas that don't already have fibre. 'So the areas that companies are saying they're not going to invest in we will. And after five years, they will have access to this fibre,' he said. 'So, their strategy is to not compete in Canada. Their strategy is to do something else. And now they're trying to justify their strategic choices.'
