GCL Subsidiary's Offer for Ban Leong Technologies Declared Unconditional in all Respects

SINGAPORE, May 27, 2025 /PRNewswire/ -- GCL Global Holdings Ltd. (NASDAQ: GCL) ("GCL" or the "Company") is a leading provider of games and entertainment and the indirect parent company of Epicsoft Asia Pte. Ltd. (the "Offeror"), the bidder seeking to acquire all of the issued and paid-up ordinary shares in the capital of Ban Leong Technologies Limited (SGX: B26) ("Ban Leong"), excluding shares held in treasury (the "Shares") pursuant to Rule 15 of the Singapore Code on Take-overs and Mergers (the "Offer"). The Offeror today announced that the total number of Shares owned, controlled or agreed to be acquired by the Offeror and parties acting in concert with it (including by way of valid acceptances of the Offer) represent approximately 50.90% of the total number of Shares as of May 27, 2025, and accordingly, the Offer has become unconditional as to acceptances and is hereby declared unconditional in all respects.
If the Offeror acquires 90% or more of the total number of Shares (whether through valid acceptances pursuant to the Offer or otherwise), the Offeror will be entitled to exercise its right under Section 215(1) of the Companies Act 1967 of Singapore to compulsorily acquire all the Shares from shareholders of Ban Leong ("Shareholders") who have not accepted the Offer at a price equal to the offer price of S$0.6029. The Offeror will then proceed to delist Ban Leong from the Singapore Exchange Securities Trading Limited, if the minimum free float requirement is not met.
Shareholders who wish to accept the Offer should submit the relevant acceptance form(s) by the close of the Offer at 5:30 p.m. (Singapore time) on July 2, 2025 (or such later date(s) as may be announced from time to time by the Offeror). Further details of the procedures for acceptance of the Offer are set out in Appendix 2 to the Offer Document dated May 21, 2025.

Rivian Faces a Dreaded Triple Whammy. Can the Stock Recover?

Key Points Losing sales of regulatory credits is a blow to the bottom line. Tariffs have added costs and complexities to the supply chain. Removing the $7,500 federal EV tax credit will hurt demand late in 2025. 10 stocks we like better than Rivian Automotive › Rivian (NASDAQ: RIVN) just drove in its second quarter that certainly felt negative impacts from multiple angles. The company reported a 13% rise in revenue to $1.3 billion and a narrowing net loss of $1.1 billion compared to the prior year's $1.5 billion, and reaffirmed its delivery guidance of 40,000 to 46,000 vehicles. Rivian also reported its full-year adjusted EBITDA loss is expected to be between $2 billion and $2.25 billion, worse than the prior forecast of $1.7 billion to $1.9 billion. Let's take a quick look at the triple whammy sending speed bumps at the young electric vehicle (EV) maker. Goodbye easy money When it comes to easy money, it doesn't get much easier than EV makers selling zero-emission, or regulatory, credits. Essentially, automakers that produce EVs are given credit for meeting emissions standards, while vehicles that don't meet emissions standards are fined. One way to get out of the fine is to simply purchase regulatory credits from automakers such as Rivian that don't have an internal combustion vehicle portfolio to offset. However, the Trump administration recently did away with the penalty for not meeting emissions standards, and thus removed the incentive to buy these regulatory credits. That's a significant, and sudden, removal of a vital chunk of business for Rivian. Now Rivian expects to receive no more revenue for the credits and for regulatory credits to generate roughly $160 million in 2025, down from the prior expectation of $300 million. Tortuous tariffs You aren't to be blamed if you can't keep up on all the tariffs, reciprocal tariffs, retaliatory tariffs, trade policy changes, among other developments. But the simple truth is the introduction of these tariffs complicated the lives of automakers and their investors, and Rivian is no different. The tariffs set by the current administration hit imported auto parts, causing pain even for companies such as Rivian that manufacture vehicles inside the U.S. Not only is that raising costs and eroding margins, it's causing supply chain disruptions and constraints that contributed to Rivian producing under 6,000 vehicles during the quarter, compared to nearly 14,000 during the prior year. Unfortunately for investors, management expects changes in trade regulation and tariffs to have a negative impact on cash flow, which had been long trending in the right direction, as you can see in the graph below. Rivian also expects tariffs to negatively impact vehicles by a couple thousand dollars per unit for the remainder of 2025, which is a big deal for a company already losing tens of thousands per vehicle. But tariffs are only part of the problem, and it goes hand in hand with the administration's removal of the $7,500 federal EV tax credit. No longer a shock In the world's least kept secret, the $7,500 federal tax credit for EV purchases is set to go away at the end of September. It's apparent that long-term demand will be negatively impacted with the tax credit making every qualifying vehicle more expensive. But investors also need to be aware of the impact the knowledge of the credit's removal had on demand. First, it created a pull forward effect as consumers on the fence rushed to buy an EV before the credit disappeared. That coincided with a boost in OEM production as automakers rushed production ahead of tariffs, increasing costs on imported parts and vehicles. But that also means there's almost certainly going to be an equally powerful lull once that pull-through demand is worked through and the new reality of likely cost increases sets in, probably during the fourth quarter. That's important because for Rivian to hit its full-year delivery target it needs a strong second half for demand and deliveries. It currently expects the third quarter to post the strongest for deliveries, so it will be a key quarter for investors to watch after demand and deliveries have trended lower. What it all means A triple whammy of negative impacts from tariffs and trade regulation, removal of the federal tax credit, and lost revenue from regulatory credits amid slower than anticipated EV industry growth makes for a rough year for Rivian. For long-term investors, the thesis hasn't changed: It's all hands on deck until the R2, R3, and R3X are driving into consumer garages. Rivian can absolutely recover from these negative developments. However, it's becoming more and more clear how much Rivian's future depends on the R2, and that's why the company remains high risk, high reward. Invest accordingly. But if you are a dividend-focused investor, you should probably look at the many long-term positives here. Indeed, if history is any guide, the negatives keeping the stock depressed are highly likely to be short term in nature. Here's why PepsiCo can still satisfy investors with a thirst for dividends. PepsiCo is a very well-run business PepsiCo is one of the largest beverage makers on the planet, with its namesake brand leading the way. It is also the most important salty snack company, thanks to its Frito-Lay business. And it has a strong position in the packed food space with Quaker Oats. It is one of the most diversified food companies you can buy. It also easily competes with its peers. PepsiCo has a well-honed distribution system and a strong research and development (R&D) team. Its advertising might is on par with any of its competitors. And it is large enough to act as an industry consolidator, buying up-and-coming companies to quickly expand its brand portfolio. However, even well-run companies end up struggling once in a while. And today, PepsiCo is in a funk, lagging behind its closest peers on key financial metrics. For example, the 2.1% organic sales growth PepsiCo achieved in the second quarter of 2025 was less than half of the 5% achieved by its beverage-focused archrival Coca-Cola. Given the often myopic vision of Wall Street, PepsiCo's stock has fallen -- a lot. Even after a recent rally, PepsiCo's shares are down more than 25% from their 2023 highs. That's pushed the dividend yield up to a historically high 4% or so. Is PepsiCo's nosedive a sign of risk or an opportunity? So, when a stock price falls as far as PepsiCo's stock price has fallen, investors need to stop and take notice. Yes, PepsiCo is an industry laggard right now. But for investors who think in decades and not days, PepsiCo's stock looks incredibly cheap. The historically high yield hints at this, but the view is backed up by price-to-sales, price-to-earnings, and price-to-book value ratios that are all below their five-year averages. This is a big opportunity because PepsiCo has proven over time that it knows how to muddle through the rough periods so that it can excel over the long term. The biggest indication of this is the company's status as a Dividend King with over five decades of annual dividend increases under its belt. You can't build a track record like that by accident. It requires discipline, consistency, and a good business plan. What's interesting is that, despite the current headwinds the company is dealing with, the board of directors voted to increase the dividend in June 2025. The 5% increase is well above the historical growth rate of inflation and fairly impressive when you consider how negative investors are on the stock. Clearly, management and the board believe there are good things ahead for PepsiCo. High-yield PepsiCo is still delivering the goods For long-term dividend investors, the best time to buy stocks is often when they are facing problems that are likely to be short term in nature. That appears to be the case today with PepsiCo, noting that it recently bought a Mexican-American food maker and a probiotic beverage company to help modernize its brand portfolio. Given enough time, this Dividend King is likely to muddle through again, just like it has many times before.
