Brokers seek time to prepare for same day settlement

Retail investors' dreams of settling their trades on the same day that transactions occur aren't likely to materialise significantly more than a year after the Securities and Exchange Board of India (
Sebi
) launched the same-day settlement cycle, or T+0.
At a meeting last week, close to 10 qualified stock brokers (QSBs) requested that market regulator Sebi extend the 1 May deadline for offering a same-day settlement option to any of their clients desirous of such a cycle.
As most top brokers are operationally unprepared for such a cycle, Sebi could extend the deadline for the QSBs to provide their clients with the option of same-day settlement. Currently, very few brokers offer this option to clients as their risk management and order management systems cannot handle the scale for a same-day settlement.

"Most QSBs requested the regulator to stretch the 1 May deadline by three to four months to become operationally fully prepared for offering clients the option for completion of trade on the same day," said a QSB official aware of the meeting.
"I think Sebi could grant us more time to get our systems fully geared for same-day settlement," said the head of another QSB. He added that the current settlement cycle of T (trade) plus one—where shares hit a client's
demat
account and money is credited to the seller's account a day after the trade—was "very popular" among market participants.
An email query to Sebi on whether the deadline for QSBs would be extended was not answered till press time.
However, a person aware of the development said that Sebi is not mandating "universal adoption," but is still closely monitoring several issues, such as "FPI participation and custodian readiness."
To be sure, India became the first country to implement a T+1 settlement cycle for all listed stocks on 27 January 2023. On 28 March 2024, a year later, Sebi introduced the optional T+0 settlement.
In the first phase, trades by retail investors between 9:15 am and 1:30 pm are considered for same-day settlement by 4:30 pm, according to
ICICI Securities
. Gradually, trading hours will be extended to 3:30 pm, in line with the regular market hours from Monday to Friday. In the second phase, institutional investors will also have the option to trade under the T+0 cycle.
While initially applicable to just 25 scrips, Sebi announced on 10 December 2024 that the optional T+0 settlement would be extended to the top 500 stocks from 31 January 2025, starting with scrips at bottom 100 companies and gradually include the next bottom 100 companies every month till the top 500 companies are available for trading in optional T+0 settlement cycle.
Currently, investors can trade in over 5,600 listed stocks.

The regulator also clarified that entities meeting the QSB criteria—based on minimum active clients and other parameters—must put in place necessary systems and processes to enable seamless investor participation in the optional T+0 cycle.
Additionally, Sebi directed stock exchanges to implement a new 'Block Deal window" exclusively for the morning session from 8:45 am to 9:00 am, in addition to the existing windows from 8:45–9:00 am and 2:05–2:20 pm for T+1 settlements. 'The trades in the optional T+0 block window session will be settled on the T+0 settlement cycle," Sebi clarified.
The QSB and block deal parameters are to come into effect from 1 May 2025.
QSBs are brokers who hold a significant position in Indian stock markets based on their size, trading volumes and amount of client funds handled by them. QSBs include brokers like Groww, Zerodha, Upstox,
Angel One
, ICICI Securities , HDFC Securities, Kotak Securities,

, etc.
The fact of lacklustre same day settlement trading is borne by just one share of SBI being traded on BSE on Monday against 6.98 lakh being traded under the T +1 settlement cycle. On BPCL it was just 2 under T+0 zero versus 4.5 lakh under prevalent settlement and in

just 2 shares against 32,000, per BSE data. As of FY25, there were 397 brokers handling 4.92 crore active clients of NSE, the country's largest stock exchange.
The benefits of same-day settlement include increased trading opportunities and reduced settlement risk for investors. Rolling settlement was introduced on a T+3 basis in 1993, followed by a T+2 settlement cycle in 2003. Sebi implemented the existing T+1 settlement in January 2023.
Currently, buying in one settlement cycle and selling in the other is not possible.

The Securities and Exchange Board of India (Sebi) is considering a fresh round of reforms to its block deal framework, with proposals to raise the minimum trade size and widen the permissible price range, according to people familiar with the matter. The markets regulator, according to the sources, is weighing an increase in the minimum block deal size to ₹25 crore, from the current ₹10 crore, in a bid to channel smaller trades towards the regular cash market. The existing threshold was set in 2017, when Sebi last carried out a major overhaul of the framework.' Another significant change under discussion concerns the price band for block deals. At present, trades can be executed within a 1 per cent band on either side of the previous day's closing price. Sebi is understood to be considering a wider band of up to 3 per cent for non-derivative stocks, while retaining the 1 per cent band for futures and options (F&O) scrips to reduce the risk of market manipulation. A separate dispensation is also being examined for SME-listed stocks, the sources said. The proposals were discussed at a recent meeting between the regulator, stock exchanges, and other market participants. Sebi had earlier constituted a working group to review the block deal framework. Emailed queries to the regulator remained unanswered until the time of going to press. Market experts said raising the minimum block deal size is a good step given that a ₹10-crore trade can be comfortably executed through the normal trading window. 'The 1 per cent up/down price range from the previous day's price was quite limiting. It prevented block discounts to market price as well as premiums. Now the 3 per cent range gives a little more flexibility to buyers and sellers to price a block,' said Kaushik Mukherjee, partner at IndusLaw. Mukherjee said retaining the existing band for F&O stocks was 'a mindful move', aimed at preventing manipulation through block deals that could create artificial demand to profit from F&O bets on the same stock or on indices whose volatility depends on the price of that stock. Pranav Haldea, managing director of PRIME Database, said thresholds should be reviewed periodically, 'preferably every five years, so they remain aligned with market growth.' He added that the block deal mechanism had provided comfort to foreign investors by allowing smoother exits. Block deals remain an important avenue for large institutional trades. In 2025 so far, block deal transactions have aggregated around ₹1.32 trillion, with the highest monthly activity in June at ₹77,000 crore. Volumes in August have so far stood at around ₹4,300 crore. Vivek Boray, partner at King Stubb & Kasiva, Advocates and Attorneys, cautioned that while the proposed framework could aid transparency and price discovery, it might reduce options for mid-sized investors. 'The discussions reflect Sebi's broader push to deepen liquidity in Indian markets,' he said. Currently, exchanges operate two 15-minute block deal windows on all trading days -- from 8.45 am to 9.00 am, and from 2.05pm to 2.20pm. Orders in these windows must be placed within 1 per cent of the previous day's closing price. The key advantage is that sellers are able to place shares directly with their preferred buyers.

Mumbai: The Mumbai bench of the National Company Law Tribunal (NCLT) on Wednesday asked Vedanta Ltd to respond within four weeks after the Union ministry of petroleum and natural gas objected to its upcoming demerger, potentially delaying the process and injecting uncertainties into the company's plan first announced two years ago. The case, heard by a bench of justices Mohan Prasad Tiwari and Charanjeet Singh Gulati, is next listed for hearing on 17 September. The development could push back the timeline for Vedanta's demerger. The company had first announced its plan to demerge into six separately-listed entities in September 2023. It had aimed to complete the demerger by March 2025. However, last December, it estimated that the demerger would be delayed to September 2025 due to pending regulatory approvals—particularly from the NCLT. A spokesperson for Vedanta confirmed that the petroleum ministry had filed a representation before the NCLT. 'Further, Sebi (Securities and Exchange Board of India) in its affidavit has confirmed that it has no further comments on the merits of the (demerger) scheme and that the tribunal may proceed to adjudicate the matter. Also, Vedanta has already received NOC (no-objection certificate) from the stock exchanges on the modified scheme,' the spokesperson said. Mint independently could not ascertain the details of the petroleum ministry's objections. However, market regulator Sebi's assent to the demerger stands, said a person aware of the matter. Shares of Vedanta Ltd settled 1% lower at ₹ 445.45 apiece on the BSE on Wednesday. On 13 August, Sebi had issued an administrative warning to Vedanta, as per regulatory disclosures made by the company. The market regulator said that the company changed or modified its demerger plan after getting a no-objection certificate from the BSE without the written consent of Sebi. The changes pertain to the now-cancelled demerger of its base metals business. Originally, the company planned to demerge into six separately-listed entities. However, in December last year it decided to retain the base metals business in the parent firm and changed the demerger plan to five companies. The five firms will be Vedanta Aluminium, Vedanta Oil & Gas, Vedanta Power, Vedanta Iron and Steel and Vedanta Ltd, which will continue as the parent entity and hold the shares of Hindustan Zinc. Shareholders of Vedanta will receive one share in each of the new companies. 'The above non-compliance has been viewed seriously. Accordingly, the Company is hereby warned and advised to be careful in future to avoid recurrences of such lapses,' Sebi wrote in its letter, a copy of which was uploaded by Vedanta Ltd on the stock exchanges. The letter did not mention what the change or modification to the demerger plan was. The court has asked Sebi to file its affidavit within two weeks. Earlier, Viceroy Research, a US-based short-seller firm had accused Vedanta Group of alleged financial misconduct and misrepresentation, making empty promises to shore up share prices, manipulating asset values, raising off-balance sheet loans, and corporate governance issues. The short-seller first published its note on Vedanta on 9 July and has since published 21 notes on the Vedanta group. Viceroy has a short position against the London-based Vedanta Group's holding firm Vedanta Resources' bonds. It claims to have no exposure to the group's two listed firms in India.

Cyberabad police bust ₹850 crore investment fraud, two arrested

An organised financial fraud network that duped over 3,000 investors across several states through AI-powered investment platforms and ponzi-style schemes was dismantled by the Cyberabad police. The racket, which operated under the guise of stock market prediction software and fabricated trading dashboards, is estimated to have fetched ₹850.59 crore between 2022 and 2025 for the criminals. Two key accused, identified as Gaddam Venugopal, a director of A.V. Solutions and Srinivas Analytical Pvt. Ltd., a resident of Manikonda and native of Prakasam, Andhra Pradesh and Shreyas Paul, 55, an employee of A.V. Solutions, a resident of Kondapur and a native of Ballari, Karnataka, were arrested in Hyderabad on August 19. Police said more than 20 consultants, agents, technical developers and website administrators were part of the network, which was run through a web of fake companies including IIT Capital Technologies, A.V. Solutions, Srinivas Analytics Pvt. Ltd. and Trade Bulls Technology Pvt. Ltd. Investigators revealed that the accused created false credibility by projecting fake SEBI, NSE and BSE registrations, hosting lavish investment seminars and maintaining premium office spaces. Middle-class families, working professionals and retired individuals were the prime targets, lured with referral-based recruitment and fabricated dashboards displaying non-existent profits. The gang promised 7% monthly returns (84% annually) through fake AI-based predictions. According to police, funds collected were funnelled through 21 bank accounts, layered through multiple channels and laundered into real estate, luxury vehicles and gold. The scale of the fraud left hundreds of families devastated, with retirement savings and education funds wiped out, and many victims driven into debt. So far, police have seized high-end vehicles, electronic devices, financial documents, property papers and a database of 3,164 victims. The accused are also believed to have destroyed digital evidence and intimidated investors who attempted to lodge complaints. Cyberabad police urged the public to remain cautious against fraudulent investment platforms promising unrealistic returns and advised investors to verify SEBI registrations through official portals. A case has been registered and further investigation is under way.
