Essel Group's Legal Strike On Kotak AMC Over Rs 13 Crore In NCLT – Here's What You Need To Know

Essel Kotak Dispute Status: An Essel Group firm, Konti Infrapower and Multiventures, has filed a petition with the National Company Law Tribunal (NCLT) against Kotak Asset Management Company (AMC), alleging failure to fulfil contractual obligations. The company claims that Kotak AMC, acting as a corporate debtor, has not repaid dues amounting to ₹12.99 crore under an agreement signed on April 6, 2019.
'As the Corporate Debtor failed and neglected to honour its contractual obligations under the agreement dated April 6, 2019, the Applicant, via a demand notice dated February 19, 2025, once again called upon the Corporate Debtor to release the due amounts as a pro-tem measure. To date, the Financial Creditor has not received any payment from the Corporate Debtor," reads the plea by Konti Infrapower and Multiventures.
Why Is Essel Group Taking Legal Action?
The case pertains to Rs 20-crore worth of non-convertible debentures (NCDs) subscribed by Kotak AMC from Essel Group entities, backed by a pledge of listed equity shares of Zee Entertainment Enterprises Limited (ZEEL), which served as the underlying security for the NCDs.
The NCDs were later sold by Kotak AMC to certain other investors in February 2019, and the ₹12.99 crore advance relates specifically to this transaction.
According to Konti Infrapower and Multiventures' plea, certain obligations arose from the NCD issue, under which a sum of Rs 12.99 crore was advanced to Kotak AMC. As per the agreement, the Kotak group company was required to repay the amount to Konti Infrapower after the completion of the market regulator SEBI's routine annual inspection. SEBI was scheduled to issue its report following the inspection of Kotak AMC for the period from April 2019 to March 2020. Adding further, the amounts advanced were to be refunded once unit holders of Kotak AMC were paid under the underlying NCDs.
Letters To Kotak AMC
Konti Infrapower and Multiventures stated it wrote two letters to Kotak AMC on July 6, 2022, requesting the release of the funds as per the agreement. In response, Kotak AMC replied on July 28, 2022, stating that SEBI's inspection was not yet complete.
However, according to the Essel Group company, SEBI's inspection of Kotak AMC—which is the trigger for the refund—has been completed, with a report dated March 28, 2023, having been prepared. It also claimed that Kotak AMC has liquidated the NCDs and repaid the unit holders.
The next hearing in the matter is scheduled for July 10. At the time of publishing this report, an email sent to Kotak AMC remained unanswered.

The home shop community marketing network operates through three components: entrepreneurs, home shop owners and management team. Products are collected from entrepreneurs and delivered to consumers by home shop owners, who are members of Kudumbashree. Marketing and administration are conducted through the management team. By connecting local producers and consumers and delivering quality products to homes, the project significantly contributed to local economic growth. In the 2024–25 fiscal, the project generated a revenue of Rs 18.66 crore. Currently, over 7,000 home shop owners and more than 1,000 entrepreneurs operate under 51 management teams. The event, which will celebrate the project's 15th anniversary, will be attended by minister P Rajeeve, executive director of Kudumbashree H Dineshan, Hibi Eden, MP, district panchayat president Manoj Moothedan, special secretary of local self-govt department T V Anupama and district collector N S K Umesh IAS. Bengaluru: The GST Council could consider granting amnesty from interest and penalties to small vendors who have been issued tax notices based on UPI transaction data, according to Kotraswamy M, commissioner of central taxes. "If this issue is being flagged because there are so many taxpayers, the GST Council can take a call, giving amnesty to them from interest and penalty. So, there is a solution rather than making it a political issue," he said at an awareness and grievance redressal seminar organised by Rotary Bangalore, JP Nagar. The official's statement comes after chief minister Siddaramaiah's assurance that only traders with a turnover exceeding Rs 40 lakh on goods would be scrutinised, and old dues will not be enforced if vendors register for GST going forward. The tax official also emphasised the importance of understanding legal requirements for businesses. "The transactions are captured in some way - digitally or through banking transactions, UPI or whatever. If somebody provided services with an annual turnover of more than Rs 20 lakh, or goods worth more than Rs 40 lakh, they are supposed to register themselves," he explained. Amrita Ranjan, principal commissioner of income tax, Bengaluru, confirmed that the department will continue to identify cases of tax violations. "... Ghaziabad: Ruling that medical claims cannot be rejected on the grounds that a person has hypertension, the district consumer disputes redressal commission (DCDRC) has directed an insurance firm to pay Rs 2.1 lakh to a Ghaziabad man whose request was denied. DCDRC president Praveen Kumar Jain and members RP Singh and Shailja Sachan also ordered the insurer – Religare Health Insurance Company – to pay Kapil Anand Rs 5,000 as compensation for litigation costs and denial of the claim filed in 2019. The payment must be made within 45 days, and failure to comply will attract 6% simple interest on the outstanding amount. The commission in its July 26 order cited two previous judgments by NCDRC-New Delhi to rule in favour of Anand.
