SP Group offers $3.4 billion NCDs to HNI investors amid market volatility

Mumbai: Wealth managers are offering Shapoorji Pallonji Group's latest $3.4 billion (₹28,500 crore) non-convertible debentures to high-net-worth individuals, but only to those willing to invest a minimum of ₹10 crore in the secondary market.
ADVERTISEMENT A small portion of the debentures, originally placed with institutional investors at a yield of 19.75%, is being sold down to wealthy clients at yields of 18.0-18.5%, allowing distributors to pocket a spread of up to 175 basis points (1.75 percentage point).
During group firm Goswami Infratech's ₹14,300 crore fundraising in 2023, the bonds saw secondary market volatility as smaller HNIs flipped their positions when market sentiment turned. At one point, the debentures originally issued at a yield of 18.75% were trading at as high as 22%, following a covenant breach and a fall in perception, even before any material credit deterioration.
The latest NCD offering, being an unrated and unlisted tranche, comes with much less disclosure, information and compliance obligations compared to the previous, exchange-listed tranches."Last time, a lot of HNIs panicked and exited too quickly," said a wealth manager. "It spooked the market and distorted the credit story. This time, they have raised the bar to ₹10 crore, and they are filtering for patient capital."The group has also avoided a wide domestic HNI distribution this time. Wealth managers say the allocations to Indian individuals are a fraction of the ₹28,500 crore transaction.

Experts have been concerned over affluent and mass-affluent segments getting into credit often without a full understanding of the risks. "Private credit is not for everyone," said Nachiket Naik, head of private credit Axis Asset Management. "Family offices come through funds that do deep diligence. But direct HNI participation, especially via digital platforms, is a different beast."
Cases like BluSmart, an early-stage mobility platform that raised funds from HNIs via listed NCDs, have led to caution among investors.

Indian companies have seen the steepest earnings downgrades in Asia, with analysts slashing forecasts as steep U.S. tariffs heighten risks to growth even if proposed domestic tax cuts help cushion the impact. According to LSEG IBES data, forward 12-month earnings estimates for India's large and mid-cap firms have been cut by 1.2% in the past two weeks, the sharpest in Asia. The cuts follow a lacklustre season of quarterly earnings reports extending a bout of weakness among listed firms which kicked off last year and has hurt benchmark equity indexes. India's economy is largely domestic and firms which are part of the Nifty 50 index earn only 9% of revenue from the U.S. but the tariff hike to as high as 50% on exports to the world's largest economy presents a risk to economic growth. Analysis by MUFG indicates that a sustained 50% tariff could cut India's GDP growth by 1 percentage point over time, with the biggest hit to employment-sensitive sectors such as textiles. Looking to buoy domestic consumption, Prime Minister Narendra Modi recently announced sweeping tax reforms to boost the economy in the face of a trade conflict with Washington. "It's a little bit of an interesting time given what's happened with the tariffs that have been imposed on India," said Raisah Rasid, global market strategist at J.P. Morgan Asset Management. Valuations are still elevated and "we could potentially see the tariff triggering a broad valuation re-rating downwards and make some of the domestic oriented stocks attractive," she said. Earnings growth for Indian companies has been in single-digit percentages for five consecutive quarters, below the 15%–25% growth seen between 2020–21 and 2023–24. Following the April-June earnings announcements, forward 12-month net income forecasts for automobiles and components, capital goods, food and beverages, and consumer durables sectors saw the deepest cuts in earnings estimates, each down about 1% or more, the data showed. The government's plans to lower consumption taxes are also expected to boost the country's GDP growth. Economists at Standard Chartered pencil in a boost of 0.35-0.45 percentage points in the fiscal year ending in March 2027. India's real GDP growth averaged 8.8% between fiscal 2022 and 2024, the highest in Asia-Pacific. It is projected to grow at 6.8% annually over the next three years. Bank of America's latest fund manager survey shows that India has tumbled from the most-favoured to the least-preferred Asian equity market in just two months. "After disappointing earnings growth of only 6% in 2024, the pace of recovery remains sluggish in 2025, as indicated by both the economic growth parameters and corporate earnings," said Rajat Agarwal, Asia equity strategist at Societe Generale.

IRCTC is responsible for managing, modernizing, and enhancing food and hospitality offerings at railway stations, onboard trains, and across other locations. The organization also plays a vital role in promoting both domestic and international tourism by developing budget hotels, curating travel packages, engaging in commercial marketing, facilitating information exchange, and integrating with global reservation systems. Powergrid is responsible for providing transmission systems for Central Generating Stations (CGS), Independent Power Producers (IPPs), Ultra Mega Power Projects (UMPPs), and the integration of renewable energy. In Q1 FY26, the company reported total revenue of ₹11,444 crore. EBITDA stood at ₹9,394.94 crore, while Profit After Tax (PAT) was ₹3,631 crore. Transmission revenue was recorded at ₹10,694.66 crore, reflecting a marginal decline of 0.31% year-on-year. The consultancy segment posted strong growth, increasing by 120.35% year-on-year to ₹405.92 crore. The telecom segment also performed well, with revenue rising by 17.75% year-on-year to ₹289.49 crore. Within telecom, the company secured orders worth ₹58 crore and added 16 new customers during the quarter. In consultancy, Powergrid secured 11 new domestic orders and 2 international contracts in Q1 FY26. The company is actively pursuing transmission opportunities across regions such as South Asia, Africa, the Americas, and Australia as part of its global expansion strategy. As of Q1 FY26, Powergrid has established 180,849 km of transmission lines and operates 286 substations with a total inter-regional (IR) capacity of 101,180 MW. Its system availability stands at an impressive 99.84%. The consultancy arm of the company has a presence in more than 25 countries, with over 150 domestic clients and 25 international clients. In FY25, Powergrid exceeded its capex target of ₹20,000 crore by achieving ₹26,255 crore. For FY26, the company has projected a total capex of ₹28,000 crore. Key project completions include the Fibre Optic Communication System in the western region and the Transmission Network Expansion in Gujarat. Additionally, Powergrid acquired MEL Power Transmission Limited for a total value of approximately ₹8.53 crore. By the end of the session, the Nifty 50 had gained 33.2 points, or 0.13%. The BSE Sensex followed a similar trajectory, rising 142.87 points, or 0.17% from the previous day's closing. It opened at 82,220.46 and settled at 82,000.7. In terms of momentum, the Nifty 50's Relative Strength Index (RSI) stood at 57.88, while the Sensex RSI was at 56.48, both remaining below the overbought threshold of 70. In contrast, the Bank Nifty Index ended at 55,755.4, gaining 56.95 points, or 0.10%, to close at 55,755.45. The Nifty Pharma Index was the top gainer, closing at 22,177, up by 208.20 points, or 0.95%. Pharma stocks, including Mankind Pharma Ltd, Cipla Ltd, and Dr Reddy's Laboratories, rose up to 3%. The Nifty Realty Index followed the gains, closing at 917.35, up by 3.5 points, or 0.38%. Anant Raj Ltd was the biggest gainer, increasing by 2.66%, followed by Brigade Enterprises Ltd, which gained 1.18%, and Sobha Ltd, up 0.89%. Among the major losers, the Nifty FMCG index plunged the most on Thursday's trading session. The index decreased by -361 points, or -0.64%, closing at 56,303. Dabur India Ltd was the major loser, dropping 3.6%; Britannia Industries declined 1.8%, and United Breweries fell 1.7%.Another major laggard was the Nifty CPSE Index, which closed at 6,308.5, losing -39.85 points, or -0.63%. Major losers include Coal India Ltd, Lupin Ltd, Power Grid Corporation, and NHPC Ltd, whose shares declined by up to 2%. Asian markets showed a mixed trend on Thursday, with Hong Kong's Hang Seng Index ending at 25,104, losing 61.33 points, or 0.24%. The Shanghai Composite Index closed at 3,771.1, gaining 4.89 points or 0.13%. South Korea's KOSPI Index closed in the green at 3,141.74, up 11.65 points, or 0.37%. However, Japan's Nikkei 225 Index also closed in the red at 42,626, down -262.55 points, or -0.62%. The United States has immediately paused the issuance of all worker visas for commercial truck drivers, Secretary of State Marco Rubio announced Thursday, citing public safety concerns and the need to protect American jobs.'The increasing number of foreign drivers operating large tractor-trailer trucks on US roads is endangering American lives and undercutting the livelihoods of American truckers,' Rubio said in a post on move follows a series of steps by President Donald Trump's administration to tighten enforcement of rules governing foreign truck drivers. In April, Trump signed an executive order directing authorities to enforce a long-standing requirement that commercial drivers in the US meet English-proficiency standards. That order reversed a 2016 directive that had allowed inspectors to overlook English violations as the sole reason to remove a driver from service. Concerns over the issue escalated this week after a deadly crash in Florida involving a foreign truck driver. Transportation Secretary Sean Duffy confirmed the Federal Motor Carrier Safety Administration has opened an investigation into the incident, which killed three said the driver, Harjinder Singh, an Indian national, did not speak English and lacked legal authorization to work in the United States. Singh was accused of attempting an illegal U-turn through an 'Official Use Only' access point, triggering a collision that killed three occupants of a minivan.
