SC2 RESPONDS TO SHERRITT AND REMINDS SHAREHOLDERS TO VOTE AGAINST INCUMBENT DIRECTORS

TORONTO, May 30, 2025 /CNW/ - SC2 Inc. ('SC2"), a significant shareholder of Sherritt International Corporation (TSX: S) ('Sherritt'), wishes to respond to Sherritt's recent letter to shareholders (the 'Letter'), a summary of which appeared in Sherritt's news release dated May 26, 2025.
SC2 is disappointed, but not surprised, that Sherritt's leadership has elected to pursue a campaign of misinformation, attempting to entrench itself by distracting Sherritt shareholders from the real and pervasive issues facing Sherritt.
In the Letter, the Sherritt board states that it has made 'significant progress' in delivering value to Sherritt shareholders. However, Sherritt's long-term performance tell a different story. Since September 2011, Sherritt's share price has declined by approximately 97%; Sherritt shareholders have experienced two rounds of equity dilution; Sherritt bondholders have undergone two restructurings; and both production and cash reserves have reached historic lows. In SC2's view, Sherritt's generous executive compensation arrangements do not reflect these facts. SC2 intends, therefore, to vote against all the incumbent members of the Sherritt board at the upcoming Annual and Special Meeting of Shareholders to be held on June 10, 2025 (the 'Meeting'), and encourages other Sherritt shareholders to do the same.
The Letter also makes numerous false claims about SC2 and its affiliate, Seablinc Canada Inc. ('Seablinc'), and SC2 wishes to clarify two important points:
The Letter fails to address several important concerns raised by SC2 regarding ongoing operational challenges, questionable corporate governance practices, and the lack of a clearly articulated long-term strategy to enhance shareholder value.
The information in this news release may constitute a solicitation of a proxy under corporate and securities laws. Accordingly, SC2 is providing the disclosure required under the Canada Business Corporations Act and section 9.2(4) of National Instrument 51-102 – Continuous Disclosure Obligations in accordance with securities laws applicable to public broadcast solicitations.
This news release and any solicitation made by SC2 in advance of the Meeting is, or will be, as applicable, made by SC2, and not by or on behalf of the management of Sherritt. All costs incurred for any solicitation will be borne by SC2, except that, subject to corporate and securities laws, SC2 may seek reimbursement from Sherritt for its out-of-pocket expenses, including proxy solicitation expenses and legal fees, incurred in connection with the solicitation.
SC2 is not soliciting proxies in connection with the Meeting at this time. SC2 may solicit proxies pursuant to an information circular sent to shareholders, after which solicitations may be made by or on behalf of SC2, by mail, telephone, fax, email or other electronic means as well as by newspaper or other media advertising, and in person by directors, officers and employees of SC2, who will not be specifically remunerated for the solicitation. SC2 may also solicit proxies in reliance upon the public broadcast exemption to the solicitation requirements under corporate and securities laws, conveyed by way of public broadcast, including through news releases, speeches, or publications, and by any other manner permitted under Canadian corporate and securities laws. SC2 may engage the services of one or more agents and authorize other persons to assist in soliciting proxies on its behalf.
SC2 is not requesting that shareholders submit proxies at this time. If SC2 commences a formal solicitation of proxies in connection with the Meeting, any proxy may be revoked by instrument in writing by the shareholder giving the proxy or by its duly authorized officer or attorney, or in any other manner permitted by law and the articles of Sherritt. None of SC2 or, to its knowledge, any of its associates or affiliates, has any material interest, direct or indirect, (a) in any transaction since the beginning of Sherritt's most recently completed financial year or in any proposed transaction that has materially affected or would materially affect Sherritt or any of its subsidiaries, or (b) by way of beneficial ownership of securities or otherwise, in any matter proposed to be acted on at the Meeting other than the election of directors or the appointment of auditors.

WASHINGTON (AP) — President Donald Trump on Monday appeared to undercut a proposal that was offered by his special envoy to Iran, saying he will insist that Tehran fully dismantle its nuclear enrichment program as part of any deal to ease crushing sanctions. Trump and Steve Witkoff, who is leading the negotiations for the U.S., have repeatedly offered inconsistent public messages about whether Iran would be allowed to retain the capacity to enrich uranium to lower levels for civilian purposes. The Trump administration maintains that it will not allow Iran to develop a nuclear weapon. The negotiations have been framed by Trump as both countries' best chance to avoid direct military conflict over Iran's nuclear program. Tehran, which denies seeking a nuclear weapon, has insisted that it will not agree to any deal that fully scraps its enrichment program. 'Under our potential Agreement — WE WILL NOT ALLOW ANY ENRICHMENT OF URANIUM!' Trump wrote on social media. The White House didn't elaborate on the post. Trump's post comes after media reports that Witkoff's latest proposal to Tehran would allow Iran to retain low levels of enrichment for civilian uses like nuclear medicine and commercial power if it agrees to shut down its heavily protected underground sites for a period of time. The U.S. and Iran have engaged in several rounds of direct nuclear talks for the first time in years. Senior officials — including Witkoff and Trump himself — have said within the last few weeks that Iran would not be able to keep enriching uranium at any level. The proposal, reported by Axios and confirmed by two U.S. officials, called for the creation of a regional consortium to handle uranium enrichment for civilian uses — a plan first studied more than a decade ago in negotiations that led to the 2015 Iran nuclear deal. Trump was sharply critical of that agreement — which also allowed set limits on uranium enrichment but permitted Iran to maintain such a capacity — and withdrew the U.S. from it in 2017 during his first term. The officials spoke to The Associated Press on condition of anonymity to discuss private diplomatic negotiations. The International Atomic Energy Agency found that Iran has further increased its stockpile of uranium enriched to near weapons-grade levels since its last update in February, according to a confidential report released by the U.N. nuclear watchdog on Saturday. Iran has maintained that its nuclear program is for peaceful purposes only, but Iranian officials have increasingly suggested that Tehran could pursue an atomic bomb. 'President Trump has made it clear that Iran can never obtain a nuclear bomb,' White House press secretary Karoline Leavitt said in a statement before Trump's post. 'Special Envoy Witkoff has sent a detailed and acceptable proposal to the Iranian regime, and it's in their best interest to accept it. Several of the main points were essentially the same or very similar to conditions outlined in the 2015 nuclear deal. Early iterations of that agreement negotiated by the Obama administration also suggested the possibility of a regional consortium that would put Iranian uranium enrichment above a certain level under the control of Iran and its neighbors. The idea was scrapped, however, because of Gulf Arab nations' objections and Iranian suspicions of the ultimate aims of the consortium. People who were involved in the 18-month negotiations for the 2015 deal reacted immediately to reports that the Trump administration might allow Iran to continue with an enrichment program at any level, particularly after senior officials repeatedly said Iran would not be able to retain such programs. 'This proposal poses a moment of truth for critics of previous Iran nuclear negotiations/agreements (and) those who have called for a no-enrichment, full-dismantlement deal,' Dan Shapiro, Obama's former ambassador to Israel, wrote on X. Staff of the Federal Emergency Management Agency were confused and dispirited on Monday after the acting head of the agency said during a daily briefing that he had not been aware the country has a hurricane season, according to three sources familiar with the meeting. The remark was made by David Richardson at the conclusion of an 8:30 a.m. daily operational briefing typically attended by hundreds of FEMA staffers and interagency partners. Reuters was first to report the comment. Richardson, a former Marine Corps officer, has led FEMA since early May. It was not clear to staff whether he meant it literally or as a joke, but current and former employees who spoke with CBS News said the comment flustered many who genuinely believe Richardson was truly surprised to learn that a hurricane season had started. Others suggested that any joke made by the leader about the upcoming season was delivered in poor taste, offending agency staff already suffering from low morale amid a flurry of resignations, firings, leadership overhauls and polygraph tests distributed to staffers.
