Is ConocoPhillips' Operation Resistant to Oil Price Volatility?

ConocoPhillips COP has a strong production outlook, backed by its decades of low-cost inventory of drilling sites. The upstream energy giant added that the costs are even lower than $40 per barrel, allowing it to continue producing oil at low prices for years to come. The low-cost resources of COP are spread across the Lower 48, which comprises prolific shale plays like the Permian, Eagle Ford and Bakken.
Thus, the energy major's business model is largely immune to commodity price volatility. This is because ConocoPhillips can produce oil at such low costs that even when prices fall, the company can maintain its upstream operations and turn a profit. With the current West Texas Intermediate (WTI) crude price around $65 per barrel and break-even costs much lower, COP's operations are highly profitable at present.
This seems very reassuring for investors, since, unlike COP, upstream players are generally significantly vulnerable to the fluctuations in oil prices. Thus, ConocoPhillips is better placed and hence can sustain its operations through the ups and downs of the market and can generate handsome cash flows for shareholders.

Exxon Mobil Corporation XOM and EOG Resources, Inc. EOG are two leading energy players that can survive low oil prices.
ExxonMobil mentioned on its recent earnings call that it plans to lower its break-even costs to $35 per barrel by 2027 and $30 per barrel by 2030. Thus, this level of costs will be highly beneficial for XOM's bottom line. In other words, ExxonMobil will remain profitable even if crude oil prices drop significantly and stand to earn substantially more when prices climb.
EOG Resources has a strong balance sheet and is committed to maintaining robust financials. EOG added that even if oil prices decline to below $45 per barrel, it aims to lean on its balance sheet strengths to navigate a challenging business environment.

Shares of COP have declined 19.1% over the past year against the 16.7% fall of the composite stocks belonging to the industry.
From a valuation standpoint, COP trades at a trailing 12-month enterprise value to EBITDA (EV/EBITDA) of 5.02X. This is above the broader industry average of 11.15X.

Intralot S.A. to Acquire Bally's International Interactive Business in a Transaction that Creates a Global Gaming Technology and Services Company in Lottery and Digital Online Gaming Markets

Intralot S.A. (ATSE: INLOT) (' Intralot ') and Bally's Corporation (NYSE: BALY) (' Bally's ') today announced that their respective Boards of Directors approved their entry into a definitive transaction agreement (' Transaction Agreement ') pursuant to which Intralot will acquire Bally's International Interactive business (the ' International Interactive Business ') in a cash-and-shares transaction that values the International Interactive Business at an enterprise value of €2.7 billion (the ' Transaction '). The consideration for the acquisition of the International Interactive Business will comprise a combination of cash paid by Intralot and newly issued shares delivered by Intralot to Bally's, as more specifically detailed below. As part of the Transaction, Intralot expects to refinance part of its existing debt facilities and Bally's also expects to repay secured debt from the cash proceeds. The Transaction consideration to Bally's, after assumptions of certain liabilities by the involved parties, will (subject to certain agreed adjustments) be made up of: €1.530bn cash consideration, and €1.136bn of newly issued shares in new Intralot (873,707,073 shares, at an implied value of €1.30 per share). In order to support the €1.530bn cash consideration to Bally's and refinance part of its existing debt, Intralot has obtained commitments from Citizens Bank, Deutsche Bank, Goldman Sachs, and Jefferies for debt financing up to €1.6bn (which is expected to be refinanced through the debt capital markets and is subject to certain conditions precedent) and expects to launch an up to €400mn share capital increase by way of an equity offering of shares listed on the Athens Stock Exchange, subject to corporate and regulatory approvals. Following the completion of the Transaction, Intralot is expected to remain listed on the Athens Stock Exchange. Bally's, currently Intralot's largest shareholder, is expected to become the majority shareholder of Intralot as a result of the Transaction with a significant equity stake in Intralot. Intralot's founder, Mr. Sokratis Kokkalis, will maintain a significant stake in Intralot. Following the completion of the Transaction, Intralot is expected to be a leading digital gaming operator and technology provider for lottery products with a footprint in some of the most attractive markets in Europe and North America. The combined technology capabilities of the two companies will allow Intralot to pursue new opportunities in gaming and lottery markets globally. Intralot, following the completion of the Transaction, is expected to be among the largest companies by market capitalization listed on the Athens Stock Exchange. The completion of the Transaction is expected to occur in the fourth quarter of 2025, subject to certain Intralot shareholder approvals, customary antitrust and gaming regulatory approvals and other customary closing conditions. In connection with the Transaction, Bally's has secured commitments for a $500mn secured debt facility which, together with the cash proceeds from the Transaction, will be used to repay secured debt. In addition, Bally's has secured commitments for a $100mn delayed draw secured debt facility, which may be used following the consummation of the Transaction for general corporate purposes, including the development of Bally's Chicago. Intralot has also today received notice that Bally's and its affiliates' ownership in Intralot has increased from 26.86% to 33.34%, following which a mandatory tender offer obligation for the remaining outstanding shares of Intralot has been triggered. Exposure to both the fast-growing iGaming and Lottery markets with $187bn global Total Addressable Market (TAM) in 2029 supported by robust 14% iGaming and 5% lottery projected compounded growth rates in TAM from 2024 through to 2029. Intralot's historical resilient contracted B2B lottery revenue and renewal track record combined with the International Interactive Business's strong B2C iGaming market position, as a leading online casino operator in the UK favorably position Intralot, following the Transaction, to benefit from this strong forecasted market growth. Resilient, recurring lottery revenues complemented by stable growing iGaming revenue, with Intralot having over €1.4bn in contracted lottery revenue through 2029, an 89% historical contract renewal rate, and a 16-year average contract duration supported by a sustainable market leading iGaming position of the International Interactive Business in the UK with best-in-class margins vs peers driven by strong technology offering. Enhanced aggregated financial profile, with €1.1bn revenues, approximately 38% pre-synergies EBITDA margin and strong operating free cash flow conversion above 90% enhanced by short-term achievable cost synergies across organisational, third-party and operational areas driving additional margin expansion. Multiple organic and strategic growth levers, with elevated positioning across the gaming value chain presenting new product and geographic expansion optionality. Nikolaos Nikolakopoulos (Intralot's current Group CEO and a current member of its board) is expected to serve as President and CEO of the Lotteries division of Intralot, and Chrysostomos Sfatos (Intralot's current Group Deputy CEO and a current member of its board), expected to serve as Intralot's CFO. Following the completion of the Transaction, Intralot is expected to undertake any necessary corporate actions required by Greek law to cause the Intralot board of directors following the completion of the Transaction to comprise 11 directors, a majority of whom will be independent, and with Sokratis Kokkalis (Intralot's founder and the current Chairman of Intralot's board), Soohyung Kim (the Chairman of Bally's board and Vice Chairman of Intralot's board), and the aforementioned Messrs. Reeves and Nikolakopoulos each expected to serve as directors as well. Transaction Structure The Transaction will be implemented through Intralot's direct or indirect acquisition of 100% of the equity of Bally's Holdings Limited, a wholly-owned subsidiary of Bally's and the current parent company of the International Interactive Business, in exchange for the cash and equity consideration described above. More specifically, Bally's will acquire the newly issued shares of Intralot in part in consideration for the sale of a portion of the International Interactive Business (together with the cash consideration) and in part as consideration for the contribution of another portion to Intralot as part of an Intralot share capital increase. The Transaction Agreement is expected to be entered into following the expiration of a 10-day statutory waiting period and any other requirements under art. 99 seq. of Greek Law 4548/2018 for related party transactions. (AP Photo/Evan Vucci) WASHINGTON — Senate Republicans hauled U.S. President Donald Trump's big tax breaks and spending cuts bill to passage Tuesday on the narrowest of votes, pushing past opposition from Democrats and their own GOP ranks after a turbulent overnight session. The sudden outcome capped an unusually tense weekend of work at the Capitol, the president's signature legislative priority teetering on the edge of approval or collapse. In the end that tally was 50-50, with U.S. Vice President JD Vance casting the tie-breaking vote. Three Republican senators - Thom Tillis of North Carolina, Susan Collins of Maine and Rand Paul of Kentucky - joined all Democrats in voting against it. 'In the end we got the job done,' Senate Majority Leader John Thune of South Dakota said afterward. The difficulty for Republicans, who have the majority hold in Congress, to wrestle the bill to this point is not expected to let up. The package now goes back to the House, where Speaker Mike Johnson had warned senators not to overhaul what his chamber had already approved. But the Senate did make changes, particularly to Medicaid, risking more problems ahead. House GOP leaders vowed to put it on Trump's desk by his Fourth of July deadline. It's a pivotal moment for the president and his party, as they have been consumed by the 940-page 'One Big Beautiful Bill Act,' as it was formally titled before Democrats filed an amendment to strip out the name, and invested their political capital in delivering on the GOP's sweep of power in Washington. Trump acknowledged it's 'very complicated stuff,' as he departed the White House for Florida. 'I don't want to go too crazy with cuts,' he said. 'I don't like cuts.' What started as a routine but laborious day of amendment voting, in a process called vote-a-rama, spiraled into a round-the-clock slog as Republican leaders were buying time to shore up support. The droning roll calls in the chamber belied the frenzied action to steady the bill. Grim-faced scenes played out on and off the Senate floor, amid exhaustion. Thune worked around the clock desperately reaching for last-minute agreements between those in his party worried the bill's reductions to Medicaid will leave millions more people without care and his most conservative flank, which wants even steeper cuts to hold down deficits ballooning with the tax cuts. The GOP leaders had no room to spare, with narrow majorities. Thune could lose no more than three Republican senators, and two -- Tillis, who warned that millions of people will lose access to Medicaid health care, and Paul, who opposes raising the debt limit by US$5 trillion -- had already indicated opposition. Attention quickly turned to two other key senators, Lisa Murkowski of Alaska and Collins, who also raised concerns about health care cuts, as well as a loose coalition of four conservative GOP senators pushing for even steeper reductions. Murkowski in particular became the subject of the GOP leadership's attention, as they sat beside her for talks. She was huddled intensely for more than an hour in the back of the chamber with others, scribbling notes on papers. Then all eyes were on Paul after he returned from a visit to Thune's office with a stunning offer that could win his vote. He had suggested substantially lowering the bill's increase in the debt ceiling, according to two people familiar with the private meeting and granted anonymity to discuss it. Senate Democratic Leader Chuck Schumer of New York said 'Republicans are in shambles because they know the bill is so unpopular.' An analysis from the nonpartisan Congressional Budget Office found 11.8 million more Americans would become uninsured by 2034 if the bill became law. The CBO said the package would increase the deficit by nearly $3.3 trillion over the decade. Pressure built from all sides. Billionaire Elon Musk said those who voted for the package should 'hang their head in shame' and warned he would campaign against them. But Trump had also lashed out against the GOP holdouts including Tillis, who abruptly announced his own decision over the weekend not to seek reelection. Senators insist on changes Few Republicans appeared fully satisfied as the final package emerged, in either the House or the Senate. Collins fought to include $50 billion for a new rural hospital fund, among the GOP senators worried that the bill's Medicaid provider cuts would be devastating and force them to close. While her amendment for the fund was rejected, the provision was inserted into the final bill. Still she voted no. The Maine senator said she's happy the bolstered funding was added, 'but my difficulties with the bill go far beyond that.' And Murkowski called the decision-making process 'agonizing.' She secured provisions to spare Alaska and other states from some food stamp cuts, but her efforts to bolster Medicaid reimbursements fell short. She voted yes. What's in the big bill All told, the Senate bill includes $4.5 trillion in tax cuts, according to the latest CBO analysis, making permanent Trump's 2017 rates, which would expire at the end of the year if Congress fails to act, while adding the new ones he campaigned on, including no taxes on tips. The Senate package would roll back billions of dollars in green energy tax credits, which Democrats warn will wipe out wind and solar investments nationwide. It would impose $1.2 trillion in cuts, largely to Medicaid and food stamps, by imposing work requirements on able-bodied people, including some parents and older Americans, making sign-up eligibility more stringent and changing federal reimbursements to states. Additionally, the bill would provide a $350 billion infusion for border and national security, including for deportations, some of it paid for with new fees charged to immigrants. 'The big not so beautiful bill has passed,' said Paul. Democrats fighting all day and night Unable to stop the march toward passage, the Democrats tried to drag out the process, including with a weekend reading of the full bill. A few of the Democratic amendments won support from a few Republicans, though almost none passed. More were considered in one of the longer such sessions in modern times. Sen. Patty Murray of Washington, the ranking Democrat on the Appropriations Committee, raised particular concern about the accounting method being used by the Republicans, which says the tax breaks from Trump's first term are now 'current policy' and the cost of extending them should not be counted toward deficits.
