LOS ANGELES--(BUSINESS WIRE)--Faraday Future Intelligent Electric Inc. (NASDAQ: FFAI) ('Faraday Future', 'FF' or the 'Company'), a California-based global shared intelligent electric mobility ecosystem company, today announced the results of its Annual General Meeting of Stockholders (the 'Annual Meeting') where stockholders approved a series of proposals to enhance FF's financial stability and empower the leadership team to execute its strategic plan to launch FX vehicle production by the end of 2025.

FF Stockholders approved the following proposals at the Annual Meeting:
1. Election of Directors
Each member of the Company's Board of Directors – Matthias Aydt, Chad Chen, Chui Tin Mok, Jie Sheng and Lev Peker – was reelected with 95% or more votes in favor. The reelection of these qualified, experienced business leaders as directors helps ensure continuity and strategic oversight in pursuit of FF's long-term strategic goals.
2. Private Placement
Stockholders approved the issuance of Common Stock to holders of certain convertible notes and warrants, in accordance with Nasdaq Listing Rule 5635(d). This proposal will help the Company strengthen its financial stability, enhancing its ability to fulfill its financial obligations, maintain compliance with Nasdaq listing standards, and position the Company for future financing to advance its strategy.
3. Share Authorization Proposal (without Affecting Current Total Shares Outstanding)
Stockholders approved an amendment to the Company's charter to increase the number of authorized shares as follows:
the number of authorized shares of the Company's common stock by 38,000,000 from 129,245,313 shares to 167,245,313 shares, and
the number of authorized shares of the Company's preferred stock by 2,900,000 shares from 10,000,000 shares to 12,900,000 shares, so that the total number of authorized shares of Company's Common Stock and the Preferred Stock, will be increased from 139,245,313 shares to 180,145,313 shares.
The approval of the increased share authorization proposal helps support strategic growth, including the planned launch of the FX Super One by the end of the year, and allows the Company to explore M&A opportunities, joint ventures, and future fundraising in alignment with FF's strategy to enhance the FF and FX brands and promotion of the FX Bridge Strategy.
With the strong support of stockholders, FF's team is making progress in achieving the Company's long-term strategic plan, including its FX strategy.
FF is working toward having the first FX vehicle roll off the line by the end of 2025 with key achievements:
FX prototype mules have been approved for public road testing, and FF has started testing several prototype mules in a variety of complex road environments, including testing of advanced driver assist systems in a real-world environment.
The Company's introduction of FX's planned first production model, the Super One, is on target to debut this summer.
FF has received considerable positive reaction to the Super One, including from U.S. consumers, dealers, fleet operators, and car rental partners.
The Company reaffirmed its commitment to stockholders in achieving greater transparency and market communication, as well as enhancing stockholder value. The Company reiterated its effort to optimize its capital structure, with an unwavering commitment not to pursue a reverse stock split unless required to maintain its Nasdaq listing.
FF plans to strategically deploy equity and convertible debt offering proceeds to support business development balancing maximum value creation and measured dilution.

Can Elon Musk get Tesla back on track? Here are four road bumps

After a tumultuous months-long period by President Trump's side, Elon Musk is turning his attention back to his companies, including the stumbling electric vehicle maker Tesla Inc. Musk announced on X last week that his time as a special government employee was over. Tesla investors welcomed the news, hoping that Musk's departure from Washington would boost his car company's reputation and lagging performance. Since Musk began his role leading the White House advisory team called the Department of Government Efficiency in January, Tesla's stock has fallen roughly 12%. On Tuesday, the shares closed at $332, down 3.5%. The Austin, Texas-based company — which has a significant manufacturing operation in Fremont, Calif., and is the dominant EV company in the state — has been the subject of protests and vandalism as Musk, the company's chief executive, aligned himself with Trump and made controversial spending cuts on behalf of the federal government. The brand damage spread outside the U.S. to Europe, where monthly sales in 32 countries fell nearly 50% in April. 'It was very important for Musk to end this chapter and start working on Tesla's next stage of growth,' Wedbush Securities analyst Dan Ives said. 'Now he can get back to what he's supposed to be doing.' As the executive shifts his focus back to Tesla, here are four challenges experts say he must tackle: By associating himself with the president and the Trump administration's erratic actions, Musk alienated a large swath of his customers. Many Tesla drivers are liberal-leaning, industry analysts said, and were drawn to the company's environmental mission to take gas cars off the road. In protest over Musk's activities, some Tesla drivers, including celebrities, began selling or getting rid of their vehicles. Others sported new bumper stickers that said, 'I bought this before we knew Elon was crazy.' In February, Tesla topped the list of brands that lost the most resale value year over year, according to data provided by Karl Brauer, an analyst with The price of a used Tesla Model S and Model Y each dropped by about 16% in February from a year earlier. 'Price is a reflection of supply and demand,' Brauer said. 'So it could be that nobody wants to buy them anymore, or that there's a massive influx of them available, or both.' Now that he's left Washington, Musk will have to prove that his attention is on Tesla and that he isn't prioritizing political agendas. Ives estimated that about 5% to 10% of the brand damage sustained during Musk's stint in the capital will be permanent. 'Tesla has become a political symbol around the world and that's not a good thing,' said Ives, who has an 'outperform' rating on Tesla's stock. 'But there are much brighter days ahead now that Musk is no longer in the White House.' Musk has made lofty promises for years about the capabilities of Tesla's self-driving technology and plans for a robotaxi service. Though he has often over-exaggerated his progress, Musk has taken important steps toward commercializing autonomous driving technology. The future of his company depends on whether he can follow through, experts said. 'Musk's top priority should be autonomy and robotics,' Ives said. 'With these technologies, I believe Tesla's market cap could reach $2 trillion.' The company is currently valued at just over $1 trillion. According to claims Musk has made, Tesla drivers will one day be able to sleep in their car as it drives them across the country. Tesla's robotaxis will roam city streets, and humanoid robots dubbed Optimus will perform everyday tasks. Brauer compared the emergence of autonomous driving technology to a change on the scale of the internet or smartphones. But it's still far off, he said. Although the driverless taxi company Waymo is already operating in a few cities including Santa Monica, it could take 10 to 15 years for the technology to become widely accessible and integrated into society, Brauer said. Tesla remains the dominant force in the electric vehicle market, but rapidly increasing competition from traditional carmakers and other EV manufacturers have thinned sales, Brauer said. Major manufacturers including Ford and Chevy have released lines of their own electric vehicles, while promising startups such as Irvine-based Rivian have cut into Tesla's market share. At the same time, demand for electric vehicles is plateauing as the market gets saturated, Brauer said. Tesla's profit plummeted 71% in the first quarter to $409 million as the company faced a flurry of setbacks, including a falloff in automotive sales and rising competition. To keep up and remain viable, Tesla will have to reassess aspects of its business model. 'Many people, I think including Musk himself, have realized that the current business model is pretty much played out,' Brauer said. 'He's not going to substantially increase his revenue and his profit selling these same electric cars.' Tesla could receive a boost in sales if it successfully launched an affordable model accessible to more customers, but despite rumors and claims by executives, a release date has not been announced. The company could be further hurt by the loss of a $7,500 federal electric vehicle credit, which encourages sales and is likely to be eliminated by the Trump administration. While chargers for electric vehicles are ubiquitous in many parts of California, infrastructure is lacking throughout large areas of the country — and that's a problem. For the U.S. to rely more heavily on EVs, significant progress has to be made on the network of charging stations, Brauer said. Finding a time and place to charge is an obstacle for many Tesla drivers and limits the range of customers Tesla can reach. The lack of a fully comprehensive charging network would also hinder Musk's plans to operate a nationwide robotaxi service, Brauer said. In California, many chargers are broken or have been intentionally damaged by protesters.

The app is now developing the ability to directly swipe from one media item to another. You can also access all the media from a conversation in the chat's detail view. Google's been making some big strides when it comes to modernizing texting on Android over the course of the past year or so, and the cross-platform adoption of RCS has really been driving a lot of that change. With RCS support for high-quality images in chats, we were excited earlier this year when we spotted development work towards letting you reply to media like pictures or videos in a thread. Now we're checking out a further tweak that could make it easier to deal with a whole bunch of media all in one conversation. Authority Insights story on Android Authority. We're cracking open Google Messages version for this preview, and although this interface isn't yet something you can try out for yourself, we've managed to get the app to show a new swipe-based reply view in operation: Before, we had to tap on a media item to first bring it up, at which point we could react to it or hit the chat button in the bottom-left to view the thread attached to it. But if we wanted to turn our attention to another piece of media from the conversation, we had to back out to the discussion first. With this WIP interface, you instead get the ability to quickly move between entries with this media view with just an easy swipe. At first blush, that doesn't feel like a particularly impactful change, but when you start piling up a lot of media in one conversation (like those meme-packed group chats you can't seem to stay away from), it starts becoming clear just where the utility here really lies. Anytime you like while scrolling through this carousel, you can pause for a moment and dive into one of the threads attached to the media. Uber Technologies has announced that Nikesh Arora, Chairman and CEO of Palo Alto Networks, is joining its board of directors. The appointment was disclosed in a regulatory filing on Wednesday and comes as part of a significant leadership shakeup at the ride-hailing giant. This week, Uber saw the departure of Pierre-Dimitri Gore-Coty, head of its delivery arm, after a 13-year tenure. In a move to consolidate leadership, Andrew Macdonald previously overseeing mobility has been promoted to President and Chief Operating Officer. This marks Uber's first COO appointment since 2019. Commenting on his appointment, Arora said, "I'm honoured to join Uber's Board at such an exciting time, as the company plays a central role in commercialising autonomous mobility globally. Uber has already transformed how people and goods move through cities, and I look forward to supporting the company's continued growth." Arora has led Palo Alto Networks since 2018 and previously held senior roles at SoftBank, Google, and T-Mobile. He brings extensive board experience, having served on the boards of SoftBank, Sprint, Colgate-Palmolive, and currently sits on the board of a Swiss luxury group. Welcoming Arora to the board, Uber CEO Dara Khosrowshahi noted,"Nikesh is one of the technology sector's outstanding leaders, a strategic and disciplined operator, and a fierce competitor. We're delighted to have him join us as we pursue our long-term vision." The leadership changes come as Uber navigates intensifying competition in the robotaxi and delivery sectors. Tesla is expected to unveil its long-anticipated robotaxi service in Austin on 12 June. Meanwhile, Alphabet-owned Waymo already a partner of Uber in Austin and Atlanta, recently hit 10 million paid driverless rides, with weekly demand rising by 150 per cent in under a year. In the food delivery space, rival DoorDash has been expanding aggressively, acquiring Deliveroo and booking platform SevenRooms in recent weeks. The elevation of Macdonald, who will now oversee delivery, mobility, and autonomy, is seen as an effort to free up Khosrowshahi to focus on broader strategic priorities. Since taking the helm in 2017, Khosrowshahi has led Uber through its IPO in 2019, delivered its first operating profit in 2021, and forged key partnerships in the autonomous vehicle space after divesting its in-house AV unit. Addressing internal speculation, Khosrowshahi reassured staff in a memo,"I recognise the changes might prompt questions about my future, so I'll be clear. I have no plans to go anywhere other than flying around the globe keeping up with our ever-expanding footprint." As part of his board role, Arora will receive an annual cash retainer of USD 60,000 (approximately INR 50 lakh), along with USD 300,000 (around INR 2.5 crore) in restricted stock units per year, as detailed in the company's filing.
