Shareholders elected the following 7 board members with shareholders represented at the meeting voting in favour of individual directors as follows:
The Company would like to acknowledge the contributions of Dave Dicaire, who did not stand for re-election as a Director of the Company, having taken up a full-time executive management position on a major international mining project.
Paul Conibear, Chair of the Board, said, "Dave has been an invaluable member of the Board for many years, and on behalf of the Company, shareholders and my fellow Board members, we would like to express our sincere gratitude to Dave for his guidance and contribution to the Company and its Underground Project, critical to the Company's future".
Appointment of Auditors
Shareholders re-appointed PricewaterhouseCoopers LLP as Lucara's auditors with 98.22% of votes cast in favour and 1.78% of votes were withheld on such re-appointment.
Ordinary Resolutions to approve certain amendments to the Company's share unit plan
Shareholders passed an ordinary resolution to approve certain amendments to the Company's share unit plan (the "Share Unit Plan"), including an increase of the maximum number of common shares in the capital of the Company (the "Common Shares") reserved for issuance under the Share Unit Plan to a fixed maximum aggregate of 22,000,000. This resolution passed with 96.00% of votes cast in favour and 4% of votes against such resolution.
Ordinary Resolutions to approve certain amendments to the Company's deferred share unit plan
Shareholders passed an ordinary resolution to approve certain amendments to the Company's deferred share unit plan (the "DSU Plan"), including an increase of the maximum number of Common Shares reserved for issuance under the DSU Plan to a fixed maximum aggregate of 8,000,000. This resolution passed with 99.60% of votes cast in favour and 0.40% of votes against such resolution.
Ordinary Resolutions to approve certain amendments to the Company's stock option plan
Shareholders passed an ordinary resolution to approve certain amendments to the Company's stock option plan (the "Option Plan"), including, among other things, an increase of the maximum number of Common Shares reserved for issuance under the Option Plan to a fixed maximum aggregate of 15,000,000. This resolution passed with 94.70% of votes cast in favour and 5.30% of votes against such resolution.
Advisory Resolution on Executive Compensation
Management's approach to executive compensation, also disclosed in Lucara's management proxy circular dated April 8, 2025, was approved with 81.89% of votes cast in favour and 18.11% of votes against such advisory resolution.
Following the meeting, Paul Conibear will continue to serve as Chairman of the Board.

Costco has a very strong business model The most important thing to remember about Costco is that it is not your typical retailer. It is a club store, which means that customers pay a yearly membership fee for the privilege of shopping at a Costco. Those membership fees are like an annuity that helps to support the company's operating profits and earnings. To put some numbers on that, in the fiscal third quarter of 2025 (ended May 11), Costco generated revenue of $63.2 billion and had an operating profit of about $2.5 billion. That said, it generated around $1.2 billion in revenue from membership fees, which is nearly half of the operating profit. That's the norm, noting that there is little cost associated with membership fees. Most of the operating costs are for buying products to sell and staffing the stores that sell those products. So membership fees really do drop right down to the operating income line. This gives the retailer a huge amount of flexibility when it comes to product pricing. Essentially, the big goal is really to keep customers happy so they continue to pay their membership dues. Those dues, in turn, allow Costco to provide the low prices that keep its customers happy. With an over 90% renewal rate, Costco is clearly giving its customers what they want. This differentiated business model is probably the biggest reason to buy Costco. 2. Costco is performing very well Another reason to like Costco right now is the strength of the business today. In Q3, the company's sales grew 8%. Same-store sales were higher by 5.7%. Traffic was up 5.2%. And customers bought 0.4% more on each visit. That's pretty impressive, given the economic uncertainty today. Compare this to retailers like Target that saw sales fall year over year in its most recent quarterly results. The negative retail backdrop has also benefited dollar stores, which are serving more and more customers that are trading down to stores with lower price points. But new dollar store customers can trade back up to higher-priced stores quickly and easily, which is a negative compared to the year-long memberships Costco's customers are paying. Basically, Costco is hitting it out of the park right now. Yes, a lot of that has to do with its low prices, but that just speaks to the strength of its overall business model. A problem with Costco to consider So there are two very good reasons to buy Costco like there's no tomorrow. But there's also one very big reason to not buy it, and that's valuation. Wall Street is very well aware of the business strength here and how well the retailer is performing right now. The price-to-sales and price-to-earnings ratios are both above their five-year averages. The stock price, meanwhile, is near all-time highs. Costco is a growing business, noting that it continues to open new stores. That may be enough to keep aggressive growth investors interested. But if you care about valuation, Costco will be a tough sell. Many investors will probably want to keep it on their wish list, hoping for a drawdown. The last notable drop, which was more than 25%, came in 2022. So patience can pay with Costco. Most investors will probably want to wait At the end of the day, the big reason to buy Costco is that it is a great business. That is as true today as it was yesterday. And it will be the same story tomorrow, as well. The problem is that even great businesses can be bad investments if you pay too much for them, to paraphrase famed value investor Benjamin Graham. Given Costco's long history of growth, paying too much today may not be the worst thing. But if you wait for a deep drawdown you'll probably be a much happier shareholder. Nvidia (NASDAQ: NVDA) has been one of the stock market's biggest movers and shakers in recent times. This is because the company plays a key role in a technology that has garnered everyone's attention: artificial intelligence (AI). Nvidia's chips power the training of models that set AI into action, and AI could change the world in much the same way the internet did several years ago. That's why investors have piled into Nvidia stock and have closely tuned in to anything the company's chief executive officer Jensen Huang has said. These comments offer us some visibility on what's ahead for the company -- and even the entire industry. So, it's not surprising that, often, after an Nvidia event, the stock will react. Continue » As we look at the calendar, it tells us that one such event is right around the corner. On June 25, Nvidia holds its annual meeting of stockholders. Should you buy the stock before then? History has something to say -- and it may surprise you. Nvidia's big moment Before we get started, let's talk about Nvidia's most recent big moment, and that was the company's first-quarter earnings report on May 28. Nvidia wowed investors once again, as revenue soared 69% to more than $44 billion, surpassing analysts' estimates -- and importantly, the company spoke of ongoing strong demand for its new Blackwell architecture. The platform was designed specifically with inferencing in mind, a smart move considering that is the area of focus for many AI customers. Inferencing is the "thinking" process that results in AI coming up with answers to complex questions, and this requires significant power. "We're off to the races," Huang said during the earnings call, signaling much more growth lies ahead. Nvidia stock climbed in the post-earnings trading session, and though it fluctuated on certain trading days, it delivered a gain of about 6% in the two weeks following the report. Now, let's consider the upcoming shareholders' meeting. The company recently released the agenda, which includes items of business such as the election of directors nominated by the board of directors, advisory approval of executive compensation, and several other matters. These don't stand out as elements that will push the stock higher or lower, though any comments from Huang about the company's prospects could act as a catalyst. A look back in time What does history show us about Nvidia's stock performance after a shareholders' meeting? As the chart shows, the stock fell in the days following last year's meeting, then went on to rebound in the weeks to follow. NVDA data by YCharts Nvidia followed a similar pattern in 2023. And in 2022, the stock also fell following the meeting, but didn't go on to recover so quickly -- in fact, Nvidia delivered a double-digit loss from that point through the end of the year. So it might seem surprising that, in spite of Nvidia's earnings and general message being positive over the past few years, the stock actually fell after each shareholder meeting. It's important to keep in mind, though, that this likely isn't a result of anything said or decided at the annual event. At this point in Nvidia's growth story, investors react to new or extremely strong messages from Huang -- but they may not reward the stock with gains after a "routine" sort of event such as a shareholder meeting. Now let's get back to our question: Should you buy Nvidia before June 25? History tells us there's no need to rush into the stock on anticipation of phenomenal gains following the shareholder meeting. But this doesn't mean Nvidia isn't a buy. The company has built a market-leading position and should maintain this thanks to its commitment to innovation. 3 Must-Know Facts About Five Below You'll Want to Check Out Before Buying the Stock
Shares of Five Below (NASDAQ: FIVE) are trading 48% below their peak (as of June 10), which was established in August 2021. Clearly, the company has a long way to go to get back to its former glory. However, shares are surging recently, up 102% just in the past two months. The market is building up the momentum for Five Below, taking a more bullish stance. And this might be a compelling reason to consider adding the shares to your portfolio. If you're looking to buy this retail stock, take the time to learn these three things first. Continue » Expanding at a brisk pace The rise of online shopping in the past couple of decades has been widely publicized. This is clear when looking at successful tech-driven enterprises like Amazon and Shopify that have helped support adoption of online shopping. However, consumers still like to shop in person; 84% of retail spending in the U.S. still takes place in a brick-and-mortar setting. And this has benefited a company like Five Below, which has rapidly expanded over the years. As of May 3, it had 1,826 stores scattered across the U.S. That figure is up nearly fivefold from 385 exactly a decade ago. Management has huge ambitions. "We still believe that there's an opportunity here for 3,500 stores," Chief Operating Officer Kenneth Bull said on the fiscal Q4 2024 earnings call in March. You'd probably struggle to find other retailers that are trying to grow their physical presence like this. But it makes sense why. Five Below's unit economics appear to be in good shape. A new location costs about $500,000 to open, but it can generate on average $2.2 million in revenue and $500,000 in earnings before interest, taxes, depreciation, and amortization (EBITDA) in the first year. There remains sizable opportunity to expand in very populated states like California, Texas, Florida, New York, and Pennsylvania. Should Five Below reach this target, its revenue base should be much higher than it is today. Success in a tough industry There might be no industry more competitive than the retail sector. Consumers have unlimited choices on where to spend their money. There is no lock-in that retailers can benefit from. Margins are typically already thin. Consumers have ever-changing preferences and expectations. And there are low barriers to entry. That's why it's impressive to see the momentum Five Below has right now. During the first quarter of fiscal 2025 (ended May 3), the company reported 19.5% year-over-year revenue growth. This gain was driven by a 7.1% jump in same-store sales (SSS), which benefited from strong foot traffic. Management expects SSS to increase by 3% to 5% for the full fiscal year. While this indicates there will be a slowdown in the near term, it's encouraging to see this key performance metric growing. That's especially true in the current economic environment that could force consumers to be more critical about their spending habits. Valuation matters to investors Five Below might be trading well off its peak. However, the fact that the stock has rocketed higher since early April creates a more difficult setup for prospective investors. The best opportunities come when shares are priced attractively. I don't believe this is the case here. Investors can buy the stock at a price-to-earnings ratio of 25.9. This represents a notable discount to the trailing three-year average. But it's a slight premium to the overall S&P 500 index. This provides no margin of safety, in my view. That's because Wall Street consensus analyst estimates call for earnings per share to rise at just a 6% compound annual rate between fiscal 2024 and fiscal 2027. That weak forecast won't necessarily bode well for the stock price. If the valuation comes down, interested investors have a better understanding of Five Below's growth outlook, as well as its recent fundamental momentum, to make an informed decision.
