Warren Buffett's rare misstep: Will Kraft Heinz's breakup rewrite the ending, or can it still pay off?

Time of India3 days ago
Warren Buffett once bet big on ketchup and mac & cheese, hailing the merger of Heinz and Kraft Foods in 2015 as a chance to bring iconic brands together. A decade later, Kraft Heinz is considering breaking itself up, and what was meant to be a landmark deal for the Oracle of Omaha has turned into one of the most visible flops of his career. But while the tie-up failed to deliver on its promise, the numbers tell a more nuanced story: Buffett's own investors have managed to escape mostly unscathed.
Kraft Heinz is reportedly exploring a breakup, an admission of the merger's failure and a rare blemish on the storied investor's record. Shares of Kraft Heinz have slumped more than 60% since the tie-up, dramatically underperforming a roaring stock market, while
Berkshire Hathaway
Inc.'s 27% stake now sits $4.5 billion below its book value.

In 2015, Buffett's Berkshire Hathaway and private equity firm 3G Capital engineered the merger of Kraft Foods and Heinz, uniting a stable of household names from Oscar Mayer to Velveeta. The promise was scale and efficiency in a slow-moving sector. But the strategy collided with changing consumer tastes, inflation, and the rise of weight-loss drugs that have undercut demand for processed foods.
Kraft Heinz shares have plunged more than 60% since the merger. By contrast, the broader market has soared. For Buffett, the deal has cost Berkshire more than $4.5 billion on paper compared with the carrying value of its 27% stake.
Now, in a late attempt to unlock value, Kraft Heinz is exploring a breakup that would spin off a large part of its business. The move follows in the footsteps of peers like Kellogg's, which successfully split its operations in 2023, spurring acquisitions by global giants such as Mars and Ferrero.
Live Events
The investor backlash has been building for years. Kraft Heinz slashed the value of its brands by $15.4 billion in 2019, and 3G Capital eventually exited its position. Buffett, however, held on, though he admitted that Berkshire overpaid. Two Berkshire-linked board members resigned earlier this year, a sign of Buffett's gradual disengagement as he prepares to step down as CEO.
Yet the total return for Berkshire tells a more forgiving tale. While the Kraft Heinz stake is currently worth $8.8 billion, less than the $9.8 billion originally invested, it has paid out around $6.3 billion in dividends. Add in the $2 billion Berkshire earned from preferred Heinz shares that were redeemed in 2016, and the overall return approaches 60%, according to Financial Times.
That's in stark contrast to the fortunes of Kraft's legacy shareholders. After receiving a $10 billion payout at the time of the merger, and a further $13 billion in dividends and buybacks, their share of the current Kraft Heinz market cap values their total return at just 8% over ten years, according to the Financial Times.

As Kraft Heinz inches toward a possible breakup, the question now is whether the move can breathe new life into a faltering giant, or simply mark the final chapter in an experiment that never lived up to its billing. Either way, it's a reminder that even the Oracle of Omaha doesn't always get it right.

A seed bet that paid off Info Edge first backed Eternal—then known as Zomato—in August 2010, investing Rs 4.7 crore in its seed round for an 18.5% stake. It remained a significant investor through the years, holding nearly 19% at the time of Zomato's initial public offering in 2021, in which it also participated. Live Events Tuesday's surge in Eternal shares followed the company's strong performance in the June quarter, fuelling bullish sentiment among investors. The rally in Eternal lifted sentiment around Info Edge as well, pushing its shares up over 4% in intraday trade. Despite Tuesday's gains, shares of Info Edge remain down 16% so far in 2025. Eternal's Q1 report Eternal, the parent company of Zomato and Blinkit, reported a sharp 90% year-on-year (YoY) decline in consolidated net profit for Q1FY26. Net profit stood at Rs 25 crore, down from Rs 253 crore in the same quarter last year. Despite the profit drop, revenue from operations rose 70% YoY to Rs 7,167 crore, driven by strong performance in the quick commerce and food delivery segments. Akshant Goyal, CFO of Zomato, said the decline in profitability was primarily due to continued investments in quick commerce and the going-out vertical. Consolidated adjusted EBITDA fell 42% YoY to Rs 172 crore, although the food delivery EBITDA margin improved to 5.0%, up from 3.9% a year earlier. The company reported that the net order value (NOV) of its B2C businesses grew 55% YoY and 16% sequentially to Rs 20,183 crore. For the first time, quick commerce NOV surpassed food delivery NOV for an entire quarter. Also read | Eternal share price target goes up to Rs 400! NBFCs lead India's corporate bond market as private placements dominate: Jiraaf Bond Analyser

India's corporate bond market continues to witness robust growth, driven largely by the financial sector, with Non-Banking Financial Companies (NBFCs) leading the charge. According to data from the Jiraaf Bond Analyser platform, the financial sector accounts for the largest share of borrowings through capital markets, underlining its reliance on access to capital for onward lending. Bonds Corner Powered By NBFCs lead India's corporate bond market as private placements dominate: Jiraaf Bond Analyser India's corporate bond market is experiencing significant growth, largely fueled by NBFCs due to their reliance on capital markets for funding. Banks, however, have become more cautious with bond issuances amid rising interest rates, favoring deposit mobilization. Private placements dominate debt issuance, offering efficiency, while regulators aim to boost public debt offerings for broader investor participation. Japan bonds fall on coalition's poll defeat as market reopens after holiday RBI accepts Rs 17,274 crore in bond switch auction, aims to manage fiscal pressure India's investment trusts to expand debt fundraising as yields drop, analysts say Corporate bonds in India: From institutional stronghold to broader participation Browse all Bonds News with NBFCs Driving Non-PSU Bond Issuance NBFCs have emerged as the dominant issuers of Non-PSU bonds, especially since 2019, posting a compound annual growth rate (CAGR) of 25% in bond issuances during this period. Live Events Unlike banks, NBFCs typically lack access to low-cost retail deposits and, therefore, depend heavily on capital markets to meet their funding requirements. The post-Covid period further accelerated this trend, as NBFCs capitalised on the low-interest-rate environment to ramp up their borrowings through bond issuances. Banks Turning Cautious Amid Rising Rates In contrast, banks have shown more conservative borrowing patterns in recent years. Post-2022, bond issuances by banks through capital markets saw a notable decline, as the Reserve Bank of India (RBI) hiked repo rates by 250 basis points between May 2022 and February 2023. This shift in the interest rate environment prompted banks to adopt a cautious approach, focusing more on deposit mobilisation rather than relying on capital market borrowings. For Full Coverage on Bonds – click here Private Placements Dominate Debt Issuance Another key insight from Jiraaf's data is the overwhelming dominance of the private placement route in India's listed bond market. Over 95% of listed bond issuances are executed via private placements, where debt securities are offered directly to a select group of institutional or high-net-worth investors. This route offers issuers faster execution, reduced regulatory burden, and lower disclosure requirements compared to public offerings. In comparison, a public offer functions similarly to an IPO, inviting broader investor participation with higher compliance and disclosure norms mandated by SEBI. However, growth in public debt offerings remains muted, partly due to the procedural complexity and stringent regulatory framework. Recognising this, SEBI has initiated steps to ease compliance and disclosure norms for public debt offers, aiming to promote broader participation in the corporate bond market. What Lied Ahead: India's corporate bond market is poised for further evolution as regulators push for greater transparency and wider investor participation. While NBFCs are expected to remain the primary issuers, banks may gradually return to the market if interest rates stabilise. Meanwhile, the continued preference for private placements reflects both issuer convenience and investor demand for bespoke debt instruments. With the government and regulators working to deepen and diversify India's debt market, platforms like Jiraaf are helping retail and institutional investors navigate opportunities in corporate bonds, facilitating wider adoption beyond traditional fixed deposits and mutual funds.
