(TSX: GFP) (' GreenFirst ' or the ' Company ') is providing the voting results for the election of its Board of Directors, which took place at the Company's Annual General Meeting which was held virtually on May 2, 2025. A total of 17,798,023 common shares were voted by proxy at the meeting representing 78.74% of the votes attached to all outstanding shares. The nominees listed in the management information circular dated March 26, 2025, were elected as directors of the Company and detailed results of the votes cast by proxy are set out below:

The offering is expected to close on August 14, 2025, subject to the satisfaction of customary closing conditions. The offering includes an option for the underwriters to purchase 1,050,000 additional shares within 30 days at the public offering price, less underwriting discounts and commissions. Needham & Company and Craig-Hallum are serving as joint book-running managers for the offering. Roth Capital Partners is serving as co-manager for the offering. Second Quarter 2025 Highlights Sales were $163.5 million compared to $172.4 million for the same period last year. Earnings from Operations were $3.0 million compared to $6.7 million for the same period last year. Net Earnings were $0.335 million compared to $3.0 million for the same period last year. Consolidated EBITDA (a non-GAAP measure) was $7.5 million compared to $12.5 million for the same period last year.
