, clarifying that she is not a shareholder of the company and that the AGM was held as scheduled in full compliance with the law.
'Based on the legal counsel and the fact that Mrs. Kapur is not a shareholder of the Company, the Company concluded that it could not defer the AGM,' the company informed the exchanged through a press release.
The company said it received an email from Rani Kapur late on July 24, 2025, requesting a deferment of the AGM that was scheduled for the following day. It added that the request was carefully reviewed, and legal advice was sought before arriving at a decision.
'Late on 24 July 2025, an email was received from Mrs. Rani Kapur requesting a deferment of the AGM. Given our respect for Mrs. Kapur, the Company sought urgent legal advice from one of India's most reputed law firms in relation to the legality of proceeding with the AGM of the Company.'
Sona Comstar, which has been a publicly listed company since June 2021, noted that 71.98per cent of its shareholding is with the public, while the remaining 28.02per cent is held by its corporate promoter, Aureus Investments Private Limited (AIPL).
The company said that in May 2019, it had received a declaration of significant beneficial ownership that identified the late
Sunjay Kapur
as the sole beneficial owner of the RK Family Trust, a significant shareholder in AIPL. It added that, as per its records, 'Mrs. Rani Kapur has not been a shareholder of the Company at least since 2019.'
Rani Kapur alleged coercion, sought AGM deferment amid mourning period
ET Online had earlier reported that Rani Kapur had written to the company's Board and shareholders requesting a deferment of the 29th Annual General Meeting of Sona Comstar.
In her communication, Kapur cited the 'deep mourning' period following the death of her son, Sunjay Kapur, on June 12 in the United Kingdom, and urged the company to postpone the meeting. She described the circumstances surrounding his death as 'sudden and suspicious' and alleged that no formal explanation or documentation had been shared with her.
Kapur also alleged that she was made to sign several documents in a vulnerable state after her son's passing, without being informed of their content. 'The contents of such documents have never been revealed to me,' she wrote, adding that these documents were 'executed by me under coercion and duress… at a time of mental and emotional vulnerability.'
She raised objections to recent developments within the company's leadership, claiming that Board appointments were being pursued without her knowledge or consent. 'I have not given any consent or officially nominated any person to come on the Board... or represent me in any capacity,' she stated.
Kapur further called for a two-week deferment of the AGM, citing inadequate transparency and saying the proposed resolutions 'could have long-term implications.' Her legal representative, Senior Advocate Vaibhav Gaggar, confirmed the contents of her letter to ANI and said she was not initiating legal proceedings at the moment but was seeking a pause in proceedings to ensure informed decision-making.
Sunjay Kapur passed away in UK on June 12
Sunjay Kapur, Chairman of Sona Comstar and a prominent figure in Indian business circles, passed away in London on June 12, 2025. As per reports, he suffered a heart attack while playing polo in the United Kingdom.
His final rites were conducted at the Lodhi Road Cremation Ground in New Delhi on June 19 in the presence of close family members and associates.
Sunjay Kapur had previously been married to actor Karisma Kapoor, with whom he has two children—Samaira and Kiaan. The couple divorced in 2016. He later married Priya Sachdev, and the couple has a son named Azarias.

HAL's earnings report indicated that net profits dropped from ₹ 4,309 crore to ₹ 3,977 crore compared to the same quarter last year. A Reuters report attributed the decline in net profit to a delay in the delivery of its Tejas light combat aircraft. In contrast, net profits for the entire financial year 2024-25 increased from ₹ 7,620 crore to ₹ 8,364 crore, reflecting an approximate growth of 10%. Regarding the defense manufacturer's operating revenue, it earned ₹ 13,700 crore in the January-March 2025 quarter, down from ₹ 14,768 crore in the same quarter of the previous fiscal year, resulting in a 7% drop. For the whole fiscal year 2024-25, revenue from operations totaled ₹ 30,980 crore, compared to ₹ 30,381 crore in 2023-24, marking a slight increase of 2%. HAL share price today opened at ₹ 4,500 apiece on the BSE, the stock touched an intraday high of ₹ 4,558.35, and an intraday low of ₹ 4,499.95 per share. According to Anshul Jain, Head of Research at Lakshmishree Investments, HAL share price formed a large mother bar on the weekly chart during the second week of May, with a high of 5,165 and a low of 4,420. Since then, the stock has spent 12 weeks consolidating within this range, forming a mini coil pattern that lacks bullish conviction. The current setup suggests indecision, and for a meaningful upmove to emerge, the stock must sweep or decisively reject the mother bar's low at 4,420. However, if HAL closes and sustains below 4,400, it would confirm a breakdown from the coil, potentially dragging the stock down toward the 3,820 zone. CHENNAI: Days after the Executive Committee of the Indian Olympic Association (IOA) ratified the appointment of the Chief Executive Officer (CEO), the Athletes Commission will be meeting in New Delhi on Thursday. Majority of the members are expected to attend the meeting, the first after the CEO's ratification. The Athletes Commission is one of the most important cogs in the functioning of a National Olympic Committee (NOC). The IOA too is in a rebuilding process and after the EC meeting to ratify CEO appointment later last month, this will be another step towards normalisation. Raghuram Iyer, the IOA CEO, as powers vested on him by the new IOA constitution, has already called for a Special General Meeting (SGM) to clear the accounts by the passing the audits of 2023-24. The Athletes Commission meeting is another important pit-stop before the SGM. One must be aware that the International Olympic Committee (IOC), because of the infighting between the IOA EC members and the IOA president (PT Usha), had stopped the Olympic Solidarity fund that is aimed at development of athletes through various robust programmes. The solidarity fund also helps to "train coaches and sports administrators, and promote the Olympic values". The IOC has also said that for a strong Olympic bid, a strong NOC is a must. Though most of the commission members are expected to attend, multiple Olympic and world championships medallist PV Sindhu, Olympic and worlds medallist Mirabai Chanu and Asian Games medallist Rani Rampal might not be able to attend the meeting. Though he did not want to go into specifics about the meeting as of now but according to him the IOA, the CEO and all the commission members are together for development of sport and would work towards that.
