Exclusive-Blackstone evaluates options for Reese Witherspoon's Hello Sunshine, sources say

(Reuters) - Blackstone is exploring options for Hello Sunshine, one of the best-known assets in the portfolio of its Hollywood media company, Candle Media, including the possibility of combining it with another company, four people familiar with the matter told Reuters.
Candle Media's acquisition of Reese Witherspoon's Hello Sunshine, the female-focused entertainment company behind Apple TV+'s 'The Morning Show' and Amazon's "Daisy Jones & the Six," catapulted the fledgling media company to prominence in 2021.
As with other independent production companies, Hello Sunshine has struggled as video streaming services cut spending and the Hollywood strikes froze production, three of the people said. Its diversified business, which includes an in-house social agency called Solar, that connects brands to women through storytelling, an annual Shine Away event and Reese's Book Club, helped it remain profitable despite the recent entertainment industry turmoil, a fourth person said.
Blackstone and Candle Media executives are considering options that would give Hello Sunshine greater scope and scale, such as combining it with another studio, according to the four people familiar with the matter who spoke on condition of anonymity because the discussions are private. These sources caution that Blackstone is not actively soliciting offers, though one of the sources added that in a period of media consolidation, "every single independent studio is looking to pick a dance partner."
"While we don't comment on deal speculation, we regularly explore strategic opportunities to drive growth, maximize value, and remain adaptable in a rapidly evolving industry," a spokesperson for Candle Media said.
RTL Group, Europe's largest broadcaster, is exploring options for its Fremantle production unit, including a merger, given a broader cutback in TV commissioning across the industry, Reuters previously reported. British broadcaster ITV has also been holding early-stage talks with Abu Dhabi-backed group RedBird IMI about a possible merger of their respective studio businesses.
The private equity firm that backed Candle Media's high-profile acquisitions -- including its $900-million deal for Hello Sunshine -- recently conducted a strategic review of all of the Candle Media businesses, the people said.
Blackstone decided to sell Candle Media's ATTN, a media company best known for topical short-form videos targeting Gen-Z and millennials, following inquiries from prospective buyers, two of the sources said.
PORTFOLIO COMPANY
Candle Media's structure as a portfolio company -- as opposed to a business engaged in financing Hollywood production slates -- allows for this flexibility should an interested buyer emerge, said one of the four sources with knowledge of the strategy.
Hello Sunshine and ATTN were among a series of acquisitions Candle Media struck as it sought to capitalize on the seemingly insatiable content needs of fast-growing streaming services. It acquired Moonbug, the company whose children's entertainment brands also include CoComelon and Little Baby Bum, for around $3 billion. It also snapped up Faraway Road, the producer of the Netflix show 'Fauda,' and took a minority stake in Will and Jada Pinkett Smith's production company, Westbrook.
Wall Street's enthusiasm for the streaming business cooled in April 2022, when Netflix reported its first loss of subscribers in a decade. Suddenly, investors began to question the billions of dollars media companies were spending on content, in their money-losing pursuit of subscribers.
This bottom-line focus took a toll on independent studios like Candle Media. The effect was compounded, in mid-2023, by Hollywood's dual writers' and actors' strikes, which halted production for six months.
Candle Media responded to streaming's newfound frugality by announcing it was cutting costs and reorganizing the company last July into two divisions: the live-action Candle Studios that is run by Hello Sunshine chief Sarah Harden, and children's entertainment group, Moonbug Kids.
London-based Moonbug is profitable, generating revenue from its 270.5 million YouTube subscribers, distribution deals from video streaming services Netflix, Amazon Prime Video and Disney+, and proceeds from the Spotify music service, two of the sources said. Annual revenue approaches several hundred million dollars, they said.
Hello Sunshine has been a prolific producer of film, television, scripted and reality series. But it has been caught up in the budgetary pressures, longer sales cycles and shifting schedules that have become commonplace in Hollywood after the 2023 strikes, the people said.
It is expected to release nine projects this year, including Amazon's wedding comedy "You're Cordially Invited," starring Witherspoon and Will Ferrell, with another nine entering production, the fourth person said.

Jeremy Clarkson battles a series of last-minute setbacks, including suffering a staff walkout at his Farmer's Dog pub in the series four finale of Clarkson's Farm, streaming on Prime Video from Friday morning. There are a whole number of problems that the farmer faced on the first weekend of opening The Farmer's Dog over August bank holiday 2024. What may have seemed like a smooth sailing success from the outside is now revealed to be far from the truth as Clarkson takes viewers behind the scenes of the pub opening in the Clarkson's Farm's finale. Clarkson's £20,000 tractor restoration from Richard Hammond arrives. But to name a few problems: staff quit and others are left exhausted, water fails, the roof leaks and at one point there is no gas leaving the pub unable to serve food for several hours, a man who falls over has surgery. The list feels endless. Understandably the 65-year-old is left stressed while trying to firefight all of the problems happening at once. After a hectic opening day, Clarkson sits down with Charlie Ireland to discuss a plan of action in the new episodes of the docuseries. The presenter had already praised how much he loved the staff who were friendly and smiling. He tells Ireland: "We've lost two waitresses. We lost a pot washer. After one day." Quickly it's clear this isn't the only problem as Clarkson is plunged into darkness. He says: "Lights are still flickering. Lights flickered off..." Later, emotions are running high when Clarkson is having crisis talks with his front of house staff Sue and Rachel in the upstairs bar at the pub. They tell him things are not going well and that he should go back for a second time to thank his kitchen staff for coping amid the drama. The front of house say that there are "too many problems" to run a "successful business" from this specific site. "Everyone is exhausted, even when we say go for a break, there is no staff room," they tell him. "They're weeing in a portaloo. It's not lovely conditions. They love you. They're excited about the British food." "I have no problem with the staff," says Clarkson. "Not one single problem with the staff. They're all brilliant. They are smiling. They are nice." "The kitchen is about to go pop, those chefs have had it.... It might be worth popping into the kitchen." "I just popped in," Clarkson informs the front of house team. "Go back." "What?" Clarkson doesn't take the feedback well. At the end of his tether, he snaps. Clarkson hits back: "Do you want me to go and find a manager? Or go back into the kitchen?" Clarkson makes it clear that his work is endless when it comes to the pub opening. He goes on sarcastically: "Or do you want me to the leak mended? Or do you want me to deal with the car parking issues? Or do you want me to deal with the neighbours? Do you want me to deal with the council? I've got plenty to be doing and I'll get on with it. Thank you." It's worth noting how tired Clarkson is because he's working around the clock with the pub opening while also juggling the harvest at night, having to even pull all-nighters. Naturally Clarkson is disappointed but he has already got a solution. The former Top Gear presenter has lined up a replacement. In an update, he says: "We've worked out if we shut the lavatories and use plastic plastic glasses instead of glass glasses, we'll have enough water to serve food until six. Next problem is Sue and Rachel, who brilliantly set the pub, up have now left. So it's a Sunday morning, I've managed to get a new front of house person who is the head of sixth form at the local village school. That's good." As Clarkson's Farm season four comes to an end, the core members of the team go for a special lunch at a nearby pub. They choose not to celebrate at The Farmer's Dog itself because even though Clarkson says it's working "reasonably well", they couldn't "relax there". "There was always something to do," Clarkson says in the voiceover. "Something to mend. Something to worry about... So we went to someone else's pub instead." Over the pub lunch, Clarkson is joined by girlfriend Lisa Hogan, Kaleb Cooper, Gerard Cooper, Ireland, Alan and Annie. The presenter tells his core Clarkson's Farm team: "It hasn't been the smoothest of openings... The pub has been tricky. But it's there now. So well done. We did it. To The Farmer's Dog." They all raise a toast: "To the farmers." The final episodes of Clarkson's Farm series four are available to stream on Prime Video now.

Das NEW DELHI (Reuters) -Britain and India on Saturday discussed expanding their "counter-terrorism" collaboration following recent fighting between India and Pakistan, Britain's foreign minister told Reuters after meeting Indian Prime Minister Narendra Modi. British foreign minister David Lammy is the highest-profile Western official to have visited both New Delhi and Islamabad since the South Asian neighbours agreed to a ceasefire last month after their worst fighting in nearly three decades. The latest tensions began in April after the killing of 26 men in Indian Kashmir that New Delhi blamed on "terrorists" backed by Pakistan, a charge Islamabad denied. India then attacked what it called "terrorist infrastructure" in Pakistan, leading to escalation from both sides until a May 10 ceasefire. "We want the situation to be maintained, but of course we recognise fragility, particularly in the backdrop of terrorism, terrorism designed to destabilise India," Lammy said in an interview at the residence of the British High Commissioner in New Delhi. "We are keen to continue to work with our Indian partners on counter-terrorism measures." He said he discussed the next steps with both Modi and Indian Foreign Minister S. Jaishankar, but gave no specifics. Last year, India and Britain discussed combating the financing of terrorism, cooperation between law enforcement and judicial bodies and information sharing. Lammy said he also discussed boosting trade between the world's fifth and sixth largest economies. The countries concluded talks for a free trade deal early last month. "I know that Prime Minister Keir Starmer is very much looking forward to coming to India very soon to sign the free trade agreement," Lammy said.
