Shares of Kesar Enterprises were locked at the 20% upper circuit on the BSE on Wednesday ahead of the company's upcoming board meeting scheduled for July 24 to consider a stock split. The stock extended its rally for a second straight session, posting a remarkable 43.8% gain over the last two trading days.In an exchange filing dated July 21, the company informed that its Board of Directors will meet on Thursday, July 24, to consider several key corporate actions.These include a proposed increase in authorised capital, a stock split, and a re-classification of authorised share capital. The board will also discuss consequential changes to the Capital Clause of the Memorandum of Association.'Pursuant to Regulation 29 of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015, this is to inform you that a Meeting of the Board of Directors of the Company will be held on Thursday, the 24th July, 2025, inter-alia to consider increase in Authorised Capital, Stock Split, Re-classification of Authorised Share Capital and consequential alteration in Capital Clause of Memorandum of Association,' the company said in an exchange filing.The company clarified that the trading window for equity shares remains closed in compliance with SEBI's insider trading regulations.Established in 1933, Kesar Enterprises Ltd (KEL) is engaged in the manufacturing of sugar, spirit, ethanol, and bagasse-based power. KEL is a part of the Kilachand Group, which operates across sectors such as sugar, distilleries, renewable energy, storage, and other agro-based products.The company is involved in the production of sugar, power, and alcohol. It has signed a 20-year Power Purchase Agreement (PPA) with Uttar Pradesh Power Corporation for the sale of electricity.Additionally, KEL is active in the seed business under the brand "Kesar Seeds" and has an in-house research facility in Hyderabad dedicated to the development of open-pollinated and hybrid seeds.Also read: Sebi shares Jane Street probe details with SEC Over the past one year, the shares of Kesar Industries have declined by 30.04%, while on a year-to-date (YTD) basis, it is down 14.30%. The six-month performance also remains negative, with a marginal decline of 0.81%. ADVERTISEMENT Institutional investors that participated in the anchor book included Amansa Holdings SBI Life Insurance Company, Nippon India Mutual Fund (MF), Goldman Sachs, Aditya Birla SunLife MF, HDFC Life Insurance Co Ltd, Societe Generale, DSP India MF, PGIM India MF, Axis MF and Motilal Oswal MF, according to a circular uploaded on BSE's website. As per the circular, the company allocated over 1.34 crore equity shares at Rs 517 apiece to anchor investors aggregating the transaction size to Rs 693.29 crore. The issue, with a price band of Rs 492 to Rs 517 per share will be open for subscription on August 11 and conclude on August 13. The IPO involves a fresh issue of Rs 820 crore and offer for sale (OFS) of 1,39,39,063 equity shares worth Rs 720.65 crore, at the upper end of the price band. This aggregates the transaction size to Rs 1,540.65 crore. Those selling shares through the OFS include Kalaari Capital Partners II, LLC, Saama Capital II, Ltd., Sunil Kant Munjal (and other partners of Hero Enterprise Partner Ventures) and others. Proceeds from the fresh issue will be used to fund its working capital requirements and general corporate purposes.
