Sebi allows IAs, RAs to use MFs, overnight funds to meet deposit norms
This would provide IAs and RAs an additional option, along with bank fixed deposits, to comply with regulatory requirements and help in promoting ease of doing business.
Under the current rule, IAs and RAs are required to maintain a deposit with a scheduled bank. Such a deposit is required to be lien-marked to the Administration and Supervisory Body (ASB) for IAs and RAs.
IAs and RAs, through their associations, have represented that they are facing certain operational difficulties in opening the FD accounts, such as non-uniform interpretation of third-party FD procedures across different bank branches and lien marking of the same in favour of ASB. They suggested that as an alternative to FD, units of a liquid mutual fund lien marked in favour of ASB may also be permitted.
Accordingly, the board of Sebi approved a proposal in this regard on Wednesday.
While approving the proposal, the Sebi's board noted that liquid mutual funds may be considered low-risk and less volatile instruments. Further, a lien can be marked on liquid mutual funds.
"The operation of lien and invocation of lien on units of liquid mutual fund remains within the securities market ecosystem, bringing in more efficiency," Sebi said.
Moreover, mutual fund folios can be opened and operated digitally as well as in demat mode and asset management companies provide such facilities on their websites and apps that can be accessed through the internet on mobile phones/computers.
Also, the board noted that similar to liquid mutual funds, overnight funds could also be a good alternative.
In May, Sebi floated a consultation paper proposing to allow 'use of liquid mutual funds for compliance with the deposit requirements'.
In December 2024, the regulator introduced various measures for ease of doing business for IAs and RAs. These measures include easing the eligibility criteria for qualification from post-graduation to graduation, allowing certification through a continuing professional education model, and removing the experience requirements. The net-worth requirement for IAs and RAs was also discontinued and was replaced with a requirement of deposit.
Furthermore, in the March board meeting, fee-related restrictions on IAs and RAs were relaxed to allow them to charge fees in advance up to a period of one year. The move was part of the continuous efforts of Sebi to address the genuine concerns of IAs and RAs.
Also, the board of Sebi noted the decision to introduce a one-time settlement scheme for Venture Capital Funds (VCFs) for not winding up their schemes within the prescribed time frames.
The scheme provides a settlement opportunity to VCFs who have completed the migration to the Sebi (Alternative Investment Funds) Regulations.
The settlement amount consists of two parts -- Rs 1 lakh for delay of up to 1 year in winding up the scheme and Rs 50,000 for every subsequent year of delay or part thereof and an amount (based on a slab-wise structure) ranging from Rs 1 lakh to Rs 6 lakh depending on the cost of unliquidated investments as on the date of application for migration.
Explaining the features of the scheme, Sebi said that prior to applying under the settlement scheme, VCFs should have completed the migration to AIF Regulations. The settlement amount and all expenses related to settlement will be borne by the Investment Manager/ Sponsor.
Last date for applying under this settlement scheme will be January 19, 2025.
"Migration to AIF Regulations would help the VCFs to secure an additional liquidation period to liquidate the assets and wind up the schemes. However, such migration would not absolve the VCFs from their past delays for winding up such schemes. The scheme is intended to provide expeditious settlement of the past non-compliance related to tenure of scheme only, without any additional burden to investors," Sebi said.

The Securities and Exchange Board of India (Sebi) is considering to launch a pilot programme for a regulated trading platform where companies can trade shares before their initial public offerings (IPO). 'Can we think of an initiative on a pilot basis for a regulated venue where pre-IPO companies can choose to trade subject to certain disclosures?' the regulator's Chairman Tuhin Kanta Pandey said. The new platform will help in reducing grey market activity in companies unlisted shares. The grey market refers to the unofficial trading of securities even before being listed on stock exchanges. This is an unregulated market and works on demand and supply, with investors purchasing or selling shares notionally in the grey market even before they get listed. The Sebi is also mulling ways to improve the tenor and maturity profiles of the derivative products, its Chairman Tuhin Kanta Pandey said on Thursday. The proposed measures would be aimed at introducing longer-term derivative products, he said. Derivative products derive their value from underlying assets that could include stocks, commodities and currencies. Derivatives or futures and options (F&O) markets assist in better price discovery, improve market liquidity and allow investors to manage their risks better. 'We have often stated that equity derivatives play a crucial role in capital formation, but we must ensure quality and balance. We will consult with stakeholders on ways to improve, in a calibrated manner, the tenor and maturity profiles of derivative products, so that they better serve hedging and long-term investing,' Pandey said at the annual capital markets conference organised by FICCI. Currently, most derivatives in the country have either weekly or monthly expiry. Extending the tenure would make these products suitable for hedging and long-term investing. The derivatives segment has been an exponential surge in trading volumes, with the majority of traders incurring losses. A Sebi study released last year found that close to 93 per cent, or 9 out of 10 individual traders, in the equity F&O segment incurred losses, with aggregate loss exceeding Rs 1.8 lakh crore between FY22 and FY24. In the recent past, the markets regulator has announced a raft of reforms to strengthen the derivatives market and to restrain speculative trading. These measures included recalibration of contract size for equity derivatives, rationalization of weekly index derivatives products and increase in tail risk coverage on the day of options expiry. Pandey said that SEBI's approach in relation to equity derivatives has been thoughtful and consultative. The regulator is also looking to deepen the cash equities market, which is the true foundation of capital formation. 'Volumes in the cash market have grown rapidly, doubling in terms of daily traded volumes over a period of just three years. However, much more needs to be done,' he said.

9 in 10 consumers find online ads helpful in discovering new products and offers: Report
Indian consumers are heading into the festive season with optimism, bigger budgets and a growing reliance on online platforms, according to the 2025 Festive Season Report released by Integral Ad Science ( IAS ). The study highlights strong digital momentum. Nine in ten consumers consider online ads helpful for discovering new products and festive promotions. Nearly seven in ten shoppers say they will begin their festive buying before September, while 86 per cent expect to spend more this year compared to 2024. Shopping plans and budgets Festive shoppers reported an average budget of INR 16,500. Almost half of them plan to purchase more online than in-store, and 83 per cent will use mobile devices as their main shopping tool. Eight in ten consumers expressed positive sentiment about shopping online this season, while 65 per cent said they will look out specifically for festive sales and themed discounts. Platforms for discovery Digital channels are set to play a central role in product discovery. Social media leads the pack at 69 per cent, followed by YouTube and other video platforms at 68 per cent and e-commerce or retail sites at 60 per cent. IAS noted that in a crowded ad environment, contextual targeting and well-placed promotions can significantly shape purchase intent. Role of AI in festive shopping Shoppers are also open to using artificial intelligence to enhance their experience. Eighty-seven per cent said they would consider AI tools, with price tracking (about 65 per cent), personalised recommendations (nearly 60 per cent), and gift ideas (about 55 per cent) being the most popular applications. Seasonal confidence The report underlines a shift in consumer behaviour: buyers are more intentional, planning purchases in advance while showing greater trust in digital platforms. With Ganesh Chaturthi, Navratri, Diwali and Christmas around the corner, the early start to festive shopping offers brands a longer window to capture attention. IAS said marketers need to cut through the clutter during peak festive ad spending. Ads tied to inspiring content, curated gifting and festive discounts are most likely to boost brand favourability and trigger purchases.

The proposed framework would allow investors to buy and sell shares during the three-day gap between IPO allotment and listing within a formal, transparent environment and thereby curb the risks associated with grey market dealings. The move is expected to discourage excessive speculative trading in these instruments, where 91% of individual traders suffered losses in FY25.
