MNTN Announces Pricing of Initial Public Offering

NEW YORK, May 21, 2025--(BUSINESS WIRE)--MNTN, Inc. ("MNTN"), a technology platform that brings performance marketing to Connected TV, announced today the pricing of its initial public offering of 11,700,000 shares of its Class A common stock, at a public offering price of $16.00 per share. The shares are expected to begin trading on the New York Stock Exchange on May 22, 2025, under the ticker symbol "MNTN." The offering is expected to close on May 23, 2025, subject to customary closing conditions.
The offering consists of 8,400,000 shares of Class A common stock being offered by MNTN and 3,300,000 shares of Class A common stock being offered by some of MNTN's existing stockholders. In addition, the selling stockholders have granted the underwriters a 30-day option to purchase up to an additional 1,755,000 shares of Class A common stock at the initial public offering price, less underwriting discounts and commissions. MNTN will not receive any proceeds from the sale of shares of Class A common stock by the selling stockholders.
Morgan Stanley, Citigroup and Evercore ISI are acting as lead book-running managers for the offering. Citizens Capital Markets & Advisory, Needham & Company, Raymond James and Susquehanna Financial Group, LLLP are acting as passive bookrunners. SANTA CLARA, Calif. (AP) — The San Francisco 49ers have completed the trade with the Philadelphia Eagles for edge rusher Bryce Huff. Huff restructured his contract with the Eagles last week to help facilitate the trade that will send a 2026 mid-round pick to Philadelphia and the teams announced it on Monday, pending a physical. Huff was set to make $17 million in fully guaranteed money this year. The Eagles will pay $9.05 million of that with the 49ers on the hook for the remaining $7.95 million, ESPN reported last week. The move to acquire Huff gives San Francisco another needed option at edge rusher across from star Nick Bosa and reunites Huff with Robert Saleh, who was his head coach at the New York Jets during his most productive season in 2023. Huff had 10 sacks that season and recorded 67 pressures on just 334 pass rush snaps, according to Pro Football Focus. Huff translated that breakthrough season into a three-year, $51.1 million deal with the Eagles. He had only 2 1/2 sacks and 23 pressures in his one season in Philadelphia, missing five games with a wrist injury. He was then a healthy scratch in the Super Bowl. Huff was originally an undrafted free agent by the Jets in 2020 out of Memphis. He had 7 1/2 sacks in his first three seasons before the breakthrough campaign under Saleh in 2023. The Niners were in need of another pass rusher after cutting Leonard Floyd early in the offseason. They drafted Mykel Williams 11th overall in April but had no other defensive end who had a season with at least five sacks in the NFL. Yetur Gross-Matos is the only other edge rusher on the roster with extensive experience. Gross-Matos had four sacks last season in his first year with San Francisco. The Eagles have undergone significant changes at edge rusher this offseason with Brandon Graham retiring and Josh Sweat leaving to sign with Arizona in free agency. Philadelphia is counting on increased contributions from returning players Nolan Smith and Jalyx Hunt and has also signed Azeez Ojulari and Joshua Uche in free agency. ___ AP NFL:

The biggest decisions of the New York Jets' offseason revolved around hiring the right leaders to bring about the next era of football in East Rutherford. For head coach Aaron Glenn and general manager Darren Mougey, tasked with changing the fortunes of New York, the first order of business was deciding who would be under center. Advertisement Quickly, it became clear that quarterback Aaron Rodgers had run his course with the Jets. After a brief meeting, they made it clear that he would be released at the start of the new league year in March and head to free agency. He was ultimately released with a post-June 1 designation, which spreads the dead cap of Rodgers' deal across multiple seasons at the cost of delayed cap gratification. Mougey wouldn't be able to access the cap space from Rodgers' departure until June. As summer approaches and the offseason continues, Rodgers' cap relief has kicked in, making the Jets one of the biggest financial winners of the June 1 update. According to Ari Meirov, releasing Rodgers and linebacker C.J. Mosley has netted New York $13.5 million in cap space. Advertisement The natural consequence of waiting until June for relief is that the bigger fish of free agency are gone. Rodgers, a favorite to join the Pittsburgh Steelers, is the most notable veteran still available. Just about everybody left has baggage regarding their age or medical history, preventing teams from going all-in, and nobody on the market is going to drastically change the outlook of a season. The Jets are happy to accept those terms. This gives them the room to be flexible for the rest of the offseason, make a trade during the 2025 season if necessary, and enjoy the perks of the space rolling over into next season. According to Over the Cap, New York has $36.8 million in cap space, the fourth most in the NFL behind only the New England Patriots, San Francisco 49ers, and Detroit Lions. It's not particularly meaningful for the coming months, but it's a sign that the team's cap sheet is healthy and that Mougey has the resources he needs to be successful. As for replacing Rodgers, the Jets turned to Justin Fields on a two-year, $40 million deal that ensures his spot as the starter in 2025. If he runs with the opportunity, his resurgence could lift New York back to relevance. If not, the team is flexible enough to find a passer in the 2026 NFL Draft.
