ADX Ushers in MENA's First Blockchain‑Powered Bond

Abu Dhabi Securities Exchange has opened the pricing stage for the first blockchain-based digital bond in the Middle East and North Africa, issued by First Abu Dhabi Bank and powered by HSBC Orion, marking a significant leap in regional capital market innovation.
Global investors will be able to participate through accounts at the Central Moneymarkets Unit in Hong Kong, Euroclear, Clearstream or via HSBC Orion, either directly or through existing custodians. The bond is structured to blend digital issuance with conventional post-trade systems, enhancing settlement efficiency while ensuring compatibility with international clearing and custody frameworks.
ADX's Group CEO, Abdulla Salem Alnuaimi, described this as a defining moment in transforming capital markets through innovation, with the exchange facilitating integration of the bond into existing infrastructure and aligning it to global settlement standards. He added that the initiative paves the way for tokenised future assets such as green bonds, sukuk and real estate-linked instruments.

FAB Group CFO Lars Kramer said the issuance establishes new benchmarks in transparency, security and efficiency, aligning with the UAE's progressive regulatory approach. He highlighted it as a vital step in FAB's innovation agenda and the development of a resilient digital capital market ecosystem.
HSBC served as sole global coordinator, lead manager and bookrunner, utilising its Orion digital assets platform operated via Hong Kong's CMU. Mohamed Al Marzooqi, CEO UAE at HSBC Bank Middle East, emphasised the move as a realisation of tokenisation potential in the region, achieved through collaboration with ADX and FAB.
The bond's pricing specifics—such as tenor, coupon and volume—have not been fully detailed publicly. However, analysts suggest it could be comparable with other tokenised debt instruments, such as those priced at SOFR+70 basis points with three-year maturity, reflecting institutional investor demand and digital bond issuance trends.
This move follows earlier digital bond initiatives through HSBC Orion, including sovereign and supranational issuances. Such instruments highlight the platform's standing in enabling digital debt markets. The integration with CMU fortifies access to established global wholesale infrastructure by tying into Euroclear and Clearstream linkages.
This strategic development positions Abu Dhabi as a regional leader in tokenised finance and digital capital markets. ADX aims to broaden its fixed-income offerings beyond traditional debt, offering investors digital bonds with advantages such as faster settlement times, reduced counterparty risk, enhanced transparency, and improved operational efficiency.
FAB itself is active in blockchain ecosystems, exploring stablecoins and digital RMB. It plans to issue a Dirham stablecoin and participates in cross-border CBDC initiatives through platforms like mBridge, involving central banks of China, Hong Kong, Saudi Arabia, Thailand and the UAE.
As the bond advances beyond pricing to final issuance, stakeholders will monitor investor appetite, compliance alignment and the degree of infrastructure uptake. The success of this transaction could set a template for future digital issuance in the region, reinforcing Abu Dhabi's vision of a diversified, tech‑driven capital market.
Monitoring the transition from pricing to distribution and eventual listing on ADX will be critical. Observers will also assess whether digital issuance can tangibly reduce settlement durations, operational overheads and counterparty risk—fundamental value propositions of tokenised finance.

SREENIVASA REDDY (ABU DHABI)E7 Group, a public joint stock company listed on the Abu Dhabi Securities Exchange (ADX), has launched a voluntary cash offer to acquire all of its outstanding warrants at a price of Dh2.40 per warrant. A circular to this effect was posted on the website of ADX. The warrants were originally issued in May 2022 as part of the company's initial public offering, and the offer period runs from August 20 until October 20, 2025. Warrants are financial instruments that entitle holders to purchase shares of a company at a fixed price within a certain timeframe. In the case of E7 Group, each warrant gives the right to buy ten shares at a price of Dh1.15 per share. However, if not exercised, these warrants will automatically expire and become worthless at 5pm on December 6, 2026, three years after the completion of the company's business company's board explained that the buyback is designed to provide warrant holders with immediate and certain value, eliminating the risk of holding an instrument subject to market volatility or the possibility of expiring without present, there are 22,937,500 outstanding warrants. The offer price of Dh2.40 compares favourably with the company's stated right, after the current period ends, to still purchase untendered warrants at a substantially reduced price not exceeding seventy-five fils per warrant.E7 Group stressed that the proposal is in the best interests of investors, as it not only delivers cash value but also simplifies its capital structure and enhances transparency, which the board said would strengthen the company's profile and support future share value. Having considered the prevailing market conditions and the financial terms of the proposal, the board unanimously recommended that all warrant holders accept the offer by submitting sell orders before the closing board also confirmed that the company will finance the offer entirely from its existing cash resources and voluntary reserves, in line with Article 242 of the Companies Law and a resolution of its general assembly that permits the transfer of amounts from the share premium account into voluntary reserves to fund warrant repurchases. For the execution of the offer, E7 Group has appointed International Securities to act on its behalf in receiving sell orders and settling cash considerations. Cash payments to warrant holders who accept will be made within two business days after completion of the relevant holders retain the right, should they choose not to accept the current offer, to hold their instruments and exercise them before the expiry date to purchase shares at the set the company has underlined that this involves the risk of the warrants becoming valueless in December 2026. By contrast, the present cash offer of Dh2.40 provides certainty of return, which the company believes is fair and compelling under current market circumstances. E7 Group is a leading business in security solutions, commercial printing, packaging, logistics, and fulfilment in the UAE, and is valued at Dh 3.23 billion based on its current share price.

Agility Global witnessed an annual drop of 14.98% in net profits to $75.08 million during the first half (H1) of 2025, compared to $88.32 million. The group reported basic and diluted earnings per share (EPS) amounting to 0.44 cent in H1-25, compared to 0.59 cent in H1-24, according to the financial results. In the first six months (6M) of 2025, revenues from contracts with customers reached $2.34 billion, up year-on-year (YoY) from $2.08 billion. Financials for Q2 During the second quarter (Q2) of 2025, the ADX-listed company generated net profits valued at $43.68 million, versus $43.60 million in Q2-24. Revenues from contracts with customers jumped to $1.20 billion in Q2-25 from $1.10 billion, while the basic and diluted EPS decreased to 0.24 cent from 0.29 cent.
