Pavilion REIT gets approval to acquire Banyan Tree and Pavilion Hotels for RM480mil

KUALA LUMPUR: Pavilion Real Estate Investment Trust (Pavilion REIT) has received unitholder approval to acquire Banyan Tree Kuala Lumpur (BTKL) and Pavilion Hotel Kuala Lumpur (PHKL) for RM480mil, enhancing long-term performance and reinforcing its Bukit Bintang presence.
Pavilion REIT, in a statement, said the resolutions passed at a unitholders' meeting allow MTrustee Bhd, on behalf of Pavilion REIT, to proceed with acquiring the properties from Lumayan Indah Sdn Bhd and Harmoni Perkasa Sdn Bhd.
'We are pleased with the strong support from our unitholders. These hotels are highly synergistic with Pavilion Kuala Lumpur Mall and Elite Pavilion Mall, allowing for an elevated visitor and hotel guest experience,' Pavilion REIT Management Sdn Bhd chief executive officer Datuk Philip Ho said.
The two properties are 5-star hotels operated and managed by Banyan Tree Hotels & Resorts Pte Ltd, and have consistently achieved average occupancy rates of 82.1% (BTKL) and 81.5% (PHKL) for the financial year ended Dec 31, 2024.
BTKL, in a 59-storey integrated building, features 55 rooms, the award-winning Banyan Tree Spa, and a rooftop bar. PHKL, atop Pavilion Kuala Lumpur Mall, offers 325 rooms with extensive meeting and event facilities.
Pavilion REIT said the acquisition will be funded through a combination of debt and or equity, including the issuance of up to 172.4 million new units to the vendors and or their nominees and a private placement of up to 386.0 million new units to raise between RM264mil and RM552mil.
Under the transaction, the hotels will be leased to Harmoni Perkasa for an initial 10-year term, with renewal options extending up to 20 years.
The lease guarantees a fixed annual rental of RM33.5mil for the first five years, offering a gross yield of about 7.0%. Rental escalations and performance-linked components provide additional upside potential.
Pavilion REIT said this structure offers both predictability and upside, with a variable component linked to the hotels' performance over time.
Post-acquisition, the hotels will comprise approximately 5.5% of Pavilion REIT's enlarged total asset under management, while Pavilion Kuala Lumpur Mall's share of the portfolio will decrease from 61.8% to 58.5%.

This is based on the assumption of a profit before tax margin of 6%, according to TA Research. Inta Bina secured a letter of award worth RM264mil from 368 Segambut Sdn Bhd for the construction of main building works of the luxury serviced apartment project called Stellaris Riana Dutamas in Segambut, Kuala Lumpur. The construction involved two blocks comprising 1,143 serviced apartment units, an eight-level podium parking structure, and associated facilities. The project will commence on Aug 18, with completion targeted within 38 months. This marked Inta's third contract secured in financial year 2025 (FY25), bringing total year-to-date wins to RM467mil, or 46.7% of the research house's full-year assumption. Its unbilled order book had increased to an estimated RM1.7bil, representing 2.5 times FY24 construction revenue, TA Research said. Despite the new job wins, it revised its progress billing assumption to reflect the timing of revenue recognition from the contracts. As a result, its FY25 earnings projections are reduced marginally by 5.6%. It also applied some housekeeping adjustments to its models to account for the impact of the new employee share option scheme shares, which leads to earning per share dilution across FY25 to FY27. Its target price is reduced slightly to RM1 a share from RM1.06 a share, based on an unchanged 11 times 2026 earnings. It maintained its 'buy' call on the stock. It liked Inta Bina as it is a direct beneficiary of the robust domestic property sector; has strong earnings visibility which is backed by a resilient order book, and improving profitability. For its first quarter ended March 31, 2025, Inta Bina's net profit rose to RM10mil from RM7.05mil in the previous corresponding quarter, while revenue grew to RM194.6mil from RM159mil a year earlier. In a filing with Bursa Malaysia on its first quarter financial performance announced in May, the company said the construction of data centres mainly in Johor and Selangor as well as industrial buildings, is expected to boost and strengthen the non-residential construction sub-sector. 'The residential buildings sub-sector is expected to grow, supported by an increasing demand for affordable homes,' it said.

Revenue also increased to RM213.34 million from RM201.30 million last year, it said in a filing to Bursa Malaysia today. It said the increase was mainly contributed by Pavilion Bukit Jalil, driven by higher occupancy rate and income generated from its exhibition centre and advertising spaces. For the first half of 2025 (1H 2025), Pavilion REIT's net profit rose to RM169.08 million against RM150.28 million a year earlier, while revenue also improved to RM441.52 million versus RM419.82 million previously. It said the improved performance was driven by improved advertising revenue generated from the upgraded LED screen at Elite Pavilion Mall. On its prospects, Pavilion REIT said the resilient domestic demand is expected to anchor its growth, driven by labour market improvements, accommodative policy settings, and tourism recovery. "Businesses in the retail industry adopt a cautious stand, given that cost pressures remain elevated with service tax imposed on rental and leasing of commercial spaces, higher minimum wages and subsidy rationalisation measures, which will reduce operating margin. "Despite these factors, Pavilion REIT Management Sdn Bhd will continue its proactive management of Pavilion REIT's investment properties to give its unitholders steady distributions," it said.
