Singtel sells 1.2% stake in Bharti Airtel for $1.54 bn via block deal

Singtel on Friday sold Bharti Airtel shares worth $1.5 billion (₹12,750 crore) through a scheduled block deal that saw its stake in the telco reduce by 1.2 per cent.
Offloading 71 million Airtel shares at ₹1,814 apiece, Singtel will now hold 28.3 per cent stake in Airtel, down from 29.5 per cent earlier. Executed through its wholly owned subsidiary Pastel, the sale was oversubscribed. The transaction was priced at a 2.85 per cent discount to Airtel's closing stock price on Thursday.
In an exchange filing, the Singapore-headquartered telecom operator said the sale was part of its active capital management approach to optimise its asset portfolio and drive shareholder returns sustainably. It added that it has been working with Bharti Enterprises to equalise its effective stake in Airtel in the medium term. 'This transaction allows us to crystallise value at an attractive valuation while remaining a significant shareholder of Airtel," said Arthur Lang, group chief financial officer of Singtel.
Singtel is a significant shareholder in Airtel, holding a direct 8.3 per cent stake in Bharti Airtel through its affiliate Pastel Ltd. But cumulatively, it has a higher stake due to an indirect interest in Airtel through its 49.44 per cent stake in Bharti Telecom Ltd (BTL), the primary promoter entity of Airtel. BTL itself owns 40.47 per cent of Airtel while the (Sunil) Mittal family holds a 2.47 per cent direct stake through another promoter entity Indian Continent Investment Ltd (ICIL).
Bharti Airtel shares closed at ₹1,814.35 per share on the BSE on Friday, 2.8 per cent lower than the previous close.
Friday's sale was the first major change in stake for Singtel since March last year when it had sold 0.8 per cent stake (49 million shares) in Airtel to US investment management company GQG Partners for $711 million. SBI Pension, SBI Life, and ICICI Prudential were among major domestic buyers. Before this, Pastel had divested 1.59 per cent stake in Bharti Airtel for ₹7,261 crore through an open market transaction in November, 2022. This came three months after Singtel sold 3.3 per cent stake in Bharti Airtel to BTL for ₹12,895 crore, or $1.6 billion, in August 2022.

Agencies Chennai-based India Cements was acquired by UltraTech Cement in 2024. UltraTech Cement first bought out the promoters and their associates' stake in the company, followed by an open offer for shareholders, making India Cements its subsidiary at the end of December 2024. Live Events India Cements shares closed 0.92% down at ₹370 apiece on BSE on Wednesday, while those of UltraTech Cement ended flat at ₹12,860. UltraTech Cement is currently the largest producer of building material in the country, with an annual production capacity of 192.26 million tonnes for grey cement. The company is set to cross 200 million tonnes of production capacity in this financial year, ahead of its original schedule of 2026-27.

Cable, DTH players bet on IPTV to stem cord-cutting losses

India's traditional TV distributors, cable, and direct-to-home ( DTH ) companies are turning to Internet Protocol Television ( IPTV ) to fight cord-cutting , which has eroded the pay-TV base by nearly 30 million subscribers since the pandemic. Bharti Telemedia and Hinduja Global Solutions ' NxtDigital are seeing early momentum for IPTV, a service that blends linear television with OTT delivery. Urban audiences are increasingly gravitating towards OTT platforms , attracted by the breadth of differentiated content compared to linear TV, and the convenience of anytime, anywhere viewing, media experts said. Airtel's DTH arm lost 200,000 subscribers in the first quarter, but part of that decline was offset by gains from IPTV service, which it launched in 2,000 cities earlier this year. Live Events Hinduja said it is converting cord-cutters into broadband customers, offering them the same TV experience via IPTV. Distributors are also betting on OTT aggregation to keep customers within their ecosystem. Bharti Airtel 's vice chairman and managing director Gopal Vittal said its DTH customer loss was partly due to "structural changes that we initiated to eliminate subsidies on the set-top box." The move would strengthen cash flows in the long run, he told analysts at the company's Q1 earnings call this month, noting that its rivals have also reduced the box subsidies. "Our IPTV is seeing strong acceptance from customers, as it delivers a better experience and convenience, combined with a very, very solid and expensive content slate ," Vittal said. Hinduja Global Solutions' media business NxtDigital reported a pre-tax loss of '38.8 crore for the first quarter ended June, compared to a loss of '37.4 crore a year earlier. Its digital media arm serves more than six million customers with broadband, headend-in-the-sky (HITS), and cable TV services. The company has rolled out its ONEiPTV service in key cities, bundling broadband with access to more than 25 OTT platforms and an IPTV bouquet of over 600 channels. "We are converting customers who might otherwise cut the cord into online broadband users, providing them with a television experience via IPTV comparable to what they had on our HITS or cable TV," Vynsley Fernandes, whole-time director and CEO of NxtDigital Media Businesses, said at its earnings call on August 8. "We are actively promoting this shift, and we anticipate seeing increased traction this quarter and beyond." He noted that India's current wired broadband subscriber base of about 40 million is likely to more than double in the next three to five years, with the wired and wireless home internet market projected to hit $16.5 billion over the same period. According to the Telecom Regulatory Authority of India's performance indicator report for FY25, nine IPTV operators are active in the country: Andhra Pradesh State Fibernet (APSFL), Bharti Airtel, Fastway Transmission, City Online Media, E2 Info Solutions, Wi-bro Solutions, V K Digital Network, Meghbela Cable & Broadband Service, and Hathway Digital.
