Zalando takes majority stake in About You, targets 8% EBIT margin

Zalando and About You, two of Europe's leading online fashion platforms, have officially merged in a strategic move to unite their B2C and B2B strengths. While combining forces to accelerate growth across the region, both companies will retain distinct brand identities. Zalando will unveil the first outlook for the newly formed group on August 6, alongside its second-quarter earnings for fiscal year 2025.
The European Commission approved the deal on July 1, including Zalando's voluntary public takeover offer to About You shareholders. Zalando has now acquired 91.45% of the former Otto Group subsidiary's share capital.
As a next step, Zalando intends to initiate a squeeze-out of remaining minority shareholders, offering them fair cash compensation. The squeeze-out will occur through a merger between About You and a wholly owned Zalando subsidiary.
Since announcing the planned merger on December 11, 2024, both companies say they've been preparing for this next phase—developing concrete plans to ensure a smooth transition post-merger.
'Zalando and About You both started as local startups and have grown into European success stories,' said Robert Gentz, Zalando's co-CEO and co-founder. 'We share a deep focus on quality, innovation, and staying close to our customers. Together, we'll be a powerhouse shaping the future of fashion and lifestyle e-commerce in Europe.'
On the B2C side, the group plans to deliver differentiated and engaging shopping experiences for both customers and brands. In B2B, the integration of About You's payment solution Scayle complements Zalando's vision of building a full-scale operating system for the fashion and lifestyle sector.
'By combining our complementary logistics and software tools—Zeos, Tradebyte, and Scayle—we're creating an even more robust e-commerce operating system,' the companies stated. 'This will allow brands and retailers to efficiently manage multichannel businesses across Europe and beyond.'
'At the heart of this partnership is our shared mission to redefine how people shop for fashion and lifestyle products—and to bring real value to our customers and partners,' said Tarek Müller, co-CEO and co-founder of About You. Gentz added, 'This strategic transaction unlocks major collaborative opportunities while allowing About You to retain its identity and entrepreneurial energy.'
Back in December 2024, Zalando reaffirmed its mid-term outlook for the combined group. By 2028, the company expects compound annual growth of 5 to 10 percent in both gross merchandise volume (GMV) and revenue.
The merged entity is also targeting an adjusted EBIT margin of 6 to 8 percent—representing a significant boost in absolute earnings.
Together, the companies aim to capture a larger share of Europe's €450 billion fashion and lifestyle market.

The €100 billion earmarked for Ukraine targets reforms and reconstruction. 'Whoever thought European support would weaken over time was wrong. Time is really not on Russia's side,' Kos added. Of the total fund €42 billion has been earmarked for the Mediterranean region, including EU southern neighbours in the Middle East, North Africa, and the Gulf, designed to shape migration policy. 'We will enhance investments in security and safe borders to better control smuggling and illegal migration,' Šuica said, adding: 'But we will also develop legal pathways for migration.' The EU pact on migration and asylum adopted in 2024 includes 'talent partnerships' with Egypt, Tunisia and Marocco to promote legal migration. 'We need people to fill in the labour shortages in the European market, but at the same time we will fight strongly against illegal migration and against smugglers,' Šuica said.

Germany and UK sign 'first of its kind' defence and migration treaty

UK Prime Minister Keir Starmer and German Chancellor Friedrich Merz signed a "first of its kind" defence and migration treaty between the two countries, formalising the commitment that each country will come to the other's aid in the event of an attack. 'This is a historic day for German-British relations,' said Merz, making his first official visit to the UK since taking office in May. 'We want to work together more closely, particularly after the United Kingdom's withdrawal from the European Union. It is overdue for us to conclude such a treaty with each other.' Starmer described the treaty as "the first of its kind ever" and called it a 'statement of intent, a statement of our ambition to work ever more closely together." The pact also targets smuggling gangs and includes a commitment from Berlin to make facilitating the smuggling of migrants to the UK a criminal offence. 'Chancellor Merz's commitment to make necessary changes to German law to disrupt the supply lines of the dangerous vessels which carry illegal migrants across the Channel is hugely welcome,' Starmer said. A statement from Downing Street said the legal change — expected to pass by the end of the year — would give German authorities greater powers to investigate and take action against warehouses and storage facilities used by smugglers to hide small boats intended for Channel crossings. The treaty builds on a defence pact the UK and Germany, two of the biggest European supporters of Ukraine, signed last year, pledging closer co-operation against a growing threat from Russia. Starmer builds further bridges with Europe Starmer has worked to improve strained relations with the UK's European neighbours after its departure from the EU in 2020. While he has ruled out re-joining the 27-member bloc's single market, he has sought to increase defence cooperation and reduce trade barriers through new arrangements. During a working lunch at 10 Downing Street, the two leaders also discussed ways to boost European support for Ukraine, including the announcement that German defence startup Stark, which makes drones for Ukraine, will open a factory in the UK. A document released by the German government states that the countries are committed to greater cooperation on joint military and training exercises, as well as working together to combat cyber threats and information warfare. The leaders also unveiled a joint export campaign to co-produce equipment such as Boxer armoured vehicles and Typhoon jets, and to develop a deep precision strike missile over the next decade. Other parts of the treaty aim to deepen economic cooperation by promoting employment and the creation of high-quality jobs, plans for a new cross-border rail link and visa-free travel measures for certain groups. Of the limited arrangement that will make it easier for schoolchildren to go on exchange trips, Merz said he was glad the agreement would allow "the young generation in particular has an opportunity to get to know both countries better." At the signing of the agreement, Merz said he was "surprised" to learn the deal was the first UK-Germany treaty of its kind since World War II. "We had you in the European Union and we thought that was enough, but we are now learning that it's not enough so we have to do more on that," he said.
