MDA Space and SatixFy Announce Amended Merger Agreement for Increased Consideration and Postponement of Shareholder Meeting
The amendment follows a go-shop process, conducted by SatixFy with the assistance of its financial advisor TD Securities (USA) LLC, in which approximately 75 third parties were contacted to determine whether they had an interest in making an Acquisition Proposal (as such term is defined in the Merger Agreement). The "go-shop" period under the Merger Agreement expired at 11:59 p.m. ET on May 16, 2025.
As a result of this process, SatixFy received during the "go-shop" period an Acquisition Proposal from a third-party (the "Go-Shop Party" and the "Go-Shop Proposal", respectively) to acquire all of the outstanding shares of SatixFy in an all-stock transaction, consisting of a number of the Go-Shop Party's shares that would imply aggregate equity consideration of approximately US$233.5 million, or approximately US$2.53 per ordinary share. Furthermore, the exchange ratio, on the basis of which the consideration pursuant to the Go-Shop Proposal would be calculated, featured a collar such that the ratio between the SatixFy shares and the Go-Shop Party stock consideration would remain fixed despite any increase in the Go-Shop Party's trading price to enable the holders of SatixFy's ordinary shares to participate in up to a 10% increase, and would be adjusted in the event of any decrease in the Go-Shop Party's trading price to enable the holders to receive the same aggregate value of US$233.5 million despite up to a 20% decrease. MDA disputed the validity of SatixFy's notice of the Acquisition Proposal.
In response to the Go-Shop Proposal and subsequent discussions with MDA, SatixFy and MDA reached an agreement to amend the Merger Agreement to provide for a significant increase in the merger consideration to an all-cash transaction for US$3.00 (without interest) per ordinary share, which implies an aggregate equity value for the Company of approximately US$280 million. The increase in the merger consideration is based upon the commitment by the Company not to consider any other acquisition proposals for SatixFy and for SatixFy's Board of Directors (the "Board") not to change its recommendation supporting the Merger Agreement, as amended.
The Board determined that the increased price per share is the best value for the shareholders of Satixfy, after taking into account various considerations including time to close and risks of delays, risks to closing, financial situation of the company, benefits of an all-cash transaction and others (the "Board Determination").
The Board unanimously reiterates its recommendation that SatixFy shareholders vote FOR the revised transaction at the Meeting (as defined below).
Shareholders holding approximately 57% of SatixFy outstanding shares have entered into voting support agreements pursuant to which they have committed to vote in favor of the transaction.
In connection with the Board Determination, the Board also resolved that the upcoming Special General Meeting of Shareholders to approve the Merger Agreement and related transactions which was scheduled for May 20, 2025 will be postponed to 4:00 p.m. Israel time on May 23, 2025 to allow sufficient time under applicable laws, rules and regulations for the announcement and distribution of the disclosures set forth herein. There is currently no change to the location, the record date, the purpose or any of the proposals to be acted upon at the Special General Meeting of Shareholders, except as set forth in this press release.

Fewer young people are meeting these 5 milestones typically associated with adulthood
Fewer young adults are achieving economic and family milestones typically associated with adulthood, according to a recent working paper from the U.S. Census Bureau. The paper looked at nationally representative data from 2005 and 2023 to examine changes in young adults' experiences reaching major life events, such as moving out of their parents' house, getting married, and having a child. Researchers found a dramatic shift in the attainment of these milestones in recent decades. The reason for this, according to the paper, is that more young adults between the ages of 25 and 34 are facing economic barriers compared with previous generations. Changing societal attitudes around family formation are also contributing to the sharp decline in the share of young people reaching what the U.S. Census Bureau considers to be "key milestones." According to the working paper, "Changes in Milestones of Adulthood," almost half of all young adults in 1975 had reached four milestones associated with adulthood: moving out of one's parents' home, getting a job, getting married and having a child. Five decades on, that progression has changed dramatically. The share of young adults that have followed the traditional pathway to adulthood has dropped to less than a quarter, according to the paper. "...Living arrangements, economic opportunities and attitudes toward family formation have not been experienced in the same fashion across generations of young adults," the working paper reads. "Increases in job turbulence and economic downturns, for example, have resulted in some young adults navigating more volatile and uncertain economic environments." Economic conditions, combined with changing cultural norms, "have implications for how young people develop their identity as adults," the paper states. This redefinition of young adulthood comes as the cost of everyday essentials, including housing, food, gas and daycare rises. As a result, more Americans are choosing to forego having a family, in some cases because they deem such choices unaffordable, the study finds. Researchers measured changes in the achievement of individual milestones, too. While one-quarter of young adults achieved all four milestones, 28% met two economic milestones — moving out of their parents' homes and finding jobs. In the 1970s, getting married, having a child, and living independently, were the second-most common group of milestones young people achieved, next to the completion of all four. Women's gains in the workforce, along with changing cultural attitudes, however, have led this combination of milestones to become less popular, the report notes. The completion of education, another marker of adulthood, has overshadowed other milestones over the years as an increasing number of young adults enroll in college, according to the paper. "These higher levels of educational attainment result in contemporary cohorts spending a longer portion of their young adult lives enrolled in higher education, potentially delaying other markers of adulthood such as entering the labor force or marriage," the working paper states. When it comes to perceptions of adulthood, having a job takes precedence over marriage, as young adults see economic achievements as more directly tied to adulthood than they do committing to a spouse. "Marriage is increasingly viewed as a capstone of adulthood, something to pursue after achieving economic stability through completing formal education, establishing an independent household and becoming employed," the working paper states.

Is It Too Late to Buy Celestica Stock?
Written by Aditya Raghunath at The Motley Fool Canada Valued at a market cap of $33 billion, Celestica (TSX:CLS) is a TSX stock that has been on an absolute tear in the last 12 months, rising close to 300%. Moreover, in the past decade, Celestica stock has returned an emphatic 1,560%, crushing broader market returns by a wide margin. As past returns are not reflective of future gains, let's see if you should own this TSX tech stock at the current valuation. How did Celestica stock perform in Q2 2025? Celestica is a global electronics manufacturing services provider offering comprehensive supply chain solutions through two segments: Advanced Technology Solutions and Connectivity and Cloud Solutions. It provides design, development, manufacturing, assembly, testing, systems integration, and after-market services to original equipment manufacturers and cloud service providers. Celestica serves diverse markets, including the aerospace and defence, industrial, HealthTech, capital equipment, communications, and enterprise sectors, with particular strength in hyperscale data centre infrastructure manufacturing. Celestica stock represents a compelling investment opportunity as the company rides the unprecedented wave of AI-driven data centre expansion. The electronics manufacturing services provider delivered exceptional Q2 results, with revenue of $2.9 billion and adjusted earnings per share of $1.39, both exceeding guidance ranges. The investment thesis centers on Celestica's dominant position in networking infrastructure for hyperscale customers. Its Communications and Cloud Solutions (CCS) segment grew by 28% year-over-year, driven by explosive demand for 800G networking switches alongside continued strength in 400G products. Notably, 800G volumes reached parity with 400G in Q2, with every major 400G customer transitioning to 800G platforms. This positions Celestica to capture market share gains as hyperscalers like Google, Amazon, and Microsoft rapidly expand their AI infrastructure. Management remains optimistic about near-term growth as it forecasts revenue of $11.6 billion in 2025, an increase of 20% year over year. Comparatively, adjusted earnings are forecast to increase by 20% to $5.50 per share. Celestica reported an operating margin of 7.4% in Q2, a quarterly record and expects free cash flow to total $400 million this year. Celestica's competitive moat stems from its globally diversified manufacturing footprint across 16 countries, providing customers with supply chain resilience and geographic flexibility. The company has proven manufacturing readiness with capacity to support $3–4 billion in additional revenue across key locations, including Thailand, Mexico, and Texas. This scalability advantage is crucial as hyperscalers continue aggressive capital expenditure spending on AI infrastructure. Is the TSX stock still undervalued? Analysts tracking Celestica stock forecast revenue to rise from $9.6 billion in 2024 to $19.2 billion in 2028. Its adjusted earnings are forecast to expand from $3.88 per share to $11.2 per share in this period. Today, the TSX tech stock trades at 34 times forward earnings, which is much higher compared to its historical multiple of 10.4 times. If CLS stock is priced at 30 times forward earnings, it should trade around $336 in early 2028, indicating upside potential of 18% from current levels. The secular tailwinds supporting Celestica's growth remain robust. Hyperscaler customers are in early innings of multi-year AI infrastructure buildouts, with recent capital expenditure increases from major cloud providers validating the sustained demand environment. The upcoming transition to 1.6T networking and next-generation AI/ML compute platforms provides additional growth catalysts extending through 2026–2027. Trading at reasonable valuations despite exceptional fundamentals, Celestica stock offers investors direct exposure to the AI infrastructure boom through a proven execution partner with market-leading capabilities, strong customer relationships, and operating leverage at volume scale. Wall Street Joins Consumer Advocates to Call for Edit to GENIUS Act on Stablecoins
Wall Street bankers are hammering away at some provisions of the new U.S. stablecoin law that was hailed by President Donald Trump and the crypto sector as a huge first step toward establishing a fully regulated U.S. industry, and the banks are joined by unusual bedfellows from the consumer-advocate world in sounding alarms. Hoping to revise and cut provisions that might threaten aspects of the current financial system, the American Bankers Association and other bank lobbying groups aligned in a letter this week with Americans for Financial Reform — usually a staunch opponent of Wall Street's policy aims — and the National Consumer Law Center. One provision of the stablecoin law known as the Guiding and Establishing National Innovation for U.S. Stablecoins (GENIUS) Act lets a stablecoin-issuing subsidiary of a state-chartered uninsured depository institution run money-transmission and custody services nationwide, which the bankers argue bypasses existing state licensing and oversight. Their letter asked several key U.S. senators to insist that whole section be erased entirely. "Ignoring state law in this regard invites regulatory arbitrage, allowing certain uninsured depository institutions special privileges to operate across state lines as federally insured banks currently do, but without the panoply of regulatory and supervisory requirements, or limitations on preemption applicable to those institutions," the August 13 letter argued. The bank lobbyists, also cooperated in a separate effort to protect deposits and other core aspects of their businesses from the GENIUS Act, arguing in another letter to lawmakers this week that the law leaves an opening for crypto firms to offer returns on stablecoins. While the law bans stablecoin issuers themselves from offering interest or yield, it doesn't stop the issuers' affiliates or exchanges from doing so indirectly. The bankers fear a massive loss of deposits and money-market fund activity from the resulting rivalry stablecoins might offer. "Congress must protect the flow of credit to American businesses and families and the stability of the most important financial market by closing the stablecoin payment of interest loophole," according to the groups, including the ABA, Bank Policy Institute, Financial Services Forum and others. Banks turn deposits into loans, so the lack of deposits threatens necessary U.S. lending. Faryar Shirzad, the chief policy officer at U.S. crypto exchange Coinbase, criticized the banks' position in postings on social media site X. "Congress shouldn't be in the business of passing legislation that takes away consumer choice and the opportunity for the average person to earn returns on their hard-earned dollars," he wrote, additionally arguing that the $6 trillion figure on what desposits may be at stake is overblown. "Let's play along for a second," Shirzad added. "If customers really would move $6T away from banks into stablecoins, what does that say about what value consumers feel like they're getting from their banks?" The GENIUS Act was signed into law by President Trump, but the bigger and more complex legislation to regulate U.S. crypto markets is still pending. That future bill, which already passed the House of Representatives as the Digital Asset Market Clarity Act, could still overhaul provisions of the stablecoin law, even before that new law is converted into rules by the U.S. financial regulators. That's what the bankers are advocating, alongside their temporary customer-advocate allies. Adds comment from Coinbase's Faryar Shirzad.
