
Devil's in the details: Why BP's debt may deter a buyer
LONDON, June 25 (Reuters) - BP (BP.L), opens new tab has been the subject of takeover talks for several years due to its shares' relative underperformance, but analysis of its disclosures shows the British energy firm may not be as cheap as its market valuation would indicate.
BP says it has net debt of $27 billion - already more than some rivals - but its disclosures show that it has around $38 billion of additional liabilities.
"We see BP's all-in debt profile as something of a poisoned chalice for an acquirer," RBC analysts said.
The $80 billion company has underperformed its competitors for years, which investors and analysts say has made the company a potential takeover target.
Companies seen as potential suitors have included British rival Shell, along with U.S. oil majors such as Exxon Mobil or Chevron.
Abu Dhabi National Oil Company considered a takeover in 2024, but did not proceed, Reuters reported.
BP declined to comment.
BP's stock has underperformed its peers since 2020 when its pivot to renewable energy left it lagging behind when global and gas prices surged.
Despite new CEO Murray Auchincloss reversing course, the shares have continued to underperform in 2025.
Beyond its declared net debt of $27 billion, BP carries three major additional liabilities.
The largest of these are some $17 billion in hybrid bonds which blend debt and equity traits. While they pay fixed income like bonds, issuers can skip payments, making them riskier and costlier. These often do not count as debt, helping preserve credit ratings. TotalEnergies holds about $12 billion in hybrids, while Shell has none.
BP also has $12.5 billion in lease obligations for assets such as vessels and rigs. Unlike Shell, which includes $28.5 billion of such liabilities in its $41.5 billion net debt, BP excludes them.
Finally, BP is still paying for the 2010 Macondo disaster, when a blowout at an offshore platform in the Gulf of Mexico caused one of the world's worst oil spills.
BP still owes $8 billion from the spill, part of a $70 billion total cost, company disclosures show. This remaining liability is also excluded from its net debt.
Shell CEO Wael Sawan has long argued that buying back Shell's own stock offers better value than investing in BP.
Analysts point to BP's higher all-in debt load as a key reason.
While BP's share price may appear cheap, financial measures such as EV/DACF (enterprise value/debt-adjusted cash flow), which compares a firm's value to its cash generation, tell a different story.
"BP's stock may look inexpensive from a share price point of view, but that masks the additional liabilities needing to be absorbed, with the current shares trading largely in line with Shell on EV/DACF," said UBS analyst Joshua Stone.
BP's valuation could improve if it completes its $20 billion asset disposal plan by 2026. But for now, it remains more leveraged than Shell, which limits its free cash flow.
"Overall, we still believe it likely that no deal will be agreed. BP carries significantly more debt than Shell," said Henry Tarr, co-head of energy and environment research at Berenberg. "This leverage eats into its free cash flow generation."

The Portuguese worked with Gyokeres at Sporting and helped him thrive - but the issue for United is they cannot offer Gyokeres Champions League football. Arsenal, meanwhile, have made Benjamin Sesko their top target ahead of Gyokeres. The RB Leipzig frontman has some hefty wage demands, though, and the Gunners could yet back out of a deal and press ahead with a move for Gyokeres instead. It's been reported that Sporting were willing to sell Gyokeres for around £65million, which is less than his release clause. The player has clashed with club bosses over them apparently demanding more than they had agreed, which has complicated his exit. Their club president Frederico Varandas claims there was no gentleman's agreement over his exit and has said: "I can guarantee that Viktor Gyokeres will not leave for 60m euros plus 10m euros because I never promised that. CEO behind nuclear-capable fighter jets gives chilling update on pilot plans
The UK is set to purchase 12 new F-35A jets in a move billed by Downing Street as 'the biggest strengthening of the UK's nuclear posture in a generation' Keir Starmer says he will oversee the "biggest strengthening" of the UK's nuclear deterrence in three decades after confirming RAF pilots will get nuke-capable jets. The move will see the UK purchase 12 F-35A jets and join NATO's airborne nuclear mission. The jets, a variant of the F35Bs the UK already uses, can carry conventional weapons, but can also be equipped with nuclear bombs. The Prime Minister said: "In an era of radical uncertainty we can no longer take peace for granted, which is why my government is investing in our national security, ensuring our armed forces have the equipment they need and communities up and down the country reap the benefits from our defence dividend." The decision represents a victory for the Royal Air Force, which has long pushed for a return of its nuclear capabilities since the last British air-dropped nuclear weapon was withdrawn from service after the end of the Cold War. Just last month, the company behind the F-35 fighter jets issued an update on their plans to develop an autonomous aircraft. At Bernstein's 41st Annual Strategic Decisions Conference, Lockheed Martin CEO Jim Taiclet suggested that a F-35 fighter jet with an "optional" pilot could be possible within a "relatively modest time frame." Developing autonomous or 'uncrewed' aircraft has been a top priority for the U.S. Air Force. Its Collaborative Combat Aircraft (CCA) initiative focuses on unmanned jets designed to operate alongside manned aircraft or independently across various missions. Air Force leadership has touted these "loyal wingmen" as not only giving pilots a variety of options for how to employ them — as sensors, weapons carriers, or jamming platforms — but also offering the possibility of having enough with lower costs than crewed aircraft. This cost-effectiveness could prove crucial in a conflict with peer adversaries like China or Russia, allowing pilots to deploy CCAs on high-risk missions. Taiclet noted that Lockheed Martin's vision for the F-35 includes making it optionally manned to complement the CCA concept. "We're thinking of the F-35 not just as a standalone platform, but as one that can integrate with sixth-generation aircraft and unmanned systems, with the ability to be optionally manned,' he said. Since the 1990s, the UK's nuclear deterrent has been carried exclusively by the Royal Navy's submarines, which the Government has also promised to invest in renewing with four new vessels. Sir Keir added: "Supporting 100 businesses across the country and more than 20,000 jobs, these F35 dual capable aircraft will herald a new era for our world-leading Royal Air Force and deter hostile threats that threaten the UK and our Allies." Defence Secretary John Healey said the decision followed a strategic defence review that "confirmed we face new nuclear risks, with other states increasing, modernising and diversifying their nuclear arsenals". The review, published earlier this month, recommended beginning discussions with the US and NATO on "enhanced UK participation" in the alliance's nuclear mission, and raised the possibility of acquiring F35As. It comes as the Prime Minister warned today at the NATO summit that it is a "mistake" to think the only threats Britain faces are far off - saying the British homeland faces danger "on a daily basis". Asked by The Mirror about an alarming dossier that said Brits must "actively prepare" for war, he voiced his alarm over "sophisticated" attacks on the UK mainland. The Prime Minister announced that security spending will be ramped up dramatically in a "decisive message to aggressors". Speaking today at The Hague in the Netherlands, the PM stated: "It is a mistake to think that the only threat we face is external and far off. We do face threats at home all of the time on a daily basis. "There are cyber attacks that have to be dealt with and all being dealt with. They are ever more sophisticated. We need to have the capability to deal with them." The PM stated that Europe has made a "fundamental shift in its posture" by ramping up its focus on security in the face of new threats. He said NATO members have agreed to raise spending to 5% within a decade, and vowed that the UK will reach 4.1% by 2027.

Mayor Luigi Brugnaro called the event an honour for Venice, and the city denied the wedding would cause disruptions. 'Venice once again reveals itself to be a global stage,' Mr Brugnaro told The Associated Press, adding he hoped to meet Mr Bezos while he was in town. Meanwhile, a Venetian environmental research association, Corila, issued a statement saying Mr Bezos's Earth Fund was supporting its work with an 'important donation'.
