
SILVER VIPER COMPLETES ACQUISITION OF CIMARRON GOLD-COPPER PROJECT
Pursuant to the terms of a purchase agreement dated May 8, 2025, between the Company, CSAC and all of the shareholders of CSAC (the " Vendors"), Silver Viper acquired all of the outstanding common shares of CSAC from the Vendors in exchange for 9,000,000 common shares at a deemed price of $0.20 per share, of Silver Viper (the " Shares"). The Shares issued to the arm's length Vendors are not subject to a hold period under applicable Canadian securities laws and no finders' fees were paid in connection with the Transaction.
Highlights of the Cimarron Project
The Cimarron Project is located on the prolific porphyry belt from Arizona to Jalisco and is situated in the well-established mining jurisdiction of Mexico. The Cimarron Project lies between Mazatlán and Rosario in Sinaloa and is accessible via an 11-kilometre dirt road from a nearby paved road. The area is relatively flat, with low topographic contrast, supporting ease of access. An electrical line passes one kilometre south of the property. The nearby towns of Rosario—a historic mining community—and Mazatlán provide access to skilled local labour.

MAX Power Closes Financings for $4.45 Million with Eric Sprott as Lead Order
VANCOUVER, British Columbia, Aug. 08, 2025 (GLOBE NEWSWIRE) — MAX Power Mining Corp. (CSE: MAXX; OTC: MAXXF; FRANKFURT: 89N) ('MAX Power' or the 'Company') is pleased to announce that in conjunction with the previously announced closings of its non-brokered private placements of units for total gross proceeds of C$2,450,000 (refer to August 1, 2025 news release), with Eric Sprott as the lead order, the Company has now closed its LIFE Offering of units of the Company at a price of C$0.20 per unit for total gross proceeds of C$2,000,000. Pursuant to the closing of the LIFE Offering, involving strategic new investors, the Company issued 10 million units comprising one common share in the capital of the Company (a 'Share') and one Share purchase warrant (a 'Warrant'). Each Warrant entitles the holder to acquire one additional share (a 'Warrant Share') at a price of C$0.25 per Warrant Share from the date that is 61 days after the closing date of the LIFE Offering until the date that is 24 months from the closing date of the LIFE Offering. The Company paid a cash finder's fee of $10,500 and issued 35,000 finder warrants (each, a 'Finder Warrant') to certain finders in connection with the Offering. The Finder Warrants entitle the holder to purchase one additional non-transferable Warrant Share at a price $0.25 per Warrant Share for a period of two years following closing. TARGA ANNOUNCES NON-BROKERED $500,000 PRIVATE PLACEMENT OF FLOW THROUGH SHARES
VANCOUVER, BC, Aug. 8, 2025 /CNW/ - Targa Exploration Corp. (CSE: TEX) (FRA: V6Y) (OTCQB: TRGEF) (" Targa" or the " Company") today announced a non-brokered private placement for gross proceeds of up to C$500,000 (the " Offering"). The Offering will consist of the sale of flow-through shares of the Company (each, an " FT Share") at a price of C$0.15 per FT share. Each FT Share will be issued as a "flow-through share" as defined in subsection 66(15) of the Income Tax Act (Canada) and in section 359.1 of the Quebec Tax Act with respect to purchasers in Quebec. The net proceeds of the Offering will be used for exploration of the Company's Opinaca gold project.
