Presidio Petroleum to Go Public in Merger with EQV Ventures
Presidio Petroleum aims to go public through a reverse merger with EQV Ventures Acquisition Corp. Fort Worth, Texas-based Presidio operates over 2,000 mature wells across Texas, Oklahoma and Kansas, with a focus on the Texas Panhandle. Net production from the assets is expected to average 26,000 boe/d this year. Founded in 2017, Presidio is described in investor materials as the 'last, best steward for America's oil and gas wells.' By combining with EQV Ventures Acquisition Corp., a publicly traded special purpose acquisition company, or SPAC, the firms aim to form a public operator focused on acquiring proved developed producing (PDP) assets. Oklahoma City-based EQV Group is the sponsor of the EQV SPAC, which IPO'd last August and raised $350 million. EQV Group is led by Utah-based energy finance executive Jerry Silvey. 'This transaction with Presidio aligns with our vision to bring a world-class dividend yield focused producing energy company to the public markets,' Silvey said in an Aug. 5 statement. 'The structure of the transaction and meaningful commitments from investors will be critical to support the tested and experienced management team at Presidio.' Panhandle power Upon closing, the company will be renamed Presidio Production Co. and trade on the New York Stock Exchange under the ticker symbol 'FTW.' Presidio will continue to be led by its existing management team, including Will Ulrich and Chris Hammack as co-CEOs. The transaction values Presidio at a pro forma enterprise value of approximately $660 million. As part of the transaction, Presidio will combine its assets with certain Panhandle assets managed by EQV subsidiary EQV Resources LLC. Presidio acquired EQV's Panhandle assets for approximately $59 million. The EQV SPAC is acquiring Presidio for $479 million, inclusive of around $279 million of investment grade ABS debt. EQV is funding the deal with about $85 million from equity investments backed by major investors, including a major oil company, and another $65 million from management and Morgan Stanley Energy Partners reinvesting their shares. Presidio also entered a $50 million reserve-based lending facility provided by Citizens Bank, to be funded upon closing. Together, EQV and Presidio will produce around 14,864 bbl/d of oil, 385 MMcf/d of natural gas and 33,111 bbl/d of NGL on a pro forma basis. Presidio has identified around $1.4 billion in near-term, actionable PDP acquisition opportunities within its Panhandle focus area. 'The combined financing, together with approximately $360 million of cash from the EQV trust account, will provide substantial liquidity for Presidio to pursue dividend accretive acquisitions,' the company said. EQV said Presidio's existing 125 employees will offer 'significant experience to the combined company.' The companies are already looking ahead to other acquisitions, which will be key to future dividend growth. EQV has identified around $75 billion of upstream assets held by aging private equity funds that will require liquidity within the coming five years. Meanwhile, Silvey and EQV Group have launched a second SPAC, EQV Ventures Acquisition Corp. II, aiming to raise $350 million for acquisitions across the global energy sector. According to investor filings, EQV II is targeting both U.S. and international assets beyond just energy. Other public companies are on the hunt for PDP assets. Upstream master limited partnerships Mach Natural Resources and TXO Partners make PDP-heavy acquisitions to support cash flow and offset declines. Last month, Mach inked a $500 million acquisition of oily PDP assets in the Permian Basin from private E&P Sabinal Energy. Earlier this summer, Diversified Energy Co. and investment firm Carlyle announced plans to deploy $2 billion acquiring PDP assets in the Lower 48. How To Change Team Dynamics Step-By-Step
Jerry, Executive coach, CEO of Reboot, speaker, author, radical self-inquiry pioneer, and believer that better humans make better leaders. It's easy to get frustrated with a team that keeps missing the mark. But often, the problem isn't effort—it's a loop of unspoken dynamics. Teams fall into habitual roles, and no number of workshops or retreats will help unless those roles are identified and disrupted. Once these patterns are made visible, they can be broken—giving each team member the chance to speak up and step into the role they truly want to play. Caught In A Loop A client recently came to me ready to fire his entire executive team. One person kept taking over every project, others disengaged or resisted and blame was flying. He'd tried retreats and team-building workshops, but nothing worked. Despite their credentials, he was convinced the team would never function well together. What I saw was a classic pattern: Each person had unconsciously fallen into an emotional role. The overachiever had become the Rescuer. The one constantly blamed was the Scapegoat. The disengaged one had taken on the role of Skeptic. No one chose these parts—they just emerged over time and got reinforced with every interaction. These roles weren't sustainable, but they were also hard to break—until we named them. Once the team began to identify the roles they'd been playing, something shifted. Most didn't want the roles they'd been stuck in; they simply hadn't known how to step out of them. The real work of healing a dysfunctional team isn't about assigning blame or hosting another offsite. It's about making the hidden dynamics visible and giving people the choice to play a different part. Breaking The Pattern Teams often adopt subconscious roles—patterns of behavior that feel familiar, even if they're unhelpful. These roles become reinforced over time, especially when they go unexamined. People become used to playing the same role and slip into that place during every meeting and when faced with any project—not because they want to play that role, but because it's the one that has been subconsciously assigned to them. To begin breaking the cycle, try this simple but powerful process: • List each member of the team, including yourself. This process only works if everyone is part of the inquiry. • Name the emotional role each person seems to play. For example: Is someone always the Rescuer? The Skeptic? The Ghost? The Scapegoat? Don't think in terms of job titles—think in terms of emotional posture and habitual reactions. • Identify the underlying belief or fear behind each role. Ask: What might this person be protecting against? What story are they carrying—about themselves or others? • Invite the team into a shared conversation about these observations. You don't need to get it 'right.' What matters is creating a safe enough space for honest reflection. Often, the simple act of naming the roles begins to loosen their grip. • Ask each person which role they feel stuck in—and whether they want to keep playing it. This step can be incredibly freeing. Most people don't want to be trapped in old patterns. They just haven't been asked and don't know how to break free. By making the implicit explicit, you open the door for choice. And with choice comes the possibility of a team that functions not out of fear or habit, but out of clarity and trust. And that's the team that leads, executes and excels.
