Inari, Sanan jointly acquire Lumileds International for RM1.03bil
KUALA LUMPUR: Inari Amertron Bhd and Sanan Optoelectronics Co Ltd have jointly acquired 100 per cent equity interest in Lumileds Holding BV (Lumileds International) and its 11 Asian and European subsidiary companies for an enterprise value of US$239 million, or equivalent to RM1.03 billion. Inari said in a filing with Bursa Malaysia that the company, together with Sana,n today entered into a share purchase agreement (SPA) with Dutch-based Lumileds Subholding BV for the proposed acquisition. Lumileds International was incorporated on Oct 30, 2014 in Amsterdam, the Netherlands and is a globally recognised leader in the LED industry, specialising in the production and sales of mid-to-high-end LED products. "The proposed joint acquisition will strengthen Inari group's existing captive business strategy while enabling the company to expand and enhance its current product portfolio. "This strategic move will allow Inari group to diversify its product offerings and customer base, thereby creating additional revenue and earnings streams," it said. Inari had also entered into a collaboration agreement (CA) and shareholders' agreement (SHA) with Sanan for the purpose of regulating the respective rights and obligations in Lumileds International and the relationship with one another upon completion of the proposed joint acquisition. It said a special purpose vehicle will be incorporated in Hong Kong (HK SPV) and co-owned by Sanan (74.5 per cent) and Inari (25.5 per cent), either directly or indirectly through their respective wholly owned subsidiaries, and the HK SPV will undertake the proposed joint acquisition. In addition to the capital contribution towards the payment of the enterprise value, Inari and Sanan have agreed to inject a further estimated US$41 million (RM176.3 million) into HK SPV and/or Lumileds International for working capital purposes. RHB sees upside risks to Malaysia's 2025 GDP growth amid US tariff cut
KUALA LUMPUR: RHB Investment Bank Bhd has highlighted potential upside risks to Malaysia's 2025 GDP growth, citing the combined impact of reduced US tariffs and recent fiscal support measures. The bank maintains its baseline GDP forecast at 4.2% but now sees a tilt toward 4.5% growth. In a market strategy note, RHB stated that Malaysia's macroeconomic outlook remains positive, supported by improving global trade conditions. The US tariff reduction to 19% aligns with market expectations, providing a favourable trade environment. 'With ample side-lined liquidity, investors should be more aggressive in deploying cash, as much of the bad news is already priced in,' the bank noted. However, risks persist due to the US-China geopolitical tensions, which could affect emerging markets. RHB pointed out that while domestic equity markets remain reactive to global trade shifts, recent fiscal measures—including Malaysia's pre-emptive overnight policy rate cut—should bolster near-term growth. The bank is reviewing its end-2025 FTSE Bursa Malaysia KLCI target ahead of June quarter earnings reports. PUTRAJAYA: Progressive trade outcomes such as the United States' decision to reduce tariffs on Malaysian exports will have positive ripple effects across multiple sectors, including construction and manufacturing, said Housing and Local Government Minister Nga Kor Ming. He said the move to lower tariffs from 25 per cent to 19 per cent, effective today, reflects growing confidence in Malaysia's economic governance and stands as a testament to the country's credibility as a reliable international trade partner. 'We are grateful for this positive development. It sends a strong signal of trust in Malaysia's economic governance, policy reforms, and commitment to fair, rules-based trade. The 19 per cent rate achieved without compromising our national sovereignty underscores Malaysia's maturity in international negotiations,' he said in a statement today. Malaysia's exports of furniture, lighting signs, and prefabricated building materials were estimated at US$1.55 billion (approximately RM7 billion) in 2024. Nga added that the new rate is expected to further enhance market access and competitiveness. 'Lower tariffs can facilitate greater access to quality construction materials and technologies at competitive prices, supporting our goal to build smarter, greener and more liveable homes and cities,' he said. Meanwhile, Nga, who is also president of the United Nations Human Settlements Programme (UN-Habitat), said the outcome resulted from sustained bilateral negotiations led by the Ministry of Investment, Trade and Industry (MITI), under the leadership of Prime Minister Datuk Seri Anwar Ibrahim and the MADANI Government.
