Soho House is going private in a $2.7 billion deal led by New York-based MCR Hotels, capping a turbulent market run and financial struggles for the operator of high-end members' clubs since it went public in 2021.
Shareholders of Soho will get $9 per share, the company said Monday, a 17.8% premium to Friday's closing price.
Actor and tech investor Ashton Kutcher will also be joining Soho's board following the deal, and the company named hospitality veteran Neil Thomson as chief financial officer to succeed Thomas Allen.
Soho was started by restaurateur Nick Jones in 1995 on London's Greek Street above his restaurant, Cafe Boheme, as a meeting place for creative people. Known for its stylish interiors and exclusivity, the club now has operations across Europe, North America and Asia.
But less than three years after going public, Soho formed a special board committee to explore taking the company private, as it struggled to turn a profit despite growth in membership and revenue.
Under the new deal, MCR Hotels will get Soho's publicly traded shares while founder Nick Jones and Executive Chairman Ron Burkle and his investment firm Yucaipa will retain majority control of the business.
Daniel Loeb, whose hedge fund Third Point owns a nearly 10% stake in Soho, had earlier this year urged the company for a 'fair' sales process after Soho announced a take-private offer from an unnamed consortium late in 2024.
The billionaire investor had said other parties with experience investing in the hospitality sector might be interested in the asset. He had also called the $9-a-share offer a 'sweetheart' deal and pointed to Burkle's 'conflicts of interest and undue influence on the board.'
Burkle's Yucaipa and founder Jones collectively own about three-quarters of the company.

"The sharp pullback in cryptocurrencies comes as the market is getting deleveraged following the peaks recorded last week," said Samer Hasn, senior market analyst at foreign exchange trading platform pointing to "an erosion of bullish momentum." Hasn pointed out that since last Thursday, more than $1.7 billion in long crypto futures positions have been liquidated, according to CoinGlass data. The sell-off comes as the broader market rally has paused, with the S&P 500 (^GSPC) hovering near record levels. Late last week, bitcoin and other digital assets slipped from highs as hopes of a 0.5% interest rate cut from the Federal Reserve in September fizzled on the heels of a hotter-than-expected wholesale inflation print. Investors will be searching for clues on the policymakers' next move when Fed Chair Jerome Powell speaks at the Jackson Hole Economic Symposium this Friday. "If Powell maintains a 'wait-and-see' approach, BTC will likely struggle to break higher in the near term, instead consolidating within the $115,000–$120,000 range," crypto derivatives exchange Bitunix analyst Dean Chen said. "A breakdown could expose $112,000, while holding above could allow another test of the $118,000–$120,000 resistance band." Crypto-related stocks like Strategy (MSTR), Robinhood (HOOD), and Coinbase (COIN) slipped at the opening bell on Monday but recovered a chunk of losses through the first hour of trading. An investor group led by New York-based MCR Hotels will acquire all outstanding shares of Soho House, which has dozens of locations around the world, according to an Aug. 18 announcement. Billionaire Ron Burkle, the executive chairman of Soho House and controlling shareholder, will roll over his stake, along with other existing shareholders. The deal, which has an enterprise value of about $2.7 billion, ends a monthslong debate over the future of Soho House, according to The Wall Street Journal. Dan Loeb and his hedge fund Third Point had been pushing the board to consider outside bidders in an effort to get a higher price, WSJ reported.
