SC recalls verdict ordering liquidation of Bhushan Power and Steel

New Delhi, Jul 31 (PTI) In a significant development, the Supreme Court on Thursday recalled its controversial May 2 verdict that had ordered liquidation of Bhushan Power & Steel Limited (BPSL) while setting aside a resolution plan of JSW Steel Limited for the ailing firm.
A bench comprising Chief Justice B R Gavai and Justice Satish Chandra Sharma observed that the May 2 judgment, authored by Justice Bela M Trivedi, since retired, did not 'correctly consider the legal position as has been laid down in the catena of judgments".
Earlier, a bench of Justice Trivedi and Justice Satish Chandra Sharma had set aside a resolution plan of applicant JSW Steel Limited for BPSL, holding it illegal and in violation of the Insolvency and Bankruptcy Code (IBC).
The verdict had criticised the conduct of all key stakeholders in the resolution process, the resolution professional, the Committee of Creditors (CoC) and the National Company Law Tribunal (NCLT) for enabling what it termed a 'flagrant violation" of the IBC.
On Thursday, a CJI-led bench said it was inclined to review the earlier judgment, which had quashed JSW Steel's resolution plan for the debt-ridden company.
'We are of the view that the impugned judgment does not correctly consider the legal position as has been laid down in the catena of judgments. Apart from that, it is submitted that various factual aspects have been taken into consideration, arguments which were not advanced were also considered though this position is disputed.
'This is a fit case wherein judgment under review needs to be recalled and the matter is to be considered afresh," the bench ordered and fixed the pleas for hearing on next Thursday.
The court added that certain factual aspects were considered and arguments not advanced were also factored into the verdict, raising grounds for reconsideration.
In an open court hearing, the CJI expressed shock after he was intimated that there were as many as 25,000 workers presently working in the BPSL which has been revived by JSW Steel by infusing Rs 30,000 crore.
Emphasising the human impact of the impugned judgment, the bench said, 'We should also look at the larger picture. 25,000 people cannot be thrown on the road." Solicitor General Tushar Mehta argued that the May 2 judgment interfered with the commercial wisdom of the CoC, something courts are generally barred from doing under the IBC.
'Liquidation is not part of the preamble of the IBC… the main aim of the IBC is to ensure that the company gets revived," the law officer said.
'No question of law arises in this case. Findings were rendered merely on the basis of doubt," he said.
The law officer also pointed out that JSW has been running the company since 2021 and has taken loans to revitalise operations.
'This company was once part of the RBI-identified 'dirty dozen'. It is now a healthy, operational entity employing 25,000 people," he added.
Senior advocate Neeraj Kishan Kaul, appearing for JSW, said that 97.75% of creditors had approved the resolution plan and that it had been upheld by both the National Company Law Tribunal (NCLT) and the National Company Law Appellate Tribunal (NCLAT).
'The plan has been fully implemented. Fresh capital expenditure has been infused, and all creditors have been paid. The turnover has increased," Kaul said.
The senior lawyer assailed the impugned judgment for setting a 'dangerous precedent" and noted that the Enforcement Directorate's provisional attachment came only after the plan was approved, leading to prolonged litigation.
He also contended that promoters, who had delayed the process, were now attempting to derail the plan and push for liquidation.
'The very object of IBC is being frustrated," he said.
The lawyers questioned the apex court's invocation of Article 142 of the Constitution.
Article 142 grants the top court the power to pass any order necessary to ensure 'complete justice" in any matter pending before it.
'Power under Article 142 has been used to do complete justice. Not to do injustice to 25,000 people," the CJI said.
Authoring a 105-page judgment for the bench, Justice Trivedi had criticised multiple stakeholders, including successful resolution applicant (SRA) JSW Steel Limited, for procedural lapses and failure to uphold the objectives of the IBC.
The bench had held that the CoC failed to exercise its commercial wisdom while approving JSW's resolution plan, which was in absolute contravention of the mandatory provisions of the IBC and CIRP regulations.
The impugned verdict declared the NCLT orders of September 5, 2019 and the NCLAT judgment of February 17, 2022 as 'perverse" and lacking jurisdiction, and consequently, set those aside.
The bench had rejected the resolution plan of JSW, as approved by the CoC, for being non-compliant with the IBC.
The NCLT was subsequently directed to initiate liquidation proceedings against BPSL under section 33(1) of the IBC, exercising the court's powers under Article 142 of the Constitution.
The top court had said the CoC should not have accepted the resolution plan.
In exercise of the powers under section 33(1) of the IBC and Article 142 of the Constitution, the bench had directed the NCLT to initiate liquidation proceedings against the corporate debtor. PTI SJK SJK KSS KSS

'No slum will be removed without providing alternative housing first,' Gupta said, adding that if required, the government would amend the existing slum policy or even approach court to ensure protection for the poor. 'The pain of slum dwellers will not be ignored,' she said. Gupta's announcement comes amid mounting political tension over demolition drives in Delhi's informal settlements since the Bharatiya Janata Party (BJP) came to power in February. While the demolitions – carried out by agencies like the DDA, Railways and municipal bodies – were largely in compliance with court orders, they sparked criticism from the Aam Aadmi Party (AAP), which accused the BJP of breaking its pre-election promise to protect slum residents. Among the major drives were the June 1 demolition of 300 homes in Jangpura's Madrasi Camp, the June 17 razing of 200 structures in Ashok Vihar, and the June 18 clearance of 25 homes in Gokalpuri. The BJP defended the actions as necessary for reclaiming public land, but Gupta's announcement will come as a reassurance for residents. 'The slums in Delhi are an inseparable part of the city. My government is committed to giving them rightful recognition,' Gupta said, alleging that opposition parties had reduced slum dwellers to a vote bank. She said her government is holding meetings across departments to chalk out a plan for permanent housing and that all departments have been instructed to immediately halt any ongoing demolition activity. She also promised that if rules need to be changed to protect the rights of slum residents, her government will not hesitate to do so. A key part of this effort, she said, is the revival of 50,000 unallotted flats constructed for the poor years ago under the Jawaharlal Nehru National Urban Renewal Mission (JNNURM). These flats, which became dilapidated after lying vacant for years, will now be renovated and allotted to slum dwellers under the Pradhan Mantri Awas Yojana – Urban (PMAY-U). Gupta accused previous government of wasting the opportunity to house the poor. 'Despite receiving crores under JNNURM, the flats were never allocated. Departments like DUSIB and DSIIDC were on the verge of returning ₹732 crore to the central government,' she said. 'Now, with approval from the Union housing ministry, this money will be used to renovate the flats and house slum dwellers.' She said the dispute between the Delhi and central governments over whether the flats should be rented out or directly allotted to slum dwellers had stalled progress for years. Her government, she added, is now committed to direct allocation. 'In these neglected settlements, there was no drinking water, no drainage, no roads. Past governments left them to alcoholism and despair. My government will restore their dignity and give them the pride of being true citizens of Delhi,' she said. Responding to the allegation, AAP's Delhi state president Saurabh Bharadwaj said CM Gupta and the BJP have been bluffing the slum residents in the city. 'If Rekha Gupta is serious about slum rehabilitation, she should ask the central government and its agencies — such as the DDA, railways, and the land and development department — to withdraw the cases against these JJ clusters in the high court and Supreme Court,' Bharadwaj said in a statement.

Hyderabad: For many consumers in Hyderabad, winning a case at a consumer commission no longer guarantees justice. Despite securing favourable verdicts, many are left waiting years to receive compensation. Increasingly, they're being forced to file Execution Applications (EAs), a step that was meant to be rare but has now become routine just to get the commission's orders enforced. Even then, the wait continues. Consumers complain of bureaucratic delays, indifferent companies, and a system with few teeth to ensure compliance. As a result, many end up spending more time and money trying to enforce the verdict than they did pursuing the case. Shreyansh K, a resident of LB Nagar who filed an EA many years ago, said, "I filed my complaint in 2014, and in 2019, the commission awarded me Rs 2 lakh. But even after filing multiple EAs, I haven't received a single rupee till now." "Getting a favourable judgment is tough. Getting it implemented is even tougher. Each of the four commissions in Hyderabad has over 250 to 300 pending execution applications," the official said. Many advocates attribute the crisis to poor enforcement mechanisms. "Consumer commissions can pass binding orders, but can't ensure compliance. Many firms delay payments or appeal to higher forums just to stall execution," said TV Rajeshwar Rao, president of the Hyderabad District Consumer Fora Advocates Association. "Without the help of enforcement agencies like the police, warrants and compensation orders are often ignored. And when the opposite party disappears, there's little that can be done," he added. As the backlog grows, consumer trust in the system is beginning to erode. What was supposed to be a quick and effective dispute redressal forum is increasingly seen as another stop in a long, uncertain legal journey. What's an Execution Application? When the party at fault does not comply with a consumer commission's order within 30-45 days, the complainant can file an Execution Application under Section 27A of Consumer Protection Act. It seeks enforcement through legal means. The EA remains pending until proof of compliance is submitted by the opposite party. A LONG WAIT FOR SOME… Bank ignores order in FD case Mohammed Zareena, a resident of Madhapur, approached the district consumer commission-III after her bank deducted money from a five-year fixed deposit to settle her husband's credit card dues. Last year, the commission ruled in her favour and ordered the bank to refund Rs 1.7 lakh and pay Rs 50,000 as compensation. The bank ignored the ruling. Zareena filed an EA, but it's still pending, with no recovery in sight. Dealer leaves buyer in limbo Mandala Laxminarayana, a resident of Secunderabad, bought a second-hand car for Rs 5.7 lakh in 2020, only to find later that it had an unpaid loan of Rs 4.1 lakh and the ownership wasn't transferred. The district consumer redressal commission-II ruled in his favour, ordering a refund with interest and Rs 1 lakh compensation. He filed an EA in 2021, but over three years later, the matter is still unresolved. He's left with a car he can't sell or use legally. Buyer waits 5 yrs for compliance In 2019, Vardharaju R, a resident of Saidabad, received the wrong sofa, a smaller blue version instead of the white XL he ordered. The district consumer redressal commission-II ruled in his favour and ordered the seller to replace it and pay Rs 50,000 in compensation. When the firm didn't comply, he filed an EA in 2020. Five years on, the sofa hasn't been replaced and the compensation hasn't arrived.
