Apollo Hospitals approves major restructuring plans; to list digital health, pharmacy arms

Apollo Hospitals Enterprise Limited's (AHEL) board on Monday announced a sweeping corporate overhaul, approving a composite scheme of arrangement involving its subsidiaries Apollo Healthco Limited (AHL) and Keimed Private Limited, alongside its wholly owned subsidiary Apollo Healthtech Limited.
ADVERTISEMENT Under the restructuring exercise, the company will first demerge its 'Identified Business Undertaking' into Apollo Healthtech. Subsequently, both AHL and Keimed Private Limited will be merged into Apollo Healthtech, consolidating critical operations under one roof.
Through this move, AHEL aims to unlock value through strategic reorganisation, enabling direct listing of its Omni Channel Pharmacy and Digital Health business, a company filing to the exchanges said.
"Composite Scheme creates a formidable Omni Channel Pharmacy Distribution and Digital Health platform leader in India, with scale of Rs 16,300 crores (US$1.9bn) of revenue in FY25, with stated plans to achieve Rs 25,000 crores revenue by FY27, with 7% EBITDA margin," the company filing added.Following this transaction, Apollo Healthtech Limited will seek listing of its equity shares on the NSE and BSE, paving the way for investors to participate directly in the reorganised entity.Additionally, Apollo disclosed an agreement signed on June 30, 2025, between Rasmeli Limited, an existing shareholder of AHL, and AHL promoter Shobana Kamineni. Rasmeli agreed to share a portion of its investment upside with the promoter and key employees, aligning interests and rewarding performance.
ADVERTISEMENT AHEL shareholders to have direct shareholding in a combined entity. For every 100 shares of AHEL, AHEL shareholders will receive 195.2 shares of the new entity. Listing of the entity is expected in 18-21 months, the company filing said.Commenting on the development, Suneeta Reddy, Managing Director, Apollo Hospitals Enterprise, said, "This comprehensive integrated network, overlaid with a strong digital layer, will allow us to create an impact of magnitude greater than could be achieved with a single format of care. This proposal enables AHEL shareholders to gain direct shareholding in India's largest Omni-Channel Pharmacy and Digital Health Platform, enabling full value discovery and eliminating any hold co discount in valuation.

New Delhi: The India-US trade negotiations are at an advanced stage and a consensus on an interim deal is within reach, a key official told NDTV on Tuesday, adding that Washington's demands on agricultural products are proving to be a hurdle. Indo-American Chamber of Commerce Executive Council Member Sunil Jain spoke to the channel on Tuesday, a day after Finance Minister Nirmala Sitharaman was reported as having said that agriculture and dairy are "big red lines" for India in the trade talks. "The deal has progressed a lot and the chief negotiators of India are extending their stay in the US and trying to complete the deal. I think the two areas where the deal is getting stuck are related to agricultural products. Agriculture is the lifeline of the Indian GDP and Indian people. It is very difficult for us to import agricultural products. There are many difficulties and sensitivities involved," Mr Jain said in Hindi. "The second thing is that the products the US sells to us are genetically modified products, which are banned in India. Till date, no law has been enacted in India to allow these products. So, it is very difficult for us to import maize, cotton, soya, almonds, apples, etc. The US is telling us to make a deal on these products," he added. The negotiations between India and the US entered the sixth day in Washington on Tuesday. The Indian team, headed by Rajesh Agrawal, special secretary in the Department of Commerce, was initially scheduled to stay for two days. The extension is important because US President Donald Trump's 26% reciprocal tariffs had been suspended for 90 days till July 9. The baseline tariffs of 10%, though, are still in place. "I think both countries can keep this obstacle aside and move forward with other products. For the US, exports of auto components, aluminium and steel from India are a problem. I think we should make a deal and keep some products out of it... We can debate and come to an agreement on these products after three to four months," he said. If this can be worked out, the executive council member said, a large part of India's exports to the US will be saved from the reciprocal tariffs, but the base tariff of 10% is likely to remain. "The zero tariff trade will be settled only after September-October. But, even if we work with 10% as the base tariff, it is fine for the country... If there is any bilateral trade agreement, it will have to involve give and take. So, we will move forward and America will move forward. Both are the largest democracies in the world and they will have to move together," Mr Jain said.

T.N. CM Stalin to inaugurate new urban HWCs and PHCs

Chief Minister M.K. Stalin will inaugurate 208 urban Health and Wellness Centres (HWC) and 50 Primary Health Centres (PHC) and urban PHCs on July 3, according to Health Minister Ma. Subramanian. He said that the CM had earlier announced that 708 urban HWCs will be established in the State. Of this, 500 were opened within a year of announcement. The remaining 208 will be inaugurated by the CM through videoconferencing from a centre in Adyar. Each urban HWC will have a doctor, nurse, health inspector and support staff. He added that 19 new district headquarters hospitals and six hospitals on par with district headquarters hospitals were being established at a cost of Rs. 1,018 crore. Of this, the district headquarters hospital at Tiruttani was already inaugurated. Recruitment of staff will be taken up for the remaining 24 hospitals soon, he said.

Ghaziabad: District Consumer Disputes Redressal Commission (DCDRC) has directed the Northern Railways chief medical superintendent (CMS) to pay over Rs 17,000 to a retired railway employee — as reimbursement and compensation for claim delay. While payment of Rs 12,398 has been ordered as treatment reimbursement for cataract surgery, that of Rs 5,000 has been directed as the compensation for delaying the payment of the claim. The commission also directed the payment to be made within 45 days of the order, failing which interest calculated at 6% would have to be paid. Devilal Singh, who superannuated from the post of chief medical superintendent (CMS) in 2012, had filed an application before the DCDRC for direction to CMS, Delhi divisional office and assistant chief medical superintendent (ACMS) of Railway Hospital Ghaziabad. The complainant said during retirement, he was provided with a medical card covering him and his family members.
