EDISON, N.J., June 16, 2025 (GLOBE NEWSWIRE) -- Eos Energy Enterprises, Inc. (NASDAQ: EOSE) ('Eos' or the 'Company'), America's leading innovator in the design, sourcing, and manufacturing of zinc-based long duration energy storage (LDES) systems, manufactured in the United States, announced the closing of the full exercise of the initial purchasers' option to purchase additional notes in connection with its convertible senior notes due 2030 offering. Following the exercise of the option, $250 million aggregate principal amount of convertible senior notes due 2030 were outstanding. This announcement follows the Company's successful closing of its concurrent offerings of common stock (including a full exercise of the underwriters' option to purchase additional shares) and convertible senior notes due 2030.
These transformative transactions mark a critical inflection point that unlocks the financial flexibility required to scale operations to meet long duration energy storage global demand. The offerings were significantly oversubscribed, demonstrating strong investor confidence in Eos' market potential and progress against its strategic plan.

The capital infusion strengthens Eos' ability to execute its growth strategy and increases strategic flexibility by reducing the weighting at the top of its capital stack. It also allowed the Company to restructure key portions of its debt, materially lowering its cost of capital while strengthening its balance sheet, with the overall transaction resulting in approximately $400 million in savings over the terms of the Company's debt.

Use of Proceeds and Strategic Debt Restructuring
Proceeds from the transactions were used to:
Fully repurchase the Company's $125.9 million 5%/6% Convertible Senior PIK Toggle Note due 2026 for $131 million, saving Eos $8.3 million in incremental interest that would have been owed upon maturity. Pursuant to the terms of the repurchase agreement, the Company subsequently received a $5 million reimbursement of the purchase price from the holder.
Prepay $50 million of outstanding borrowings due under the Company's Delayed Draw Term Loan (DDTL) between Eos and an affiliate of Cerberus Capital Management LP ('Cerberus'), and
Add approximately $139 million in cash to the balance sheet net of purchaser discounts, prior to the deduction of expenses.
The $50 million prepayment on the DDTL resulted in key benefits:
Reduced the interest rate on the remaining DDTL from 15% to 7%, significantly lowering the Company's cost of capital.
Deferred the EBITDA and revenue financial covenants on the DDTL and DOE to begin March 31, 2027, allowing the Company to focus on scaled growth.
Extended the lock-up period on Cerberus held securities by one year to June 21, 2026, further aligning long-term shareholder interests.
Waived call protection provisions, saving the Company $28.7 million in prepayment expense.
Eos is currently working to obtain approval from the U.S. Department of Energy's Loan Programs Office (DOE) for the next funding advance under tranche 1 of its DOE guaranteed loan.
Operational Momentum and Manufacturing Expansion
Eos recently submitted the purchase order for its second state-of-the-art manufacturing line that is expected to be operational in the first half of 2026. This marks a pivotal milestone in the Company's plan to scale domestic production in response to strong U.S. and international demand. In parallel, Eos is in the process of installing and commissioning its first bi-polar sub-assembly, an automation enhancement expected to drive significant improvements in throughput and production efficiency.

Introduced during the Company's December 2023 strategic outlook call, Eos has made substantial progress on two foundational components of its Z3 energy storage system: its proprietary American-made Battery Management System (BMS) and its modular inline cube architecture. The custom electronics and advanced software in the BMS have improved availability and shown round trip efficiency above 80% with some longer duration applications surpassing 90%. The Company's inline cube, engineered to simplify field deployment and reduce system level costs, has also demonstrated measurable field efficiencies. In a recent Z3 project, Eos proved the ability to cold commission 75 cubes in just 7 days, resulting in approximately 96% lower installation costs versus prior system designs. Faster installation times and lower costs allow the Eos system to rapidly-scale and meet customer demand for accelerating grid integration.

(the "Company") (TSX: WLLW), in connection with its proposed TSXV Sandbox listing, is pleased to announce that it has received conditional acceptance to list its common shares on the facilities of the TSX Venture Exchange (the "TSXV") as a Tier 2 Investment Issuer under the TSXV Sandbox Program upon closing of the previously announced (a) non-brokered equity private placement for aggregate gross proceeds of $30.0 million (the "Private Placement"); (b) appointment of a new management team and new board of directors; (c) name change to "Atlas Energy Corp."; and (d) consolidation (the "Consolidation") of the common shares of the Company (the "Common Shares") on the basis of one (1) post-Consolidation Common Share for every five (5) pre-Consolidation Common Shares, which are expected to be completed on June 19, 2025 (collectively, the "Transaction"). The TSXV Sandbox is an initiative intended to facilitate listing applications that may not generally satisfy the requirements and guidelines of the TSXV, but due to facts or situations unique to a particular issuer otherwise warrant a listing on the TSXV or an exemption from certain requirements in the TSXV Corporate Finance Manual. The post-Consolidation Common Shares are expected to commence trading under the new name "Atlas Energy Corp." and new symbol "ATLE" on the facilities of the TSXV at market opening on Tuesday, June 24, 2025, and the common shares of Willow Biosciences Inc. will be concurrently delisted from the Toronto Stock Exchange (the "TSX").The Company will remain a "reporting issuer" under applicable Canadian securities laws through the listing transition process from the TSX to the TSXV. Shareholder approval is not required under the policies of the TSX to proceed with the transition as the TSXV is an acceptable alternative market. No action is required by shareholders in connection with the transition of the Company's listing to the TSXV. The Company does not currently meet certain of the continued listing requirements of the TSX or the original listing requirements of the TSXV set out in Policy 2.1 – Initial Listing Requirements because the Company will have no specific investments at the time of listing on TSXV and will therefore not meet the initial listing requirement of having 50% of its available funds invested in 2 specific investments at the time of listing to meet initial listing requirements for a Tier 2 Investment Issuer. As such, the TSXV has exercised its discretion to waive certain original listing requirements in granting the Company conditional acceptance of listing pursuant to the TSXV Sandbox. The Company will remain listed pursuant to the TSXV Sandbox until the following exit conditions (the "Exit Conditions") are met within 12 months of listing on the TSXV (the "Exit Deadline"): (i) the Company has completed the Private Placement for aggregate gross proceeds of $30.0 million; (i) the Company has deployed at least 50% of its available funds following completion of the Private Placement to fund two or more qualifying investments that are satisfactory to the TSXV; (ii) the Company has no outstanding compliance or disclosure issues; and (iii) the Company has made a formal application to the TSXV for an exit review, along with the applicable filing fee, and the TSXV is satisfied the Exit Conditions have been met. Homerun Resources Inc. Executes Binding Term Sheet with Institutional Investor for $6 Million Financing

Vancouver, British Columbia--(Newsfile Corp. - June 16, 2025) - Homerun Resources Inc. (TSXV: HMR) (OTCQB: HMRFF) ("Homerun" or the "Company") is pleased to announce that it has executed a binding term sheet with an arm's length institutional investor (the "Investor") in connection with a proposed financing for $6,000,000.00 (CAD) (the "Offering"). The Offering will consist of the issuance of 6,000,000 units of the Company (the "Units") at a price of $1.00 (CAD) per Unit. The Offering proceeds from the Investor will be deposited with a third-party escrow agent and delivered to the Company in monthly tranches of $250,000 (CAD) over the next 24 months, pursuant to the terms and conditions of a sharing agreement and an escrow agreement to be dated and executed on the closing of the Offering. Additional details about the Offering structure will be provided in the closing news release. Each Unit shall be comprised of one (1) common share ("Shares") of the Company and one (1) common share purchase warrant ("Warrant"). The Shares will be released from escrow in equal installments of 212,225 Shares over the 24-month period from the closing date, with each release contingent upon the corresponding cash payment being delivered to the Company. Each Warrant shall be exercisable for a period of three (3) years. Of the 6,000,000 Warrants to be issued, 1,500,000 Warrants shall be exercisable at an exercise price of $1.18 (CAD). The remainder of the Warrants will be released from escrow in equal installments over a 24-month period. Each Warrant will have an exercise price equal to a 20% premium to the volume-weighted average trading price (VWAP) of the Company's shares on the TSX Venture Exchange for the five trading days immediately preceding the date of each release. The Warrants will also include an equity blocker provision that prohibits the holder from exercising any portion of the Warrants if such exercise would result in the holder owning more than 9.99% of the Company's outstanding Shares. The Investor will receive a corporate finance fee of $360,000, payable via the issuance of 360,000 Shares on the terms noted above. The Company intends to rely on the listed issuer financing exemption under Part 5A of National Instrument 45-106 - Prospectus Exemptions for the Offering, and the Shares and Warrants will not be subject to restrictions on resale. Closing of the Offering is subject to several conditions, including receipt of all necessary corporate and regulatory approvals, including the TSX Venture Exchange. The Company has agreed to pay a non-refundable due diligence deposit of $100,000 (CAD) (the "Deposit Shares") via the issuance of 100,000 Shares of the Company at a deemed issue price of $1.00 (CAD) per Share. The Deposit Shares will be subject to a statutory four month hold period in accordance with applicable securities laws. Extension and Repricing of Previously Announced Financing: Further to Homerun's press release disseminated on March 21, 2025, the Company is extending and repricing the terms within its previously announced non-brokered private placement. The repriced Financing consists of the issuance of up to 3,000,000 units at a price of $1.00 (CAD) for gross proceeds of up to $3,000,000 (CAD). Each unit consists of one common share of the company and one common share purchase warrant, with each warrant being exercisable for an additional common share at an exercise price of $1.30 (CAD) for 24 months.
