Spandana's top ten investors to buy into Rs 400-crore rights issue

Kolkata: The top 10 institutional investors of Spandana Sphoorty Financial have confirmed their participation in the company's ₹400-crore rights issue of shares, which will open for subscription on August 1, Spandana interim chief executive Ashish Damani told ET.
ADVERTISEMENT The list of participating investors includes Kedaara Capital-the promoter of the rural-focused non-banking financial company and a microfinance lender with a holding of 48.13%.
Damani also said that Kedaara is likely to remain invested in the company for a longer period though it has a scheduled exit in September next year.
"The idea behind the rights issue is to bring the confidence of stakeholders back," Damani told ET in an exclusive interaction. "The top 10-11 investors have confirmed their participation in the rights issue."The rights issue is structured in such a way that Spandana will receive 50% payment immediately and it will raise the balance amount in the next 24 months.The company, which suffered a net loss of ₹1,035 crore in FY25, is otherwise adequately capitalized, with a capital to risk adjusted ratio of 37% at the end of March. Spandana's gross non-performing assets ratio stood at 4.85% at the end of March. Its assets under management shrank by 43% year-on-year to ₹6,819 crore on account of slower loan disbursal and writing off more than ₹1,500 crore of bad loans.
ADVERTISEMENT On Kedaara's scheduled exit in 2026, Damani said there is no compulsion for them to exit."This can be best answered by Kedaara. However, as far as I understand, they don't necessarily need to exit," Damani said, adding that Kedaara has the right to invest more than its pro-rata holding if some investors do not subscribe to the rights issue.
ADVERTISEMENT The right shares will be offered at a steep discount to make it attractive, given that the microfinance sector is reeling under asset quality stress. The issue is priced at ₹230 per share over a face value of ₹10 each.On Wednesday, Spandana's shares closed at ₹271.85 on the BSE. They were at ₹305.95 on July 18, the day the rights issue price was announced.

The Centre's nod to a semiconductor manufacturing facility by Advanced System in Package Technologies Private Limited with an expected investment of ₹1,500 crore in Andhra Pradesh under Indian Semiconductor Mission (ISM) has run foul of Opposition-ruled states. Telangana's industries and IT minister Sridhar Babu Duddilla had stated on X, "The Telangana government has done everything a proactive state should do, from allotment of 10 acres of prime land at Maheshwaram to all subsidies being approved... The company has been waiting only for the India Semiconductor Mission approval. Yet, in a baffling display of bias, the Union Cabinet has greenlit a similar project in Andhra where not even a single acre of land has been allotted... A state with ready infrastructure, investor commitment and a clear execution plan has been sidelined in favour of an unprepared proposal existing only on paper."Andhra government sources, however, told ET that the state offered "superior package, including better-priced land and fast-track approvals".Karnataka minister MB Patil told ET: "Several players came to Karnataka and were quite eager to invest here but when they went to Delhi they were diverted to BJP-ruled states." Earlier, in an interview to this correspondent, Kerala minister P Rajeev said that the Centre had withdrawn permission given to a GIFT city in the state.

Japan's SMBC Fund invests $7 million in Shivalik SFB

Kolkata: SMBC Asia Rising Fund , a corporate venture capital fund cofounded by Japan's Sumitomo Mitsui Banking Corporation , has picked a 4.99% stake in Shivalik Small Finance Bank , the only small finance bank in India to have transformed from a cooperative entity. The fund has invested $7 million, or about ₹60 crore, for the stake, making the bank's enterprise value around ₹1,200 crore, Shivalik managing director and chief executive officer Anshul Swami told ET. The existing investors of Shivalik such as Accel , Quona, Lightspeed and Sorin Investments have also participated in this round, having put in another ₹40 crore between them on a pro-rata basis, taking the total equity raise to ₹100 crore. "The fresh equity will be used as growth capital," Swami said. "We are building a strong digital foundation to serve the MSME and retail customers across Bharat." The funds will be utilised to strengthen the bank's technology stack and expand its workforce across critical functions such as product, engineering, and operations, he said. Rajeev Ranka, partner at SMBC Asia Rising Fund, said the fund seeks "partnerships with regulated entities that can enable our portfolio companies to collaborate and co-create products." "Shivalik's partner-first model aligns well with this objective," he told ET. This was the third equity raise by Shivalik since its transition into a bank. It had raised ₹100 crore in June last year from global venture capital firm Lightspeed and Sanjay Nayar-founded Sorin Investments along with participation from existing investors Accel India VII (Mauritius) and Quona Accion Inclusion Fund III. Accel and Quona first invested in the bank in FY22. At present, institutional investors together have a 29.31% interest in the bank while the promoters hold around 40%. The balance is with retail investors, who are mostly old cooperative members. The bank is not listed on the stock exchanges. The capital infusion will boost the bank's capital adequacy ratio to 24% from 19% at present and support a 35-40% targeted business growth target this fiscal. The investment in Shivalik is SMBC Asia Rising Fund's sixth in India. The fund was cofounded by SMBC along with Incubate Fund of Singapore for the purpose of accelerating business development and partnerships through investments in high potential Asian startups. Rajeev Kannan, managing executive officer and head of India division at SMBC, said the group is "committed to contributing to the broad-based growth of the Indian economy." Shivalik, an urban cooperative bank since 1997, got itself converted into a small finance bank in 2021. It has a retail banking legacy. Now, it serves over 900,000 customers across 79 branches and 114 business correspondent outlets in 11 states. Its business size crossed ₹6,700 crore and manpower count rose to 1,000. It earned a revenue of ₹423 crore in FY25. Besides organic expansion, Swami said, the bank management is open to acquisitions for faster growth. "We are open to acquiring a small entity in the affordable housing finance space or in the secured MSME lending space," he said. "People keep approaching us. But there is nothing concentre on the table at this point." About 90% of the bank's business is secured lending while 50% consists of affordable home loans, business loans and gold loans.
