China's JD.com to buy Germany's Ceconomy in deal valuing it at $2.5 billion

DUESSELDORF, Germany, July 30 (Reuters) - JD.com (9618.HK), opens new tab is acquiring Germany's Ceconomy (CECG.DE), opens new tab in a deal that values the electronics retailer at 2.2 billion euros ($2.5 billion), allowing one of China's largest online retailers to expand outside of its home market.
Ceconomy's MediaMarkt and Saturn brands will give JD.com, which competes with Alibaba (9988.HK), opens new tab and Amazon (AMZN.O), opens new tab, access to one of the largest online shops for electronic goods in Europe and a network of about 1,000 stores in several European countries. About 50,000 people work at the two chains.
The deal, announced on Wednesday, values Ceconomy at 4.60 euros a share and CEO Kai-Ulrich Deissner told Reuters it would likely be completed in the first half of next year.
"It's exactly the right partner at the right time," Deissner said. "Through the partnership, we have access to technologies, world-leading retail expertise, and supply chains that are unparalleled worldwide."
Ceconomy's management board and supervisory board will recommend accepting the offer to shareholders, it said in a statement. Its Duesseldorf headquarters would remain, it said.
"We will work with the team to strengthen the capabilities, while applying our advanced technology capabilities to accelerate Ceconomy's ongoing transformation," said Sandy Xu, CEO of JD.com, in a statement.
"Our goal is to further grow Ceconomy's platform across Europe and create long-term value for customers, employees, investors and local communities."
The Kellerhals family, the largest single shareholder of Ceconomy with just under 30% of the shares, has accepted an offer for 3.81% of its shares and intends to remain an investor with a stake of approximately 25.35%.
Shareholders Haniel, Beisheim, BC Equities, and Freenet (FNTGn.DE), opens new tab, which together control approximately 27.9% of the shares, intend to sell their shares to JD.com.
"There will be no compulsory redundancies for three years following the closing of the transaction," Deissner said,
adding that he does not anticipate any major problems from antitrust authorities.
Europe is emerging as a hotspot for Chinese deals and investments and the region is expected to attract more money from China driven by U.S. President Donald Trump's tariff war, said advisers.
Deals into Europe more than doubled to $8.45 billion in 2024, the highest since 2021, and made up more than a third of all China outbound M&A, according to LSEG data, despite increased scrutiny of foreign investments into the region.
"There's potentially more of an incentive for China and the EU to work closer together on the economic front, in view of the trade policies of the Trump administration," said Alan Wang, a global transactions partner at law firm Freshfields.
Ceconomy plans to keep its 23.4% stake in French retailer Fnac Darty (FNAC.PA), opens new tab after the JD.com deal, Deissner said.
"The stake in Fnac Darty will remain. We view it as a long-term strategic option, which we are committed to," he said.
Ceconomy last week confirmed it was in advanced negotiations over a potential takeover.
Ceconomy had annual sales of 22.4 billion euros in its 2023/24 financial year, of which 5.1 billion euros were online.
JD.com had looked at an acquisition of British electronics retailer Currys (CURY.L), opens new tab last year.
Fitch Ratings said on Wednesday the takeover could bolster Ceconomy's credit profile.
"A takeover by JD may lead to an upgrade of Ceconomy's rating, benefitting from JD's stronger credit profile, given the latter's market position as one of the largest global e-commerce platforms with $160 billion revenue providing services across retail, technology, logistics, and healthcare sectors," it said.
"We believe that the acquisition of Ceconomy would boost JD's presence in Europe through the former's over 1,000 stores under MediaMarkt and Saturn brands, and its online presence (24% of sales)," it added.

A British family-of-six moved to Bulgaria and now save £22k-a-year on their household bills. Amy Smerdon, 35, and her husband, Jerry, 53, had always dreamed of living off grid and were fed up of renting but realised they couldn't afford a mortgage in the UK. The couple - who have a two sons, aged eight and six, and twin boys, aged five - heard about cheap property in Bulgaria and bought a three-bedroom home for £7k in 2024 to do up as a holiday home. After Amy got some inheritance money when her grandad passed away, the family decided to move out permanently and bought the plot, with a warehouse, near the town of Popovo. Jerry, who runs a vape shop and ice cream parlour in the UK, converted the warehouse into a liveable home at the beginning of this year. Amy and their kids - and her eldest son, eight, from a previous relationship - moved out from Wincanton, Somerset in March 2025. Now they are renovating the home with a £10k budget and feel 'free' - and say they're able to save £1,801 a month. Amy, a stay-at-home mum, said: 'We've regained control of our life. 'We're actually a family - not just surviving.' Jerry, who has four older son's from previous relationships, said: 'A big part of this was to give this freedom. 'I've been let down by own country. We couldn't get any help with paying council tax - and then you get a bailiff turning up at the door. 'We've got two homes - done in six to eight months together. 'We were struggling to survive in the UK.' Amy had originally looked into living off grid - and converting a shipping container into a home - but found the costs of this would still be high in the UK. She said: 'With the age gap - I'm never going to be able to get a mortgage as I don't have very good credit. 'Jerry is older - he'd never be able to get one because of his age. 'We didn't want to rent somewhere for the rest of our lives. You can't paint that wall, or put something up on one wall.' The family had visited Bulgaria on holiday several times and thought it was a 'lovely' country. After seeing others buying properties abroad, Amy and Jerry started looking at what was available and took the leap on a doer-upper property in Bulgaria. Amy said: 'It was always meant to be a holiday home. It was £7k - the price of what you'd pay for a holiday. 'Then we had no intention of emigrating.' But as the family started reflecting more on their life in the UK they looked into how easy moving out might be. Amy was frustrated by the state of the UK, the judgement on parenting and the cost of living and property prices. She said: 'We weren't living. We were surviving. 'I just feel the UK had become this rat race. 'It was like Groundhog Day for me.' Amy loves that her kids can be 'free' and play outside in their new home country. She said: 'In the UK we see eight-year-olds walking around with iPhones. 'We wanted to escape all of that. 'Here they can scream and shout. 'They can do whatever without someone twitching at the window or knocking and asking for the kids to be quiet. 'That's really important for me.' Amy says the cost of living is also much cheaper - she used to pay £1,300 in rent a month and her bills cost £670 in Britain. Now their bills only cost £198.50 a month. Amy says it's not been 'easy' and they still don't feel 'settled' in Bulgaria but have no regrets over their move. Amy said: 'It's been our saviour. 'Everything is so simple and relaxed. 'It's like going back in time. 'There is no limit - if you want to do something you're able to achieve anything you want. No one can tell you that you can't.'

Fewer green energy tariffs offered as British households opt for cheaper deals

The number of green energy tariffs available to British households has plummeted during the cost of living crisis as bill payers choose affordability over sustainability, according to industry data. Energy suppliers have pulled tariffs advertised as 'green' from the market since Russia's invasion of Ukraine in February 2022 triggered a global energy crisis that pushed gas and electricity bills to record highs. Green tariffs, which are typically more expensive than standard deals, made up about 85% of the UK's supply market in 2022 as climate-conscious households opted to pay a premium for deals backed by renewable energy. But industry data, commissioned by the Guardian, has revealed that energy suppliers have radically scaled back their green offerings, which now make up about a fifth of the tariffs on the market. William Mann-Belotti, an analyst at Cornwall Insight, an energy consultancy, said demand for tariffs backed by renewable energy had fallen because 'green credentials aren't a higher priority than cost … Amid a cost of living crisis, it becomes difficult to sell pure green tariffs at a premium'. Energy tariffs marketed as green typically promise to supply renewable energy rather than power from a mix of sources provided to the UK's power grids, either by matching each unit of energy sold with a renewable energy certificate bought in an open market, or through a direct deal with a renewable energy generator. The consultancy found that the number of green dual-fuel tariffs has halved in the last year alone. Last month there were 13 dual-fuel green tariffs available to consumers out of 57, compared with last summer when there were 24 green tariffs on offer out of 56 dual-fuel energy deals. All the energy deals now advertised as 'green' on the uSwitch price comparison website, including dual-fuel and separate gas and electricity tariffs, have made up just 18% of the overall total this year, data from the switching service shows. Before Russia's invasion of Ukraine, green energy deals made up 85% of all energy tariffs on offer on the price comparison site, according to uSwitch data. 'Consumer choice plays a strong role in what is offered on the market, so cost concerns might see people switching away from more expensive green tariffs. This would therefore reduce the demand for them,' Mann-Belotti said. 'Also, there are other ways for people to reduce their carbon footprint, with quite the increase in solar PV installations in recent years.' Although there are fewer green tariffs on the market today, the deals available are 'greener' than they used to be. Uswitch grades each tariff marketed as green to help customers avoid greenwashed deals. In 2021, fewer than 15% of tariffs received a gold- or silver-standard rating from the switching service, but last year nine of the 10 green tariffs on its site were ranked at this level, leaving a single tariff ranked bronze. The stronger green credentials behind these tariffs reflect a shift away from using renewable energy certificates to guarantee the origin of the electricity – called 'greenwashing' by consumer groups and investigated by the government. Instead, suppliers are opting to buy clean energy directly from renewable energy projects. Others sell energy that is cheaper when there is more renewable energy across the country as an incentive to use more clean power when it is available.
