1) Business risks
NSDL, which commenced operations in 1996 as the first securities depository in India, is a market infrastructure institution in the securities market in India. Apart from depository services, NSDL's subsidiaries — NSDL Database Management Limited (NDML) and NSDL Payments Bank Limited (NPBL) — offer a range of services including database management, insurance repository solutions, payment bank operations, payment aggregation, covenant monitoring, and a comprehensive data platform for disseminating information on debt instruments. Hits in any of the above businesses could impact the overall revenues for the company.
2) Revenue concentration from depository services
A significant portion of NSDL's revenue (over 50%) comes from its depository services. Any decline in transaction volumes, demat account growth, or pricing pressure may negatively impact financials.
3) Competition from CDSL and others
NSDL faces stiff competition from Central Depository Services (India) (CDSL) and the latter reported a higher number of demat accounts in 2025 at 15.29 crore versus 3.94 crore accounts of NSDL.
4) Regulatory risks
NSDL and its subsidiaries are governed by regulatory provisions of Sebi, RBI, IRDAI and UIDAI and regulatory changes or company's failure to comply with the regulations of above regulators would impact the businesses.
5) Failure to execute growth strategies
Company's failure to successfully implement its current and future strategic plans and its efforts to expand service offerings and market reach may impact our revenue and growth.
6) Cybersecurity and Data Breach Risks
Being a critical market infrastructure institution (MIIs), NSDL is a potential target for cyberattacks. A breach could result in data loss, regulatory penalties, and investor distrust.
7) Dependency on Technology Infrastructure
NSDL relies on stable and secure tech systems for operations. Any prolonged outage or technological failure can disrupt services and cause market-wide issues.
8) Conflict of Interest
NSDL in its RHP has said that it cannot assure investors that there will not be a conflict of interest between its responsibilities as a securities depository and its shareholders' interests in the company. Its shareholders include NSE and many top banks like

Canara Bank
, among others.
NSDL also said that one of its directors, Sriram Krishnan is a director on the board of directors of India International Depository IFSC, which is in the same line of business as NSDL. Any conflict of interest that may occur as a result could adversely affect its business, financial condition, results of operations and cash flows.

9) Risks involving third-party vendors
The company utilizes the services of certain third-party vendors for its operations. Any deficiency or interruption in their services could adversely affect its business and reputation. For e.g. it relies on complex information technology networks and systems to operate our business.
10) Pending legal proceedings
There are outstanding legal proceedings involving our Company, our Directors, our Subsidiaries and our Group Companies. These proceedings are pending at different levels of adjudication before various judicial authorities, from which further liability may arise.
The depository has fixed the price band at Rs 760–800 per share, with a lot size of 18 shares, amounting to a minimum investment of Rs 14,400 for retail investors. The IPO will be entirely an offer for sale (OFS) of up to 5.01 crore equity shares by existing shareholders, including IDBI Bank, NSE,

, HDFC Bank, and SUUTI. NSDL will not receive any proceeds from the offering.

Smartphone Revenues Surpass Record Rs 8.7 Lakh Crore In April-June Globally

New Delhi: The smartphone revenues worldwide grew 10 per cent (year-on-year) in the April-June quarter (Q2 2025) to exceed $100 billion (more than Rs 8.7 lakh crore) -- the highest level in a second calendar quarter to date, according to a new report. In contrast, global shipments saw a meagre 3 per cent (on-year) rise during the quarter, according to Counterpoint Research's latest Market Monitor service. Meanwhile, the global average selling price (ASP) also hit a second-quarter peak, rising 7 per cent YoY in Q2 to approach $350. The market witnessed both volume and value growth despite ongoing macroeconomic headwinds in several key regions. Amid the easing out of US tariffs, OEMs benefitted from robust demand for premium devices, especially in developed markets, said senior analyst Shilpi Jain. Premiumisation has accelerated beyond earlier projections, propelled by expanded access to financing options, enhanced trade-in initiatives, and heightened promotional activities – all of which are effectively lowering the barrier to entry for higher-end devices. According to Research Director Jeff Fieldhack, Apple strengthened its lead in revenues driven by strong performance of the 16 series across geographies, benefitting from the broader premiumisation trend. 'Shipments in the US were front-loaded in the quarter due to tariff uncertainties. Meanwhile, the iPhone 16e drove sales in Japan, making it one of the fastest growing regions for Apple. Emerging markets like Middle East Africa, and India continue to show strong growth,' he mentioned. Samsung retained its leadership position in terms of global smartphone shipments in Q2 2025, while its revenue grew 4 per cent YoY. The brand's growth was largely driven by strong demand for its refreshed mid-tier A-series devices across regions, while the Galaxy S25 series, along with the newly added S25 Edge, drove volumes in the premium segment. 'Looking ahead, we expect the premiumisation trend to continue, with revenue growth outpacing volume growth in 2025. Additionally, growing interest in GenAI smartphones and foldable form factors will likely offer significant growth opportunities for the smartphone market,' the report mentioned.

(ANI Photo) Operation Sindoor: Prime Minister Narendra Modi on Saturday said his promise to avenge the Pahalgam terror attack through Operation Sindoor was fulfilled with the blessings of Lord Shiva. 'My heart was filled with sorrow for the 26 people who lost their lives in the Pahalgam terror attack,' Modi said while addressing a public meeting in his parliamentary constituency Varanasi. 'My promise to avenge 'Sindoor' of our daughters was fulfilled with blessings of Mahadev,' he said, adding, 'I dedicate the success of Operation Sindoor at the feet of Mahadev.' The prime minister also stressed that the 'unity of 140 crore countrymen' became the 'strength of Operation Sindoor'. PM urges Indians to adopt 'swadeshi' Meanwhile, Modi also called upon citizens to adopt the spirit of 'swadeshi' and support locally-made products, stressing that true service to the nation lies in promoting indigenous goods, especially amid 'global economic uncertainties'. Addressing a public meeting in his parliamentary constituency Varanasi, Modi said, 'As we talk about economic progress, I want to draw your attention to the current global scenario. 'The world economy is facing instability and uncertainty. In such times, countries are focusing solely on their own interests. India, too, is on the path to becoming the world's third-largest economy and must remain alert to its own economic priorities.' Emphasising that farmers, small industries, and employment for youth are the top-most priorities for the government, Modi said, 'The government is doing everything possible in this direction. But as citizens, we too have responsibilities.' The prime minister's renewed push for 'swadeshi' (indigenous) comes amid the US announcing tariffs on exports from about 70 nations, including India. According to the White House order, India now faces tariffs of 25 per cent for its exports to the US. PM Modi in Varanasi The prime minister is in Varanasi — his Lok Sabha constituency for the third term running — to inaugurate and lay foundation for development projects worth over Rs 2,000 crore and to distribute the 20th installment of the PM KISAN Samman Nidhi worth Rs 20,500 crore to over 9.70 eligible farmers nationwide.
