Triple Flag completes $305m Orogen acquisition

Canadian streaming and royalty company Triple Flag Precious Metals has finalised the acquisition of Orogen Royalties for C$421m ($305m).
In April 2025 Triple Flag made a definitive agreement to acquire all issued and outstanding shares of Orogen Royalties on a fully diluted basis.
Orogen shareholders were given the choice to receive either C$1.63 in cash or 0.05355 of a Triple Flag share per Orogen share, in addition to 0.25 shares in a newly formed entity, Orogen Spinco.
The total consideration was evenly split between cash and Triple Flag shares, not including the value of Orogen Spinco.
Following the shareholder elections, Triple Flag distributed C$171.5m in cash and issued 5.66 million of its common shares.
Orogen Spinco inherited all of Orogen's assets and liabilities, excluding the net smelter returns (NSR) royalty on the Arthur gold project in Nevada, US.
Triple Flag acquired 6.7 million common shares at C$1.48 each, amounting to C$10m, taking an 11% stake in Orogen Spinco.
The company has also secured a 1% NSR royalty on the Arthur gold project.
Orogen CEO Paddy Nicol stated: "We maintain our view that the Arthur Gold project is an excellent royalty and has significant potential to become a cornerstone asset for Triple Flag, and shareholders who received Triple Flag shares will maintain exposure to it through their ownership in Triple Flag."
"After completing the Transaction, new Orogen Royalties Inc will continue to carry on the same royalty business, operating profitably with its flagship cash-flowing Ermitano royalty in Mexico and portfolio of exciting gold and copper royalties and project assets.'
Triple Flag's portfolio has 237 assets, including 17 streams and 220 royalties, with a focus on gold and silver investments.
These assets span the Americas and Australia, encompassing 30 producing mines and 207 projects in development and exploration stages.
Triple Flag CEO Sheldon Vanderkooy stated: 'We are pleased to announce the completion of this friendly transaction with Orogen. The addition of a 1.0% NSR royalty on the Arthur gold project meaningfully enhances our portfolio with a high-quality gold asset located in a premier jurisdiction.
"We are also excited to support Orogen Spinco through our C$10 million investment. This investment gives us exposure to a compelling portfolio of early-stage royalties and partners us with a proven management team with a track record of discovering district-scale assets from disciplined grassroots exploration.'

State pensioners don't automatically qualify for a TV licence that's free. Instead, they need to be aged 74 or over, with an income beneath a certain threshold. Your income also needs to be low enough to qualify for Pension Credit. The benefit is given to those who have less than £227.10 per week income (£346.60 for a couple), based on the new rates which were introduced in April. Anyone who hit state pension age before April 2016, will be on the old basic state pension, which only pays £176.45, unless you have other top ups like the Pre-97 Additional State Pension. Therefore, unless you have other income or savings, everyone on the old state pension will be eligible to claim Pension Credit. This is not automatic, and it must be claimed from the DWP with an application. In turn, those who are claiming Pension Credit will be able to apply for a free TV licence. If you were already claiming Pension Credit, you can make your free TV licence application aged 74, instead of waiting until you're 75. TV Licensing says: "You can apply for a free TV licence if you, as the licence holder, are 75 years or older AND you, or your partner living at the same address, receive Pension Credit. "If you already receive Pension Credit, you can apply for your free licence when you are 74 years old. "We'll update your payments to cover you until your 75th birthday, and then you'll be covered by your free licence. "We'll confirm this in writing." Even if you have too much income to qualify for pension credit, if anyone in your household is legally blind, you could at least cut your TV licence in half to just £84. It only needs one person in the household to be legally blind to cut the whole household bill in half.

(Reuters) -Vacation rentals company Airbnb forecast third-quarter revenue above Wall Street estimates on Wednesday and announced a new share repurchase program worth $6 billion. Growth of nights booked in the U.S. accelerated each month throughout the quarter ended June, driven by domestic travel, San Francisco-based Airbnb said, adding that it was encouraged by the trend for the current quarter. Several travel firms, like United Airlines and Wyndham Hotels, saw a recovery in U.S. travel demand after a slowdown in April, when consumers initially pulled back spending due to President Donald Trump's shifting trade policy. Airbnb's average daily rates, or the average cost per night, in North America rose 3% in the quarter, driven by strong demand for higher-priced listings. This trend is consistent with other travel companies, including hotel operator Marriott, where bookings for upscale properties and premium offerings helped offset weak demand in the budget segment. Excluding the impact of foreign exchange, ADR in Q2 2025 increased 1% and was up across all regions, largely due to price appreciation, the company said. Nights and seats booked, an updated metric which includes the number of services booked, on Airbnb's platform rose 7% in the second quarter, while gross booking value increased 11% to $23.5 billion. Airbnb expects third quarter revenue between $4.02 billion to $4.10 billion, the midpoint of which is higher than higher than analysts' average estimate of $4.05 billion, according to data compiled by LSEG. However, the company cautioned that despite stronger night bookings in North America, growth could moderate given tougher year-over-year comparisons in the third and fourth quarters. It expects the implied take rate, or the ratio of revenue to gross bookings, to remain flat in the third quarter. The travel company posted a per-share profit of $1.03 compared to 86 cents in the same period last year.
