JP Morgan must stop Greek lawsuit against Viva directors, UK court rules

LONDON, July 18 (Reuters) - JP Morgan (JPM.N), opens new tab must stop suing directors of fintech Viva Wallet in Greece, London's High Court ruled on Friday, in the latest round of a bitter legal battle over the Greek startup.
The U.S. bank brought a lawsuit in Athens in January against Viva's CEO Haris Karonis and three other directors, seeking 916 million euros ($1.1 billion) as part of a dispute over JP Morgan's investment in Viva.
Viva's majority shareholder Werealize and the Viva directors responded by applying for an anti-suit injunction in London to stop JP Morgan pursuing its case in Greece.
Judge David Foxton granted Karonis and the other directors an anti-suit injunction, on the grounds that suing in Greece was a breach of JP Morgan and Werealize's shareholders' agreement.
Both Werealize and JP Morgan claimed victory after Friday's ruling, as the two sides also did last year when the High Court ruled on their respective call options to purchase the other's Viva shares.
Werealize's spokesperson called on JP Morgan to "engage in productive discussions" about Viva's future, adding: "JPM must now step aside and allow Viva to continue growing and reach its full commercial potential."
JP Morgan, however, pointed to the court's rejection of many of Werealize's arguments, including that the Greek lawsuit was hopeless or oppressive.
"While we will continue to address their litigious tactics, and many matters are still being resolved by the courts, our commitment remains steadfast to the business and our investment," a spokesperson for the bank said.
JP Morgan bought a 48.5% stake in Viva Wallet, which is used by businesses in southern Europe, for nearly 810 million euros in 2022, while Karonis' Werealize owns 51.49%.
In January, the Court of Appeal ruled that JP Morgan effectively had "one shot" at exercising its call option to acquire Werealize's shares, though the parties' dispute over whether that has taken place has not yet been resolved.
JP Morgan and Werealize and its directors have also filed defamation lawsuits against each other in Greece. Foxton said the business relationship has been "acrimonious, albeit a fruitful one for the legal community" in Britain and Greece.

Brokerage UBS said the deals allow Talen to "extend the runway" of assets they can leverage as power demand surges from data centers used for artificial intelligence technologies. Gas-fired plants remain a critical bridge in the U.S. energy transition, providing dependable and dispatchable power at scale. The deals give Talen "new flexibility to capitalize on robust data center contracting demand," and may help increase its valuation, J.P. Morgan said. CEO Mac McFarland said Thursday's deals add "more than the equivalent" of another Susquehanna plant to the company's platform. Jefferies analysts expect the transactions to increase potential for data center deals. The average buying price of the two plants is about 53% of the cost of building new turbines, according to analysts at brokerage Evercore ISI. "Buy over build continues the momentum," they said. BofA analysts said the larger fleet lets Talen take up more load and still retain grid resources. Talen said the two plants, which add nearly 3 gigawatts of capacity, are among the most efficient in the PJM Interconnection, a regional transmission organization that manages the flow of wholesale electricity in parts of the Eastern United States, stretching from Illinois to New Jersey. The deals are expected to bolster Talen Energy's 2026 adjusted core profit by more than 40% and boost its free cash flow by 40% in 2026 and over 50% through 2029.

Welsh Water has recorded the highest number of sewage pollution incidents in 10 years, new data shows. The figures, released by Natural Resources Wales (NRW) on Friday, showed the water company was responsible for 155 pollution incidents in 2024 - 23 relating to water supply and 132 to sewerage - an increase of 42% in the past 10 years, it has called on Dwr Cymru Welsh Water to make "urgent and fundamental changes to its operations", adding it had seen a "huge deterioration" in the performance of the company since Water accepted its performance "is not where it needs to be" and said it was accelerating investment in key areas to reduce pollution incidents. Despite the data showing a drop in water supply incidents in recent years, sewage incidents have increased from 89 in 2022 to 107 in 2023 and 132 in 2024. Of the total number of incidents, NRW said Welsh Water was responsible for six serious category one or two incidents - a drop from seven last year. Five of these were from sewerage assets and were all category analysis over the last 10 years also showed the main source of incidents were from foul sewers (423), storm overflows (168) and water treatment works (166).Since 2010, Welsh Water has been legally responsible for monitoring its water quality at its treatment plants and submitting its results to NRW. But in May, it was fined £1.35m for failing to properly monitor water quality at 300 different sites. Nadia De Longhi, head of regulation and permitting at NRW, said despite "repeated warnings and interventions" Welsh Water had been "unable to reverse this concerning trend"."This has left us with no choice but to pursue a number of prosecutions against the company which have recently concluded," Ms De Longhi added. "This is not the outcome we want, nor the best outcome for the environment – our priority will always be to bring companies into compliance and prevent environmental damage from happening in the first place."Welsh Water must address the root cause of these pollution incidents and take preventative measures before more harm is done to the water environment."NRW added it would be increasing its capacity for monitoring and auditing discharges, as well as clamping down on unpermitted storm overflows and introducing tighter criteria for annual performance reporting. In a statement, a Welsh Water spokesperson said the industry across the UK had seen increases in pollution incidents but acknowledged the concerns raised in the report. They said the company had improved their processes to meet the challenge, including "better monitoring leading to detecting more short-lived events and better reporting". The statement added: "We are accelerating investment in key areas to reduce pollution incidents with a £4bn investment programme that includes £2.5bn on environmental projects."While we have made progress, such as increasing the number of incidents we find and self-reporting, we know more needs to be done."We remain committed to working constructively with NRW to deliver improvements and will be engaging closely on their new requirements and guidance, including the development of pollution incident reduction plans and further use of smart technology to spot problems in the sewer network before they can cause a pollution."
