Shares in train company Norfolk Southern (NSC) slid off track today as it agreed a deal with rival Union Pacific (UNP) to create an Abraham Lincoln-like $250 billion rail giant.

Union Pacific, whose share price also slipped 0.5%, said it would buy smaller rival Norfolk Southern in an $85 billion deal. If approved, the deal would be the largest-ever buyout in the sector and combine Union Pacific's stronghold in the western two-thirds of the U.S. with Norfolk's 19,500-mile network that primarily spans 22 eastern states.
Norfolk Southern was down 2.7% in pre-market trading, despite the all-stock deal promising to create the largest railroad operator in the country with over 50,000 miles of track, across 43 states.
Indeed, it would be the first operator to move goods from the Pacific Coast on the West to the Atlantic on the East using its own tracks. Union Pacific said this would finally meet former U.S. President Abraham Lincoln's vision of a transcontinental railroad first set out 165 years ago.
The deal values Norfolk Southern at $320 per share, giving it a value of $85 billion. Union Pacific is valued at around $165 billion. Despite being smaller, Norfolk has outperformed peers this year.
Regulatory Barriers
The railroad sector has been hit in recent times by high labor costs, fuel prices and weaker freight volumes. Although an uptick in U.S. manufacturing as a result of President Trump's tariff policies and calls for more domestic investment could spark a revival.
Indeed, the macro picture is a key risk in the business model of railroad operators.
'Railroads have been an integral part of building America since the Industrial Revolution, and this is the next step in advancing the industry,' said Jim Vena, Union Pacific's chief executive.
Mark George, chief executive of Norfolk Southern, said the deal would help ignite rail's ability to 'deliver for the whole economy.'
Given the size of the deal, it is likely that there may be some regulatory barriers dead ahead. The last major transaction in the sector – Canadian Pacific's (CP) $31 billion takeover of Kansas City Southern – took 2 years to gain approval.
If it did get the green light the deal would be the biggest since Microsoft's (MSFT) $75.4 billion takeover of Activision Blizzard back in 2023.

Canadian National this week was the only Class I railroad to publicly comment on the $85-billion acquisition agreement between Union Pacific and Norfolk Southern, a corporate marriage that if approved would create the first U.S. transcontinental freight railroad. 'CN is closely monitoring the ongoing discussions about possible transcontinental rail mergers,' the Montreal-based company (NYSE: CNI) said in a statement to FreightWaves. 'Our focus remains on delivering consistent performance for our customers, pursuing strategic growth opportunities, and creating long-term value for our shareholders. 'CN believes this can be achieved through greater collaboration between railways, connecting key markets with critical resources,' as opposed to mergers. The other Canadian transcon, CPKC (NYSE: CP), as well as BNSF and CSX (NASDAQ: CSX) in the U.S., declined to comment. In 2021 CN saw its own consolidation proposal with Kansas City Southern end in termination amid tougher U.S. merger rules. KCS eventually merged with Canadian Pacific in 2023. CN is an interchange partner with both UP (NYSE: UNP) and NS (NYSE: NSC), and is a partner in the UP-run EMP container program. CN also participates in UP's Falcon Premium intermodal service with GMXT connecting Mexico, the U.S., and Canada. One shippers group reiterated its opposition to the merger announcement Tuesday that would create an integrated network stretching from New Jersey to Southern California. 'American Chemistry Council (ACC) and its member companies have serious concerns about the negative impacts on American manufacturing from further consolidation in the freight rail industry,' the trade group said in a statement. 'We are closely watching the proposed terms of the deal and will actively oppose any merger that fails to significantly enhance competition between railroads. 'Our industry is one of the largest users of the U.S. freight rail system, and we need efficient and reliable service to deliver products that make people's lives better, healthier, and safer. 'The four largest freight railroads already control more than 90% of U.S. rail traffic, with two dominating in the eastern U.S. and two dominating in the west. The impact of a transcontinental merger between two of these railroads threatens to leave American manufacturers, farmers and energy producers with even fewer competitive options to ship by rail. 'Many rail customers are currently dealing with high rates and unreliable service. Further consolidation within the rail industry is likely to make these problems worse. 'Producing and moving more chemistry here at home is key to growing the economy. From microchips to cars to medicines, if we want to make more things in America and lead in global trade, we must do a better job transporting American made goods. We call on policymakers to help create more competitive and reliable transportation options, not less.' U.S. Sens. Roger Marshall (R-Kan.) and Tammy Baldwin (D-Wis.) in a letter urged the Surface Transportation Board to 'keep the best interests of rail shippers and consumers in mind' during the board's upcoming review of the merger, expressing concerns about the merger's impact in a letter to board members. Meanwhile, Nebraska Republican senators Deb Fischer and Pete Ricketts issued statements supporting the merger because of its economic impacts on their state. U.S. Transportation Secretary Sean Duffy is not commenting officially on the merger at this time, a DOT source told FreightWaves, who pointed out that the STB has exclusive jurisdiction over rail mergers and Federal Railroad Administration (FRA), a modal agency within DOT, 'will perform its limited, safety-focused role in the process, specifically, to monitor the safety of railroad operations pursuant to a Safety Integration Plan,' the source said. 'Safety is FRA's top priority.' Senior Bond Analyst Jay Cushing of researcher Gimme Credit said that the deal would produce combined revenue of $36.5 billion, operating earnings (EBITDA) of close to $18 billion, an operating ratio of 61%, and free cash flow of $2.6 billion. 'We estimate pro forma gross debt of $70 billion and net debt/EBITDA of 3.8x,' Cushing said in an email to FreightWaves. 'This is about a turn above current last 12 months net leverage at Union Pacific (2.6x). Management is targeting $2.75 billion of run rate synergies over three years split between revenues ($1.75 billion) and costs ($1 billion). The synergy target amounts to 7.5% of combined revenue and looks reasonable when compared to a 9% target for the recent Canadian Pacific/Kansas City Southern merger.' Cushing noted that Norfolk Southern was late implementing precision railroading 'and we see room for operating rate compression between the industry laggard (NS) and leader (UP). Management expects combined free cash flow (before dividends) to grow from $7 billion in 2024 to $12 billion by 2029 driven by synergies and 10% base-line growth. 'Both companies will suspend share repurchases and with no funding plans until the deal closes, we expect cash to build on the balance sheet ($2 to $3 billion annually) helping moderate debt issuance needs. CPKC sees profits and revenue jump on stronger volumes

Canadian Pacific Kansas City profits and revenue grew in the second quarter as the railway carried more intermodal, grain, and coal shipments. Chief Executive Keith Creel said the elephant in the room — the proposed Union Pacific (NYSE: UNP)-Norfolk Southern (NYSE: NSC) merger — does not change the growth opportunities his railway enjoys thanks to its unique cross-border network linking Canada, the U.S., and Mexico. 'This franchise continues to be positioned to deliver a unique outcome for years to come,' he said on the railway's earnings call Wednesday afternoon. Creel affirmed CPKC's (NYSE: CP) long-term financial guidance despite the impact of ongoing trade tensions, such as the 50% tariffs the U.S. has imposed on steel imports from Canada. The tariffs have effectively stopped U.S.-bound steel shipments, Chief Marketing Officer John Brooks said. CPKC saw strong international intermodal growth thanks to its Gemini partnership with Maersk and Hapag Lloyd, enjoyed 40% growth in its Mexico Midwest Express domestic cross-border intermodal hotshots, as well as a continued ramp-up in land-bridge traffic between Canada and Mexico. CPKC's quarterly operating income increased 6%, to $970 million U.S., as revenue grew 3%, to $2.67 billion U.S., compared to a year ago. Earnings per share surged 37%, to 96 cents. The railway's operating ratio was 63.7%, a 1.1-point improvement. Overall volume was up 6% based on carloads and containers, but 7% when measured by revenue ton-miles. On a carload basis, the growth was led by a 14% increase in intermodal shipments, an 11% increase in grain, and 9% increase in coal volume. Energy, chemicals, and plastics traffic was flat. The rest of CPKC's segments — potash; fertilizers; forest products; metals, minerals and consumer products; and automotive — showed declines. Average train speed was flat, but terminal dwell increased 7% partly due to the impact of congestion in former Kansas City Southern territory in the U.S. after a problematic May 3 computer systems cutover. The tech problems created congestion, missed switches, and significant delays for customers in Louisiana, Texas, and Mississippi. CPKC has made significant progress clearing up congestion on the legacy KCS lines in the U.S., Chief Operating Officer Mark Redd says, citing a 42% improvement in dwell and a 38% increase in car miles per day. Hub Group, a major intermodal transportation provider and a company that would be on the front lines of a merger between Union Pacific and Norfolk Southern, likes what it sees. In the prepared statement released in conjunction with the company's second quarter earnings, Hub Group (NASDAQ: HUBG), said it was 'supportive' of the two companies and their merger plans to create the nation's first transcontinental railroad. . 'The announced transaction would further accelerate our long-term growth opportunity,' the company said. 'Specifically, a transcontinental network removes friction in gateways, reduces transit times, provides access to new markets, and increases competition with truck volume through new single-line service.' Can we talk about something else? When President and CEO Phil Yeager first brought up the merger on the company's call with analysts Thursday after the numbers and statement were released, he echoed the positive sentiments in the earnings release. But he also asked the analysts on the call to not focus on the merger and the impact it might have on Hub Group. 'We would appreciate questions being focused on the company and our results,' Yeager said. And then when the phone lines were open to questions, Yeager's request was promptly ignored and the first question was about the merger. Despite his earlier admonition, Yeager took the question and continued to express support for the creation of the cross-country rail supergiant. Yeager, in his prepared remarks, said Hub Group were 'exclusive partners' with both Union Pacific and Norfolk Southern. With the two of them together, he said, 'there are several catalysts that should create significant intermodal conversion,' citing 'improved fluidity' in gateway cities, 'faster transit, better asset utilization, enhanced fuel efficiency and access to additional lanes and markets.' Yeager said about 30% of the Hub Group's current business is 'moving in a transcontinental fashion.' But since there is no single transcontinental railroad–establishing one being the point of the Union Pacific-Norfolk Southern (NYSE: UNP) (NYSE: NSC) tieup–Yeager expressed optimism about the efficiencies that could come from the existence of such a system instead of needing transfers between regional railroads.. Yeager said on the call that the transcontinental business is 'typically a positive mix' for both revenue and margins. Optimism on the Marten acquisition Hub Group's earnings release was the first since it announced its plan to acquire the intermodal operations of Marten Transport (NASDAQ: MRTN). Yeager said the acquisition 'allows us to enhance our scale and capacity in one of the highest growth segments of our intermodal network,' which is refrigerated. While the Marten intermodal operations had been consistently running with an operating ratio in excess of 100% for several quarters, Yeager said he believes the operations inside Hub Group will ''expand our customer base while generating strong returns, due to our ability to capture synergies within our platform.' As for more purchases, Yeager said Hub Group has a 'robust pipeline of additional acquisitions designed to continue deploying capital toward long term growth opportunities.' Kevin Beth, the company's CFO, after reviewing a decidedly mixed and not overly optimistic outlook on the state of the freight business for the rest of the year, did note one sign of strength for rail transportation. 'It's very positive that we're seeing peak season surcharges in July, and we hopefully will see that momentum carried forward in August and September and through the remainder of the year as well,' Beth said. Beth, in response to an analyst question, said the surcharges Hub Group has seen in the market this year are larger than last year, but they also were implemented by railroads later this year than in 2024. Yeager said the company anticipates an early West Coast peak season as part of an 'inventory pull forward' driven by importers trying to get ahead of tariffs. But specific to Hub Group, he said, the company has had an 'improved bid realization rate' and has added several new dedicated customers, 'which should lead to higher revenue from current levels.' The company's second earnings reported that several financial measures were weaker for Hub Group in the quarter. Operating income declined 13.1% from the second quarter of 2024 to $34.3 million. Net income dropped 13.7% to just over $25 million. The cost of purchased transportation at Hub Group, which is easily the largest expense at the company, declined 9.8%. It accounted for 72.4% of all operating expenses, down from 73.7% a year earlier. Specific units of the company both reported significant declines in revenue, though the Intermodal and Transportation Solutions segment, which is the asset-heavy part of Hub Group, did see an increase in operating income. Revenue was $528 million, down from $561 million a year earlier. But operating income rose to $14.4 million from $13.6 million a year ago. Logistics revenue was $404 million, down from $459 million. Adjusted operating income for the segment was $23 million compared to $26 million a year earlier. Sequentially, results at Hub Group were mostly weaker but only by minor amounts. Operating revenue sequentially dropped 1%. Purchased transportation was down less than half a percentage point. But operating income was down 8%. And net income declined 7.1%. Total legacy headcount, which excludes acquisition employees, drivers and warehouse employees, declined 3% from prior year.
