and Power Limited has filed its draft red herring prospectus (DRHP) with capital market regulator Securities and Exchange Board of India (
SEBI
) to raise Rs 450 crore through an initial public offering (
IPO
).
The IPO, with a face value of Rs 10 each, is a mix of fresh issue of up to Rs 450 crore with an offer for sale up to 10,00,000 equity shares by Inamulhaq Shamsulhaq Iraki and 10,00,000 equity shares by Abdulhaq Shamsulhaq Iraki.
The proceeds from its fresh issuance to the extent of Rs 325.21 crore for funding the capital expenditure requirements of the company towards expansion of its manufacturing facility at Samakhiali, Kutch,
Gujarat
and hybrid wind and solar power plant; Rs 55.01 crore for prepayment or repayment, in full or part, of certain outstanding borrowings availed by the Company; general corporate purposes.

The company, in consultation with the book-running lead managers, may consider a pre-IPO placement. The pre-IPO placement, if undertaken, shall not exceed 20% of the size of the fresh issue. If such placement is completed, the fresh issue size will be reduced.

are the sole book-running lead managers and Bigshare Services Private Limited is the registrar of the offer. The equity shares are proposed to be listed on BSE and NSE.
The issue is being made through the book-building process, wherein not more than 50% of the offer shall be available for allocation on a proportionate basis to qualified institutional buyers, not less than 15% and 35% to non-institutional bidders, and retail individual bidders respectively.
German Green Steel and Power Limited is a vertically integrated iron and steel manufacturer primarily operating in the western region of India, with a strong presence in Gujarat with a main focus on TMX Bars, according to a CARE report mentioned in the DRHP.
The company's product portfolio comprises mainly TMT Bars, MS Billets and Sponge Iron. Its TMT bar manufacturing capabilities range from 8 mm to 40 mm. It believes that it has developed 'German TMT' as a popular brand for
TMT Bars
in the state of Gujarat.
It has two (2) manufacturing facilities located in the state of Gujarat ('Manufacturing Facilities'), one at Samakhiali, and the other at Viramgam, operated through its Material Subsidiary- German TMX Private Limited.
As of December 31, 2024, approximately 67.72% of its energy requirements are met by its captive power plant and
renewable energy
plant. It intends to further reduce its reliance on the electricity grid by constructing an additional hybrid wind solar plant.

German Green Steel and Power's revenue from operations grew at a CAGR of 12.53% from Rs 892.25 crore in Fiscal 2022 to Rs 1,129.78 crore in Fiscal 2024. EBITDA grew at a CAGR of 43.04% from Rs 39.15 crore in Fiscal 2022 to Rs 80.11 crore in Fiscal 2024 with EBITDA Margin improved from 4.39% in Fiscal 2022 to 7.09% in Fiscal 2024 showcasing strong operating performance. Profit After Tax grew at a CAGR of 10.43 % from Rs 34.16 crore in Fiscal 2022 to Rs 41.67 crore in Fiscal 2024.
For the nine-month period ended December 31, 2024, revenue from operations, EBITDA and profit after tax stood at Rs 979.79 crore, Rs 68.18 crore and Rs 32.07 crore respectively.

His next hearing is on July 17, when he may seek bail, which is expected to be opposed by US prosecutors, officials said, according to news agency PTI. In the proceedings in the US, two charges are primary: of money laundering and criminal conspiracy. The investigation agencies say Nirav Modi had, through his companies, embezzled ₹6,498 crore from PNB, while the remaining amount was misappropriated by his uncle Mehul Choksi in a similar modus operandi. 'Forced directors to lie, relocate' Nehal laundered the proceeds of the crime on behalf of Nirav through a web of shell companies and offshore transactions, as per the ED. He transported 50 kg of gold and 'substantial' cash from Dubai, the chargesheet says. In a supplementary chargesheet submitted by the CBI, he is 'accused number 27' for destroying evidence in Dubai. The CBI says Nehal Modi intimidated directors of Dubai-based shell companies used by Nirav Modi to 'give a veneer of legitimacy' to a fraudulent trade, PTI has reported. These 'intimidated' people, employees of Nirav Modi's companies, were 'coerced' into relocating from Dubai to Cairo, during which their phones, laptops and computer servers were destroyed to erase evidence.

Nehal Modi, the younger brother of fugitive diamond merchant Nirav Modi, arrested in connection with the multi-crore Punjab National Bank (PNB) scam, was released from a US jail after serving a three-year jail term, sources told India Today said Nehal Modi, a Belgian national, was arrested again on Friday for the offences he had committed in India and after Interpol had issued a Red Notice against Modi, who was taken into custody on Friday, faces two charges - money laundering under Section 3 of PMLA and criminal conspiracy and destruction of evidence, according to a US prosecution complaint. Nirav Modi, his uncle Mehul Choksi, Nehal Modi and others are wanted by the CBI and the Enforcement Directorate (ED) for cheating PNB of about Rs 13,500 crore in loans using fraudulent Letters of Undertaking (LoUs).While Nirav Modi's extradition has already been approved by the UK High Court, the process to bring him to India is being delayed due to him filing numerous appeals. Nirav, who is in a London jail, was declared a fugitive economic offender in this year, the Belgian government said Choksi, 65, was arrested in Antwerp following an extradition request by India. Choksi fled India in 2018 and has been living in Antigua and Barbuda as a citizen since MODI'S CRIMINAL ACTIVITIESAccording to investigative agencies, Nehal Modi knowingly and intentionally participated in assisting the concealment of proceeds of crime, destroying the Modi was personally overseeing all the accounts, records were eliminated and was influencing the employees and participated in destroying the evidence in respect of the money trail. He also dealt with the proceeds of the crime by taking 50 kgs of gold from Firestar Diamond FZE, Dubai after the initiation of an investigation into this the scam broke out, Nehal Modi dealt with the proceeds of the crime in respect of the Nirav Modi case and took away diamonds having a value of USD 6 million and 150 boxes of pearls from Hong Kong and cash of AED 3.5 million and 50 kgs of gold, along with Mihir Bhansali, another coconspirator from Modi destroyed digital evidence (mobile phones and servers) pertaining to the Nirav Modi case in Dubai. He intimidated the witnesses and sent them to Cairo and their passports were taken over at his were forced to sign some false papers in Cairo at his insistence. In one case, a witness was offered Rs 20 lakh by Nehal Modi in lieu of tendering false testimony before the judicial authorities of Indian government officially demanded the extradition of Nehal Modi, on which action has now been taken by the US. It is expected that the process of bringing Nehal Modi to India will begin soon.- Ends
