The Board of Directors of Zee Entertainment Enterprises (ZEE) has approved the issuance of up to 16.95 crore fully convertible warrants to promoter group entities on a preferential basis at ₹132 per warrant, raising a total of ₹2 ,237.44 crore. The move is aimed at strengthening the company's financial base and accelerating its strategic ambitions in the content and technology sectors.The preferential allotment, which is subject to shareholder approval, will raise the promoter group's stake to 18.39%. Notably, the issue price exceeds the SEBI-prescribed minimum of ₹128.58 per warrant. 'The Board insisted on a higher price and the promoters agreed to pay ₹3.42 more per warrant,' the company noted.The decision followed two board meetings held earlier in the day. In the first, investment bank J.P. Morgan India Pvt. Ltd. presented a detailed review of ZEE's growth strategy, discussing new initiatives and market sentiment. During the second meeting, the Board considered various strategic options and subsequently approved the promoter group's capital infusion to bolster the company's balance sheet.Commenting on the development, R. Gopalan, Chairman of ZEE, said: 'The Board has deliberated upon the various alternatives discussed with J.P. Morgan and has conducted a thorough evaluation of the company's growth plans. The Board believes that the steps being implemented to enhance the promoter shareholding will ensure their added motivation to work in line with the enhanced business plan.'The media and entertainment sector is evolving rapidly, leading to a shift in consumer preferences across the entertainment landscape. The investment by the promoters, coupled with the strong, ambitious growth initiatives planned by the management team, will ensure that ZEE remains well-positioned to accelerate its strategic plans to achieve its targeted aspirations.'Shubham Shree, speaking on behalf of the promoter group, said the intention to increase their shareholding was conveyed to the Board on 1 May 2025, when ZEE's share price was ₹106.35. 'They are committed to the company and its business even at this higher price,' he stated.Previously, at a Board meeting held on 1 May, ZEE had approved the incorporation of three wholly owned subsidiaries as part of its business diversification strategy. On 8 May, the company also released a detailed investor presentation outlining its approved growth roadmap. At that meeting, the Board recommended appointing an investment banker to further assess the company's future strategy.As part of its transition into a leading content and technology powerhouse, ZEE has undertaken multiple initiatives to enhance its core operations and invest in high-potential emerging segments. The company recently announced a strategic investment in Bullet, a new-age content and tech start-up, to launch a micro-drama app aimed at younger audiences.

Remove Ads Mumbai: Citi said the Securities and Exchange Board of India 's proposal to ease minimum public offer rules for mega Initial Public Offerings (IPOs) could remove a key hurdle for Reliance Jio 's to the regulator, companies with a post-issue market capitalisation above ₹5 trillion (₹5 lakh crore) would only need to float at least 2.5% of shares, instead of the current 5% Jio Platforms, valued by Citi at about $135 billion (₹11.7 lakh crore) in enterprise value with equity worth over $120 billion (₹10.4 lakh crore) - a lower threshold would halve the offer size to over $3 billion, compared with $6 billion under existing rules, the brokerage said."A 5% public offer would amount to $6 billion+ of share supply, which is fairly large for the Indian market to absorb, especially as 35% is reserved for retail investors," said Citi's Saurabh Handa and Prerna Goenka in the note. "A 2.5% public offer for Jio would amount to $3 billion+ of share supply, which we believe not only reduces the supply overhang at the time of the IPO but could also limit hold-company discount concerns for RIL."Citi reiterated Buy rating on Reliance with a target of ₹1,690, implying an upside of 19% from Tuesday's close of ₹1,420. The stock gained 2.8%. Bengaluru: The legislative assembly Tuesday passed the Karnataka Platform-Based Gig Workers (Social Security and Welfare) Bill, 2025, placing obligations on aggregators to provide social security benefits, including occupational health and safety, to gig workers. Tired of too many ads? go ad free now Proposing to establish the gig welfare fund on the lines of the fund for construction workers, the govt had earlier promulgated an ordinance on April 11, with governor Thaawar Chand Gehlot giving assent on May 27. The Bill now replaces the ordinance and envisages the creation of a Gig Workers Welfare Board to manage the fund and extend welfare measures. Opposition members, including CN Ashwath Narayan, suggested the govt also contribute to the fund along with aggregators. In response, labour minister Santosh Lad, who tabled the bill, said such suggestions would be considered while framing rules for legislation. However, to a proposal from BJP's Suresh Kumar to bring outsourced employees under the bill, Lad said: "They can't be included as they do not fit the definition of gig workers. " Lad explained that the contribution of aggregators to the fund would be determined by the Board. The bill allows aggregators to collect 1% to 5% of a gig workers' welfare fee from customers, which must be deposited into the fund at the end of each quarter. "The legislation ensures social security for gig workers. It is the need of the hour considering the rapid emergence of the gig economy," Lad said. "A NITI Aayog report says by 2029-30, about 23.5 million people will be employed as gig workers, creating many opportunities in this sector. There are about 4 lakh gig workers in Karnataka." Key provisions of the bill include a dispute resolution mechanism, registration of gig workers and aggregators with the Board, and measures to provide reasonable job security and health safety. Tired of too many ads? go ad free now The Board will comprise four representatives from gig workers' associations, representatives of aggregators, and two from civil society. It will also have powers to enter into agreements between gig workers and aggregators to prevent indiscriminate termination. Gig workers may also file complaints against aggregators before the Board, and in case of injustice, appeal before an Internal Dispute Committee even against the Board itself. Highlighting challenges workers face, Lad said: "Gig workers, especially two-wheeler riders, are constantly exposed to noise and environmental pollution. Some work 18 hours to earn Rs 1,800, taking on 25 to 30 delivery tasks a day. They face severe health hazards which is why this bill has been introduced." Who is a gig worker? The bill defines gig workers as those engaged through online platforms for services such as food and grocery delivery, logistics, e-market operations, health services, travel and hospitality besides others. It states that a gig worker is a person who performs or participates in a work arrangement, is paid a fee as per terms of a contract, and whose work is sourced through a platform in the services specified in the schedule.
