Why a US-listed video game firm is paying a premium for a Singapore-based tech products distributor

[SINGAPORE] For over 30 years, one little-known wholesaler and distributor of technology products – including IT accessories, gaming components and smart technology – steadily built up its distribution network.
Even after Ban Leong Technologies listed on the mainboard of the Singapore Exchange in June 2005, it remained largely under the radar to both consumers and investors.
Now, it is making headlines as video game distributor Epicsoft Asia, an indirect wholly owned subsidiary of Nasdaq-listed GCL Global, is splashing out cash to take the company private.
Headquartered in Singapore with regional offices in Malaysia and Thailand, Ban Leong is an authorised distributor for over 50 well-known brands, including Razer, Nvidia, Samsung, Huawei, TP-Link and LG.
'This acquisition is not a short-term play on stock performance, it's a strategic move to integrate Ban Leong's strong distribution and vendor network with GCL Global's digital capabilities and software portfolio,' GCL Global's chief executive Sebastian Toke told The Business Times.
'We see this as a platform for accelerating physical reach and product innovation in Asia's fast-evolving consumer tech landscape,' he added.

The acquisition could also signal a trend where global software companies want control over physical touchpoints, especially in Asia.
'Software companies are increasingly seeking ways to influence the entire customer experience from digital interaction to physical product deployment,' Toke said.
'This is particularly relevant in Asia, where rapid urbanisation, strong mobile adoption, and consumer demand for smart devices are reshaping how technology is distributed and consumed.'
Epicsoft Asia last week made a cash offer of S$0.6029 per share to Ban Leong's shareholders.
This represents a 60.8 per cent premium over Ban Leong's last transacted share price of S$0.375 on Apr 29, the day before the offer was announced. It is also at a premium of 75.5 per cent to Ban Leong's volume-weighted average price of S$0.3435 over the last 12 months.
The offer price also represents a premium of 42.4 per cent over the group's net asset value per share of S$0.4233 as at Sep 30, 2024.
Epicsoft Asia has received irrevocable undertakings from Ban Leong's managing director Ronald Teng and his wife Teo Su Ching to accept the offer. Together, the couple holds 28.13 per cent of the company.
If Epicsoft Asia scoops up at least 90 per cent of Ban Leong shares at the close of the offer, it said it will exercise its rights to compulsorily acquire the remaining shares from shareholders who have not accepted the offer.
Since the offer was made, shares of Ban Leong have jumped 57.3 per cent to close at S$0.59 on Monday (May 5).
Toke believes there is 'untapped value' in Ban Leong's brand partnerships, regional infrastructure and sales network that justifies the premium paid.
'Ban Leong's assets hold strong strategic value that we believe has yet to be fully realised by the broader market,' he said.
For the latest first half-year to September 2024, Ban Leong reported earnings of S$1.4 million, down 36.2 per cent from S$2.2 million the previous year.
H1 revenue fell 4.8 per cent to S$97.5 million, from S$102.4 million previously.
'Beyond the numbers, Ban Leong has demonstrated strong adaptability to market shifts. It successfully expanded into e-commerce during the pandemic, attracted new brand partnerships, and grew its commercial segment,' Toke said.
'These are not typically reflected in the share price but point to operational depth and untapped growth potential,' he added.
Since its listing 20 years ago in 2005, shares of Ban Leong have climbed just 70.5 per cent to S$0.375, before the offer was made.
Long-time shareholders, though, might still rue its delisting.
The counter has generated a total return – with dividends reinvested – of 478.8 per cent over the same period. This works out to an annualised total return of 9.2 per cent.

[SINGAPORE] Hotel101 Global, the first Filipino-owned company to list on the Nasdaq stock exchange , on Wednesday (Aug 20) entered into binding agreements with Cambodian real estate developer Canopy Sands Development to build two hotels in the country. '(This marks) a pivotal step in Hotel101 Global's long-term vision to operate one million hotel rooms across 100 countries', said the proptech hospitality platform and its parent DoubleDragon – whose chairpersons Tony Tan and Edgar Sia are the respective founders of two of the Philippines' largest fast-food chains, Jollibee and Mang Inasal. The companies noted that the move is part of Hotel101's global expansion strategy, with Cambodia as the sixth country that the group has entered – after the Philippines, Japan, Spain, the US and Saudi Arabia. 'Cambodia is seen as a lucrative market for Hotel101 as the country was reported to have received a total of over 6.7 million international visitors in 2024. (This) is expected to further grow with the upcoming opening on Sep 9 of (the) new Techno International Airport in Phnom Penh,' the companies said. The hotels will be located in Phnom Penh, Cambodia's capital and commercial hub, and Sihanoukville, a coastal town and bourgeoning financial area. They are anticipated to be among the largest hotels in Cambodia by number of rooms upon completion and are expected to generate US$109.6 million in sales revenue once they are fully sold, Hotel101 and DoubleDragon said. The hotel in Phnom Penh will be built on a 2,033 square metre (sq m) commercial land plot located in the capital's Tonle Bassac district – a vibrant riverfront and economic and cultural hub. It will be located near the upscale Boeung Keng Kang district, an expatriate and business enclave, as well as landmarks such as Aeon Mall 1 and the Independence Monument, which commemorates the country's independence from French colonialism. The hotel in Phnom Penh will be built on 2,033 sq m of commercial land in the capital's Tonle Bassac district. It is part of a 934 hectare, US$16 billion coastal development led by Canopy Sands Development in Sihanoukville. It is next to the site of a proposed international convention and exhibition centre in the development. The hotel in Sihanoukville, a rising tourism hub, will be sited on 4,623 sq m of prime commercial land. The top 10 dividend-paying ETFs on SGX with the highest yields

[SINGAPORE] Dividends are what is regularly top of mind for investors in Singapore when deciding where to place their bets. In the past couple of years, investors had been piling into T-bills with higher yields amid higher rates. However, as yields fall in recent times, what other direction can investors take? Instruments such as yield-focused exchange traded funds (ETFs) stay popular, with several listed on the Singapore Exchange (SGX) offering dividend yields ranging from 5 to 7 per cent. For reference, the Straits Times Index delivers a yield that hovers around 4 per cent. According to SGX data, various real estate investment trust (Reit) ETFs took the spotlight, occupying half of the number of positions in the list of top 10 dividend-paying ETFs. Sign Up Sign Up 1. iShares USD Asia High Yield Bond Index ETF The ETF which tracks the Bloomberg Asia US Dollar High Yield Diversified Credit Index has a 7.4 per cent dividend yield level. It was the fifth top traded ETF in H1, recording over S$1.4 million in average daily volume. The fund holds fixed-rate US Dollar-dominated government-related and corporate high yield debt of the Asia ex-Japan region with maturities over one year. It draws investors who are interested in exposure to higher-yielding bonds across the Asia-Pacific region, with indexing, diversified holdings, and a focus on credit risk. 2. CSOP iEdge S-Reit Leaders Index ETF The CSOP iEdge S-Reit Leaders Index ETF is next with a dividend yield level of 5.98 per cent. It has the highest dividend yield among the five SGX-listed Reit ETFs. The ETF tracks the iEdge S-Reit Leaders Index, and was launched on the SGX on Nov 18, 2021. As a sub-fund of the CSOP SG ETF Series I, it provides exposure to different leading Reits in Singapore. Notably, it has a 10.2 per cent exposure in CapitaLand Integrated Commercial Trust (CICT), 10.1 per cent in Keppel DC Reit, and about 9 per cent in Mapletree Commercial Trust, data from FSMOne indicated on Tuesday (Aug 19). 3. NikkoAM-StraitsTrading Asia ex Japan Reit ETF The ETF has a dividend yield of 5.8 per cent, and tracks the FTSE EPRA Nareit Asia ex Japan Reits Index. It recorded the third highest amount of inflows among SGX-listed ETFs in H1 at S$104 million. The NikkoAM-Straits Trading Asia ex Japan Reit ETF offers exposure to different Reits and properties in Asia such as retail malls, industrial properties and hotels. It has a 9.7 per cent in the largest Reit in Asia – Hong Kong's Link Reit – and an approximate 10 per cent exposure in CapitaLand Ascendas Reit and CICT each. 4. Lion-Phillip S-Reit ETF The Lion-Phillip S-Reit ETF offers a dividend yield 5.8 per cent while it tracks the Morningstar Singapore Reit Yield Focus Index. It was the fourth most traded ETF on SGX in H1, with an average daily volume of nearly S$1.6 million; and came in sixth place by net inflows at S$70 million for the period. It has a 9.8 per cent exposure to Mapletree Pan Asia Commercial Trust, 9.5 per cent in Frasers Logistics and Commercial Trust, and about 4.5 per cent in Keppel Reit. 5. Lion-OCBC Securities SG Low Carbon Index ETF With a dividend yield of 5.7 per cent, the ETF's benchmark index is the iEdge-OCBC Singapore Low Carbon Select 40 Capped Index. The 40 companies have a focus on index decarbonisation, and are incorporated or domiciled in Singapore. Of these constituents, 32 are Singapore-listed counters. A majority are STI constituents, though there 13 non-STI names such as iFast and Sheng Siong. It recorded a three-year total return of 31.6 per cent, as the best performing Singapore equity ETF over the period, as at April 2025. The strongest performing stocks across the same period were stocks such as Yangzijiang Shipbuilding, ST Engineering, Keppel, DBS, SGX, OCBC, and Singtel. 6. Lion-OCBC Securities Apac Financials Dividend Plus ETF The ETF has a 5.6 per cent dividend yield, and tracks the 30 largest financial institutions listed in Apac via the iEdge Apac Financials Dividend Plus Index. It was the fifth best performing ETF in H1 according to SGX data, recording 9.9 per cent returns for the period. Listed on the local bourse on May 13, 2024, it is the world's first Apac Financials sector ETF. 7. SDPR STI ETF SPDR's STI ETF reports a 4.4 per cent dividend yield as the largest Singapore equity ETF. It is the first locally created ETF to allow investors to access the top 30 companies in Singapore. The fund's top holdings are in the trio of local banks – with an exposure in DBS of around 25.8 per cent, followed by OCBC at 14 per cent and UOB at 11.1 per cent. Other counters in its top 10 are Jardine Matheson Holdings, Singtel and Keppel. 8. iShares JPMorgan USD Asia Credit Bond ETF With a dividend level of 4.3 per cent, the iShares JPMorgan USD Asia Credit Bond ETF seeks to track the investment results of US Dollar-denominated Asian bonds excluding Japan via the JPMorgan Asia Credit Core Index. The weighted average maturity level of the portfolio of 255 holdings sits at 7.3 years as at Aug 15, according to Blackrock data. Top issuers of the holdings are from the Philippines and Indonesia, with Malaysia's Petronas Capital occupying 4.2 per cent of the ETF's weightage, and Standard Chartered at nearly 2.8 per cent. 9. Phillip SGX Apac Dividend Leaders Reit ETF Similarly, the Phillip SGX Apac Dividend Leaders Reit ETF offers a dividend level of 4.3 per cent. Its benchmark index is the iEdge Apac ex Japan Dividend Leaders Reit Index, which tracks the top 30 dividend-paying Reits across the Apac region, excluding Japan. The fund's total assets are valued at close to US$7.7 million, according to Monday data from PhillipCapital Management. Listed on Oct 20, 2016, its top constituent is Link Reit from Hong Kong at 10.25 per cent, followed by CICT and CapitaLand Ascendas Reit at 7.6 per cent and 6.3 per cent respectively. 10. UOB Apac Green Reit ETF The ETF with the 10th highest dividend yield is UOB Apac Green Reit ETF at 4.1 per cent. It is focused on high-yield Apac Reits with strong ESG credentials, and achieved the best H1 performance among the five Reit SGX-listed ETFs. It tracks the iEdge-UOB Apac Yield Focus Green Reit Index, with half-year returns at 9.3 per cent. The ETF recorded the highest returns among SGX's sustainability-linked ETFs, as well for H1 of this year. In addition to its majority weightage in CICT of 7.4 per cent, the ETF has holdings in GLP J-Reit and Japan Real Estate Investment, according to data from UOB.

[SINGAPORE] The following companies saw new developments that may affect trading of their securities on Tuesday (Aug 19): Yangzijiang Financial : The investment holding company said on Monday that it will be the anchor investor in a S$100 million fund by ICH Asset Management, led by Vincent Toe, the Singapore-listed company's former chief executive . The fund will focus exclusively on Singapore's small and medium-sized enterprises and is expected to start investing from September this year. The group did not specify the exact sum it would invest in the fund, though it did state the initial pipeline of opportunities include companies from the sectors of healthcare, technology, sustainability, and consumer-services. Shares of Yangzijiang Financial ended Monday flat at S$1.06 before the news. Marco Polo Marine : The integrated marine logistics group on Monday posted a 4 per cent decline in gross profit to S$14 million for its third quarter ended Jun 30, 2025 , from S$14.6 million in the year-ago period. Its revenue fell 9 per cent on the year to S$31.7 million, from S$34.9 million previously. Shares of Marco Polo Marine ended Monday unchanged at S$0.065, before the announcement. (CMS): The pharmaceutical company posted a rise in first half profit and declared an interim dividend on Monday, its first set of results after its secondary listing on the Singapore Exchange. Net profit rose 3.4 per cent to 941.2 million yuan (S$168.3 million) compared to the year ago period, as the negative impact of China's national volume-based procurement policy declined and sales of the group's products grew. Shares of CMS closed Monday 0.905 per cent or S$0.02 up at S$2.23.
