Greg Kidd to Acquire Controlling Interest in Know Labs and Introduce Bitcoin Treasury Strategy
Under the terms of the agreement, the Buyer will acquire that number of shares of the Company's common stock obtained by dividing (i) the sum of 1,000 Bitcoin and a cash sum to retire existing debt, redeem outstanding preferred equity and provide additional working capital, by (ii) the per share purchase price of $0.335. The Bitcoin will be employed by the Company's treasury strategy, providing investors with significant economic exposure to this highly attractive digital asset.
"I'm thrilled to deploy a Bitcoin treasury strategy with the support of a forward-looking organization like Know Labs at a time when market and regulatory conditions are particularly favorable," said Mr. Kidd. "We believe this approach will generate sustainable growth and long-term shareholder value." Mr. Kidd and his team bring deep expertise in digital assets and, with this deal, will transition their existing Bitcoin yield generation strategy to the public markets.
When the Bitcoin holdings become the principal component of the Company's balance sheet, management will use the multiple of net asset value ("mNAV") metric to measure the premium (or discount) investors ascribe to the Company's market valuation relative to its Bitcoin holdings. Given a market capitalization of $128 million, the implied entry mNAV multiple is equivalent to 1.22x and the Bitcoin holdings represent 82% of the market capitalization (assuming a price of $105,000 per Bitcoin) at closing.
Founder Ron Erickson will serve as President of a new division that will retain a team of scientists to continue the Company's proprietary diagnostic research. Upon the closing of the transaction, Mr. Erickson will become Vice Chairman of the Board. "Partnering with Greg Kidd marks a pivotal next chapter for Know Labs," said Mr. Erickson. The transaction, which was unanimously approved by the Know Labs Board of Directors, is expected to close in the third quarter of 2025, following the receipt of shareholder approval and the satisfaction of customary closing conditions.

Windows 11 Latest Update: More Critical Issues Now Emerging, Report Claims
The latest Windows 11 update (KB5063878) promised faster performance when it was rolled out on Aug. 12. But then it developed serious problems — which isn't great when it's a mandatory update that downloads and installs automatically. Now, another serious problem has arisen: failures of solid state drives. At first, it seemed that the first issue, which caused installation errors (as reported by Windows Latest) was confined to enterprise users. 'Home users are unlikely to experience this issue, as WSUS is designed for use across business and enterprise environments,' Microsoft said. This was followed by an emergency update which would be installed automatically. Phew. Except it seems that's not the end of the story. 'It is now reported that the latest Windows 11 update is causing SSDs to become non-functional after a large data write, and it seems to have affected several drives,' WCCFTech reported. However much users now save important data to the cloud, the prospect of an SSD failing with crucial stuff on it is alarming. In a post on X, @Necoru_cat reported that they had found 'Drives disappear from the OS (SMART data becomes unreadable), and while buffered trees may sometimes be accessible, files cannot be read,' they claimed. It seems the drives malfunction, according to the report, when large number of files are being written to them at the same time. The problem was spotted when they were updating Cyberpunk 2077. However, don't panic. 'For now, the issue isn't as widespread as it hasn't been reported across public forums, but the security update might have something to do with SSDs failing to perform after data writes. Our best reasoning for the problem is likely from a storage driver or kernel-level regression that came with the update, which mishandles long sequential writes, ultimately leading to controller lock-up, which makes the drive disappear and is not recognizable by the OS,' WCCFTech said. I'll update this story as more details appear, but for now, the advice is to 'avoid long sequential write instances, especially if their drive is on the above-mentioned list or has a Phison controller onboard,' as WCCFTech put it.

Texas breaks jobs record, again outpaces national growth rate in July
(The Center Square) – Texas broke jobs records again in July and again outpaced the national growth rate, according to new data released by the Texas Workforce Commission. Texas again set new records in July for having the greatest total nonfarm jobs and greatest number of Texans working in state history. Texas' nonfarm jobs totaled 14,333,800 in July after adding 8,700 positions over the month. Over the year, Texas added 232,500 jobs for an annual nonfarm growth rate of 1.6%, outpacing the national growth rate by 0.6%. Texas also reached a new high for the number of Texans working, including the self-employed, of 15,213,700 in July. 'Texas continues to see sustained job growth thanks to having the best business climate in America and the productivity of hardworking Texans,' Gov. Greg Abbott said. 'With more Texans working than ever before, we must ensure Texans across our great state have access to the tools and training needed to secure better jobs and bigger paychecks.' This year the legislature passed bills expanding career training programs, which Abbott signed into law. Last week, more than $1.6 million was awarded in Jobs and Education for Texans grants to support career and technical education training programs in South Texas. Last month, Texas' civilian labor force totaled 15,848,800, representing a decrease of 1,400 people over the month. Over the year, 195,900 people were added. There was a slight dip in the labor force last month, including in the oil and natural gas industry. Despite this, 'Texas continues to create jobs, a testament to the resilience of our workforce,' TWC Commissioner Representing Labor Alberto Treviño III said. 'TWC is working hard to ensure all Texans have access to the tools and training they need to seize these new opportunities, build skills, and find meaningful work in thriving communities across our state.' The Trade, Transportation, and Utilities industry reported the largest over-the-month increase in July after adding 5,500 jobs. Professional and Business Services added 3,800 jobs; Construction added 2,800. The Construction industry also grew by 3.2% over the year, outperforming the industry's growth rate nationally by 2%. 'Texas continues to foster job growth across a wide range of industries,' TWC Commissioner Representing Employers Joe Esparza said. 'TWC works every day to ensure that the workforce powering our economy is trained, supported, and ready to grow alongside the businesses that call Texas home.' Last month, the not seasonally adjusted employment rate increased nationally and in Texas. Texas' 4.2% rate was lower than the national rate of 4.6%. The Midland Metropolitan Statistical Area reported the lowest not seasonally adjusted unemployment rate of 3.1% in July, followed by Amarillo and San Angelo MSAs' 3.2% each. The MSAs with the highest rate were Eagle Pass' 9.4%, Brownsville-Harlingen's 7.3% and McAllen-Edinburgh-Mission's 6.7%, according to the data.
