Dubai-listed Gulf Navigation Holding PJSC has secured shareholder approval for a AED 3.2 billion acquisition of Brooge Energy Ltd.'s assets, marking a significant expansion into the midstream oil and gas sector. The transaction, involving cash, newly issued shares, and mandatory convertible bonds , is expected to close in the second quarter of 2025, pending regulatory approvals.
The acquisition encompasses Brooge Petroleum and Gas Investment Company FZE, Brooge Petroleum and Gas Investment Company Phase III FZE, and BPGIC Phase 3 Limited. These entities operate advanced storage facilities in Fujairah, a strategic oil storage and export hub. GulfNav plans to integrate these assets to enhance its storage and logistics capabilities, aligning with its long-term vision to become a dominant player in the energy sector.
The deal's financial structure includes the issuance of 358,841,476 new shares to Brooge Energy at AED 1.25 per share, with a one-year lock-up period. Additionally, MCBs worth AED 2.336 billion will be issued to Brooge, convertible at the same price and subject to a similar lock-up period post-conversion. An extra AED 500 million in MCBs, priced at AED 1.10 per share, will be allocated to existing GulfNav shareholders, with major shareholders covering any unsubscribed bonds. A cash payment of AED 460 million completes the settlement.

CEO Ahmad Kilani stated that the acquisition is expected to generate significant operational synergies, including cost savings from integrated logistics and increased storage capacity. Financially, the deal is projected to enhance GulfNav's revenue streams and improve EBITDA margins over the next few years. The issuance of new shares and MCBs will increase GulfNav's share capital by approximately 320%.
Brooge Energy, founded in 2013 and based in the Cayman Islands, operates through subsidiaries focused on clean petroleum products, biofuels, and crude oil storage. Its facilities in Fujairah are among the most technologically advanced in the sector, adhering to international standards. The company's strategic location outside the Strait of Hormuz positions it advantageously in global oil logistics.
The acquisition aligns with GulfNav's commitment to sustainable growth and operational excellence. Post-acquisition, the company plans to expand its storage and logistics capabilities to meet the growing demand for midstream oil and gas services in the region. By leveraging Brooge's advanced infrastructure, GulfNav aims to improve operational efficiencies, diversify its service offerings, and unlock new revenue opportunities. Additionally, the company will continue to support the UAE's sustainability goals by exploring innovative solutions, such as alternative fuel storage and reduced carbon emissions.
The transaction is subject to customary closing conditions and regulatory approvals. GulfNav's Board of Directors has been authorized to take all necessary actions to finalize the acquisition, including completing regulatory approvals, amending the Articles of Association, and overseeing capital increase procedures.

Nearly half of UAE consumers feel AI not meeting their customer service expectations

More than half (54 per cent) of UAE consumers say that failing to understand emotional cues is more of an AI trait than human, a study showed. According to research by ServiceNow, the AI platform for business transformation, Despite rapid advancements in AI and its widespread use in customer service, UAE consumers overwhelmingly (at least 68 per cent) prefer to interact with people for customer support. ServiceNow's Consumer Voice Report 2025 surveyed 17,000 adults across 13 countries in EMEA — including 1000 in the UAE — and explores consumer expectations when it comes to AI's role in customer experience (CX). Based on the findings of the research, the perceived lack of AI's general emotional intelligence (EQ) is a critical factor in shaping consumer sentiment in this regard. Fifty one per cent feel agents having a limited understanding of context is more likely to be AI; and an equal number say misunderstanding slang, idioms and informal language is more likely AI. Meanwhile, nearly two thirds (64 per cent) of UAE consumers feel repetitive or scripted responses are more of an AI trait. 'The key takeaway for business leaders is that AI can no longer be just another customer service tool – it has to be an essential partner to the human agent. The future of customer relationships now lies at the intersection of AI and emotional intelligence (EQ). Consumers no longer want AI that just gets the job done; they want AI that understands them,' commented William O'Neill, Area VP, UAE at ServiceNow. High stakes, low trust The report also highlights a clear AI trust gap, particularly for urgent or complex requests. UAE consumers embrace AI for speed and convenience in low-risk/routine tasks — 23 per cent of UAE consumers trust an AI chatbot for scheduling a car service appointment and 24 per cent say they are happy to use an AI chatbot for tracking a lost or delayed package. However, when it comes to more sensitive or urgent tasks, consumer confidence in AI drops. Only 13 per cent would trust AI to dispute a suspicious transaction on their bank account with 43 per cent instead preferring to handle this in-person. Similarly, when it comes to troubleshooting a home internet issue, only 20 per cent of consumers across the Emirates are happy to rely on an AI chatbot, with 50 per cent preferring to troubleshoot the issue with someone on the phone. Humans and AI For all the frustrations with AI — almost half (47 per cent) of UAE consumers say their customer service interactions with AI chatbots have not met their expectations — the research does suggest that consumers consider AI as crucial for organizations looking to deliver exceptional customer experiences. For one, in addition to seamless service (90 per cent), quick response times (89 per cent) and accurate information (88 per cent), more than three quarter (76 per cent) of UAE consumers expect the organizations they deal with to provide a good chatbot service. But perhaps more interestingly, 85 per cent of consumers across the Emirates expect the option for self-service problem solving, which does indicate the need for organizations to integrate AI insights and data analysis into service channels to anticipate customer needs before they arise. 'While AI in customer service is currently falling short of consumer expectations, it is not failing. Rather, it is evolving. There is an opportunity for businesses to refine AI by empowering it with the right information, making it more adaptive, emotionally aware, and seamlessly integrated with human agents to take/recommend the next best action and deliver unparalleled customer relationships,' added O'Neill. 'Consumers do not want less AI – they want AI that works smarter. By understanding the biggest pain points, companies can make AI a trusted ally rather than a frustrating barrier.'

UAE stock exchange benchmarks extend winning streak in May

UAE stock markets extended their winning streak in May, marking a second consecutive month of gains, driven by the government's ongoing economic diversification efforts. Dubai Financial Market performance According to a report by Kamco Invest, the Dubai Financial Market (DFM) General Index rose 3.3 per cent in May, closing at 5,480.5 points — ranking second among GCC peers. This brought its year-to-date gain to 6.2 per cent. All eight sector indices posted gains during the month. The materials index posted the steepest gain at 9.1 per cent, followed by the industrial index, which advanced 6.2 per cent. The financial index improved by 4.4 per cent in May, closing at 3,806.6 points, mainly supported by double-digit gains in several key companies within the sector, including Dubai Insurance Co (+24.8 per cent) and Naeem Investment Holding (+14.8 per cent). Meanwhile, the real estate index — the largest weighted index among the DFM indices — gained a marginal 0.1 per cent during the month. Slight share price increases in companies such as Tecom (+1.6 per cent) and Emaar Properties (+0.4 per cent) contributed to the overall marginal improvement of the index. The utilities index rose by 0.8 per cent to close May at 980.5 points, as a 1.9 per cent increase in the share price of Dewa helped offset a 5.0 per cent decline in Empower and a 1.1 per cent drop in Tabreed, keeping the overall index in positive territory during the month. Top gainers and losers in Dubai According to Bloomberg's monthly stock performance data, Amlak Finance led the list of top gainers in May with a notable 30.2 per cent surge in its share price. It was followed by Dubai Insurance and Naeem Investment, which recorded gains of 24.8 per cent and 14.8 per cent, respectively. On the decliners' side, Al Mazaya Holding registered the steepest drop with a 16.5 per cent decline, followed by NIH and Dubai National Insurance, with declines of 16.4 per cent and 15.2 per cent, respectively, during the month. Trading activity in Dubai Trading activity on the exchange was mixed in May. The total volume of shares traded declined by 3.6 per cent, reaching 4.5 billion shares compared to 4.7 billion shares in April 2025. In contrast, the total value of shares traded rose by 17.5 per cent to Dh15.1 billion in May vs. Dh12.8 billion in April 2025. Dewa topped the monthly trading volume chart, with 994.1 million traded shares followed by Salik and Talabat at 465.7 million and 397.4 million shares, respectively. In terms of trading value, Emaar Properties led with Dh3.1 billion worth of shares traded, followed by Dewa and Salik at Dh2.7 billion and Dh2.6 billion, respectively. Abu Dhabi market performance In Abu Dhabi, the FTSE ADX General Index rose 1.6 per cent during the month following a moderate increase of 1.8 per cent in the previous month. The index ended May at 9,685.1 points, bringing its year-to-date performance for 2025 to 2.8 per cent. Sectoral performance on the exchange was evenly split, with five out of ten registering declines, while the remaining five recorded gains. The overall gain in the FTSE ADX General Index was driven by advances in the energy, financial, real estate, and utilities indices. The energy index posted the steepest gain, climbing 4.4 per cent to 2,199.7 points, as two out of the four constituent companies recorded share price increases, led by a 7.7 per cent rise in Adnoc Distribution's share price during the month. The utilities index followed closely with a gain of 3.8 per cent, closing at 13,071.2 points, supported by a 3.8 per cent share price increase in its sole constituent company, Abu Dhabi National Energy Co, during May. On the other hand, the health care index recorded the sharpest decline among all indices, falling by 4.7 per cent as three out of the four companies in the sector experienced share price drops during the month, led by a 5.7 per cent decline in PureHealth's share price. Top gainers and losers in Abu Dhabi In terms of monthly stock performance, Presight AI led the gainers' chart for May with a substantial 32.5 per cent increase in its share price. It was followed by Phoenix Group and Sudatel, which recorded gains of 18.4 per cent and 15.9 per cent, respectively. On the decliners' side, Al Wathba National Insurance Company registered the sharpest fall, with a 24.8 per cent drop in its share price during May, followed by Insurance House Co. and United Arab Bank, which posted declines of 13.1 per cent and 10.7 per cent, respectively. Trading activity in Abu Dhabi Trading activity on the exchange was mixed during May. The total volume of shares traded declined by 8.1 per cent, reaching 6.9 billion shares, compared to 7.6 billion shares in April 2025. Conversely, the total value of traded shares rose by 18.2 per cent, amounting to Dh30.6 billion in May, up from Dh25.9 billion in the previous month. Adnoc Gas Co. topped the most active stocks by volume with 1.4 billion shares traded, followed by Multiply Group and Phoenix Group, which recorded trading volumes of 1.0 billion shares and 499.5 million shares, respectively. In terms of value traded, Adnoc Gas also led with Dh4.6 billion worth of shares changing hands, followed by International Holdings Company PJSC and Al Dar Properties Co., with traded values of Dh4.56 billion and Dh2.8 billion, respectively. The UAE stock market capitalization is projected to reach $1.02 trillion in 2025, with an expected annual growth rate of 3.2% into 2026, according to data from Statista. This growth is underpinned by strong investor interest, economic diversification, and government-led initiatives aimed at enhancing market liquidity and sustainability.

Ajman Port will undergo an expansion under an AED 1 billion investment agreement between Department of Port & Customs Ajman (DPC) and Hutchison Ports. The Memorandum of Understanding (MoU) will draw out a development plan for the port that will enhance handling efficiency, attract new shipping lines, align with digital transformation plans and solidify its position as a vital logistics hub in the region. It will also launch AI-powered programmess for port operations through an integrated 15-year plan aimed at managing, operating and developing the port. After witnessing the signing of the MoU, His Highness Sheikh Ammar bin Humaid Al Nuaimi, Crown Prince of Ajman, said the move will play a key role in stimulating the local economy by supporting supply operations and facilitating export and import activities through the provision of sustainable, eco-friendly infrastructure, while focusing on developing national talents and equipping them with modern port management skills. "We believe that port development is an investment in the future of trade, food security, and economic growth," he added. Sheikh Dr. Mohammed bin Abdullah Al Nuaimi, Chairman of the Department of Port & Customs Ajman, noted that the MoU marks an important step in reinforcing Ajman Port's position as a strategic hub in the UAE and the region's maritime transport network.
