The US government will have veto power over key decisions relating to US Steel , as part of a deal with Nippon Steel that would approve the Japanese firm's bid for the well-known American steel company, a US lawmaker said on Tuesday. The details are laid out in what is called a national security agreement the companies will sign with the US. government, said Republican Senator David McCormick of Pennsylvania, where US Steel is headquartered."It'll be a US CEO, a US majority board and then there will be a golden share , which will essentially require US government approval of a number of the board members, and that will allow the United States to ensure production levels aren't cut and things like that," he told CNBC in an interview after Nikkei reported that a golden share was under consideration. It was not immediately clear if McCormick was announcing a new part of the deal beyond prior pledges made by the companies to the Committee on Foreign Investment in the US , which reviews foreign investments for national security risks and has reviewed Nippon Steel's bid for US Steel twice. But on Tuesday, investors appeared confident the deal would soon close, with US. Steel shares trading up 1.6 per cent to $52.84 a share, close to their highest point since the deal was announced.US President Donald Trump was expected to address the deal in a rally at a US Steel plant in Pennsylvania this week.In response to questions about the deal, White House spokesperson Kush Desai said, "The President looks forward to returning to Pittsburgh ... on Friday to celebrate American Steel and American Jobs."Nippon Steel declined to comment and US Steel did not respond to a request for comment.National security agreements get worked out in reviews led by the Committee on Foreign Investment in the US, which scrutinizes foreign investments for national security risks and has reviewed Nippon Steel's proposed merger twice. In an NSA term sheet proposed to CFIUS in September 2024, Nippon Steel pledged that a majority of US Steel's board members will be American, and that three of them -- known as the "independent US Directors" will be approved by CFIUS."US Steel may reduce Production Capacity if and only if it is approved by a majority of the Independent US Directors," the term sheet states, adding that core US managers will be US citizens.Japan's top steelmaker has since December 2023 sought to seal a $14.9-billion bid to acquire US Steel at $55 a share. Both President Donald Trump and former President Joe Biden expressed opposition to the tie-up, arguing US Steel should remain American-owned as they sought to woo voters in Pennsylvania ahead of the November presidential election.Biden formally blocked it in January on national security grounds, prompting a lawsuit by the companies that alleged the review process had been unfair. The Biden White House disputed that view.Trump launched a fresh CFIUS review of the deal in April. On Friday he appeared to finally give it his blessing in a social media post, noting that the "planned partnership" would create "at least 70,000 jobs, and add $14 Billion Dollars to the US Economy." The post sent US Steel's share price up over 20 per cent. But on Sunday, Trump cast doubt over that interpretation, noting in remarks to reporters that "It's an investment and it's a partial ownership, but it will be controlled by the USA."

Trump travel ban shows ‘deep hostility' towards Iranians, Muslims, says Iran
Iran on Saturday lambasted US President Donald Trump's travel ban on countries, including Iran, and said that it showed "deep hostility" towards Iranians and Muslims. Iran's foreign ministry posted a statement on X quoting a senior official and said, "The decision to ban the entry of Iranian nationals - merely due to their religion and nationality - not only indicates the deep hostility of American decision-makers towards the Iranian people and Muslims but also violates... international law." Separately, Iran on Saturday slammed the new sanctions imposed by the United States targeting over 30 individuals and entities that Washington said are part of a "shadow banking" network linked to Tehran. It said that the network has laundered billions of dollars through the global financial system. "The new U.S. sanctions ..., are illegal and violate international law, and are further evidence of the deep and continuing hostility of the U.S. ruling regime towards the Iranian people," foreign ministry spokesperson Esmaeil Baghaei said in a statement, Reuters reported. Earlier on Wednesday, Trump issued a full-entry travel ban on nationals from 12 countries, including Afghanistan, Burma (Myanmar), Chad, Republic of the Congo, Equatorial Guinea, Eritrea, Haiti, Iran, Libya, Somalia, Sudan, and Yemen. Meanwhile, partial restrictions will also be enforced on Burundi, Cuba, Laos, Sierra Leone, Togo, Turkmenistan, and Venezuela, limiting immigrant and non-immigrant visas due to high overstay rates or insufficient collaboration between law enforcement. The travel ban was justified by the White House, which cited Taliban control in Afghanistan, Iran and Cuba's state-sponsored terrorism, and Haiti's influx of illegal migrants during the Biden regime. Additionally, countries like Chad (49.54% B1/B2 visa overstay rate) and Eritrea (55.43% F/M/J overstay rate) were flagged for disregarding US immigration laws. 'We will restore the travel ban, some people call it the Trump travel ban, and keep the radical Islamic terrorists out of our country that was upheld by the Supreme Court," Trump had said. The travel ban was also upheld by the Supreme Court which ruled that 'it is squarely within the scope of Presidential authority' and noted that it is 'expressly premised on legitimate purposes'.

Beware of Delhi's ‘lootera gang,' warns Manjinder Singh Sirsa
Ludhiana: Delhi environment minister Manjinder Singh Sirsa reached Ludhiana on Saturday to campaign for BJP candidate Jiwan Gupta. Addressing a press conference at the BJP election office on Ferozepur Road, Sirsa warned voters against the "lootera gang rejected by people of Delhi. " He claimed that after looting Delhi, they were eyeing Punjab and added that if the BJP got a chance to represent the West constituency, both the Centre and Delhi governments would work for betterment of the city in the next 1.5 years. Sirsa claimed that Aam Aadmi Party convener Arvind Kejriwal, when rejected by people of Delhi in the election, did not stand with them for a single day and reached Punjab instead because he was addicted to power. He claimed that Kejriwal would implement the liquor policy implemented in Delhi in Punjab too. Sirsa said, "Kejriwal is working on an American policy. Like America destroyed countries like Iraq, Afghanistan, and Libya in the name of development, Kejriwal has done it with Delhi, and now it is being done in Punjab." He added that like the liquor mafia, the land mafia had also come to Punjab from Delhi, with the state government planning to acquire nearly 25,000 acres of land in villages of the state. Saying that he came to Ludhiana to highlight the modus operandi of Kejriwal and his team. Sirsa said, "This looters' gang has three ways. In Delhi, they first announced that they would end the problem of paddy straw with some chemical, even though there is no issue of paddy straw in Delhi. They purchased a Rs 28 lakh compound and spent Rs 32 crore on advertisement. Then they paid Rs 83 lakh to SC children in the form of scholarships and spent Rs 50 crore on the promotion of this scheme. The Delhi government also started the odd-even scheme. While the government has no role in the same, it still spent Rs 55 crore in Delhi on just advertisements," Sirsa said, adding that now, money from Punjab was being drained out by the AAP government in other states as well. Sirsa said that while AAP "damaged" Delhi, the BJP gave a chance to three Sikh faces. Hailing the Union government led by Prime Minister Narendra Modi, he said that the government had reduced the number of people living below poverty line to 75.24 million from 344.47 million. He also observed that states governed by the BJP were more developed than Punjab. Soliciting votes for Jiwan Gupta, Sirsa urged residents to give him a chance and ensure development of the constituency. Attacking AAP again, he said that the party had only intensified the drug menace instead of curbing it. Drugs are even being peddled in schools, he claimed. Meanwhile, Jagpal Singh Nambderdar, booth in-charge of Aam Aadmi Party, Satpal Singh Khalsa, vice- president of AAP rural SC Morcha, Janak Raj, booth in-charge, Raj Kumar, ex-block president of AAP rural, Bhupinder Kumar, and Kanwardeep Singh joined BJP in the presence of Manjinder Singh Sirsa. BJP leaders like Anil Sarin, BJP state general secretary, district president Rajnish Dhiman, Parminder Singh Brar, Gurdev Sharma Debi, etc., attended the press conference. MSID:: 121693518 413 |
